2. The above Financial Results were reviewed and recommended by the Audit Committee and taken on record by the Board of Directors at its meeting
held on 5th November 2016.
3. During the Quarter the Company incorporated a Wholly Owned Subsidiary, Medley Medical Solutions Pvt. Ltd, the company is yet to commence
commercial operations and there are no material Financial transactions for the period ended 30th September 2016. The said subsidiary was not
considered for consolidation.
4.Qualification by the Auditors:
The company has not provided interest in respect of outstanding long term borrowing of Rs.123.55 Lakhs as on 30th September 2016.
Management Reply:
The management is in the discussion with the parties of the unsecured loans for reduction I waiver of interest in respect of the above referred amount.
The impact on the accounts is not ascertained.

5. Exceptional Items :
(ii) During the Current Quarter, the company undertook a review of the recoverability of the carrying amount of computer software inventory. Upon
evaluation and identifying that some of the inventory were not yielding revenues due to outdated Technology and on account of improvements in
technology, the company has written off Rs.379. 75 l.akhs as not saleable.

Limited)

We have reviewed the accompanying Statement of Standalone Unaudited Financial Results of

Athena Global Technologies Limited (Formerly Known as VJIL Consulting Limited) for the quarter and
six months ended 30th September, 2016. This statement is the responsibility of the Company's
Management and has been approved by the Board of Directors. Our responsibility is to issue a
report on these financial statements based on our review.

1.

We conducted our review in accordance with the Standard on Review Engagement (SRE)
2410, "Review of Interim Financial Information Performed by the Independent Auditor of
the Entity" issued by the Institute of Chartered Accountants of India. This standard requires
that we plan and perform the review to obtain moderate assurance as to whether the
financial statements are free of material misstatement. A review is limited primarily to
inquiries of company personnel and analytical procedures applied to financial data and thus
provides less assurance than an audit. We have not performed an audit and accordingly, we
do not express an audit opinion.

As per Note -4 of the statement no interest has been provided in respect of outstanding long
term borrowing of Rs.123.55 lakhs as at 30th September, 2016 and the impact on accounts is
not ascertainable.

Based on our review conducted as above, expect for the effect if any of the matters stated in
paragraph 2 of the statement, nothing has come to our attention that causes us to believe
that the accompanying statement of unaudited financial results prepared in accordance with
applicable accounting standards and other recognized accounting practices and policies has
not disclosed the information required to be disclosed in terms of Regulation 33 of the SEBI
(Listing Obligations and Disclosure Requirements) Regulations, 2015 read with Circular No.
CIR/CFD/CMD/15/2015
