NOTICE TO SHAREHOLDERS
TRANSFER OF EQUITY SHARES TO INVESTOR
EDUCATION & PROTECTION FUND

Notice is hereby given that NOCIL Limited ('the Company') wouid be

transferring 11,64,755 Equity Shares of Rs. 10/" each held by'7543
shareholders to IEPF pursuant to Section 124 (6) of the Companies Act,
2013 read with the Investor Education and Protection Fund Aul;hority
(Accounting, Audit, Transfer and Refund) Rules, 2016 ("Rules").

The Rules, inter alia, provide for transfer of all shares in respect of which
dividend has not been paid or claimed by the shareholders for seven
consedutive years to the Investor Education and Protection Fund (IEPF)
set up by t.he Central Government. Accordingly, the Company has sent
individual communication dated 15~ November 2016 to those shar~olders
whose s'hares are liable to be transferred to IEPF under the said Rules and
hav!l not claimed the Dividends for seven consecutive years starting from
.the Financial Year 2008-09: The Company has also uploaded the:details
of suth shareholders and shares due for transfer to IEPF on its website at
www.nocil.com. Shareholders are requested to refer to the website to
verify the details of the shares liable to be transferred to IEPF.
All such shareholders are requested to make. an application to. the
Company I Registrar by 3m December2016 with a request for claiming the
unpaid dividend for the year 2009-1 O onwards so that the shares are not
transferred to the IEPF. It may please be noted that if no reply is received
by the Com.pany or the Registrar by 3m December 2016, the Compariyiwill
transfer the shares to the IEPF, without any further notice, by following the
due process as enumerated in the said Rules. The Equity Shares Which
stand registered in their name will stand automatically cancelled and be
deemed to be non -negotiable.

Shareholders may please note that'the details uploaded by the Company
on its website shall be deemed adequate riotice in r~spect of issue of
duplicate share certifieate(s) by the Company f9rthe purp'ose of transfer of
shares to IEPF Suspense account.

The Company has transferred the unclaim11d Dividend for the Financial
Year 2008-09 to IEPF on 29~ September 2016. 1.n the case the concerned
sharehold!lrs wish to claim the shar.es aer transfer to the IEPF /the
unclaimed Dividend for the. Financial Year 2008-09, including all benefits
accruing on such shares, if any,a separate application can be made to the
IEPF Authority, in Form IEPF-5, as prescribed under the Rules and the
same is available at IEPFwebsite: www.iepf.gov.in.
For further clarification cin the. above matter and request to claim the
unpaid/ unclaim.ed' dividend(s), the concerned shareholder may contact
