Philip Morris International is a holding company. Through its subsidiaries and affiliates, Co. is engaged in
the manufacture and sale of cigarettes and other tobacco products in markets outside of the U.S. Co.'s
premium-priced portfolio of brands include Marlboro, Merit, Parliament, and Virginia Slims. Co.'s

28, 2020. On Oct. 1, 2015, Co. replaced its $3,500,000,000 multi-year revolving credit facility, expiring
Oct. 25, 2016, with a new $3,500,000,000 multi-year revolving credit facility, expiring Oct. 1, 2020.
At Dec. 31, 2015, Co.'s total committed credit facilities was $8,000,000,000. These credit facilities consist
of $2,000,000,000 364-day revolving credit, expiring Feb. 9, 2016; $2,500,000,000 multi-year revolving
credit, expiring on Feb. 28, 2019; and $3,500,000,000 multi-year revolving credit, expiring on Oct. 1,
2020. At Dec. 31, 2015, there were no borrowings under these committed credit facilities, and the entire
committed amounts were available for borrowing.
Each of these facilities requires Co. to maintain a ratio of consolidated earnings before interest, taxes,
depreciation and amortization ("consolidated EBITDA") to consolidated interest expense of not less than
3.5 to 1.0 on a rolling four-quarter basis. At Dec. 31, 2015, Co.'s ratio calculated in accordance with the
agreements was 10.5 to 1.0. These facilities do not include any credit rating triggers, material adverse
change clauses or any provisions that could require Co. to post collateral. The terms "consolidated
EBITDA" and "consolidated interest expense", both of which include certain adjustments, are defined in
the facility agreements previously filed with the Securities and Exchange Commission.
In addition to the committed credit facilities discussed above, certain subsidiaries maintain short-term
credit arrangements to meet their respective working capital needs. These credit arrangements, which
amounted to approximately $2,900,000,000 at Dec. 31, 2015 are for the sole use of the subsidiaries.
Borrowings under these arrangements amounted to $825,000,000 at Dec. 31, 2015.
Subsequent Line of Credit: On Jan. 27, 2016, Co. entered into an agreement to amend and extend
its existing $2,000,000,000 364-day revolving credit facility, effective Feb. 9, 2016, from Feb. 9, 2016, to
Feb. 7, 2017. On Jan. 27, 2016, Co. also entered into an agreement to extend the term of its existing
$2,500,000,000 multi-year revolving credit facility, effective Feb. 28, 2016, from Feb. 28, 2020, to Feb.
28, 2021.

Incorporated in 1987 in Virginia.
In 2005, Co. acquired a 98% stake in Coltabaco for approx. $300,000,000.
In Mar. 2005, Co. acquired 98% of the outstanding shares of Sampoerna for a cost of $4,800,000,000.
In 2006, Co. acquired from British American Tobacco the Muratti and Ambassador trademarks in certain
markets, as well as the rights to L&M and Chesterfield in Hong Kong, in exchange for the rights to
Benson & Hedges in certain African markets and a payment of $115,000,000.
In Nov. 2006, Co. acquired the 47.5% interest in E. Len Jimenes, C. por. A (ELJ), which included a 40%
indirect interest in ELJ's beer subsidiary, for 100% ownership of ELJ's cigarette subsidiary, Industria de
Tabaco Len Jimenes, S.A., and $427,000,000 of cash.
In 2007, Co. acquired an additional 58.2% stake in a Pakistan cigarette manufacturer, Lakson Tobacco
Company Limited (Lakson Tobacco), and completed a mandatory tender offer for the remaining shares,
which increased the total ownership interest in Lakson Tobacco from 40% to approx. 98%, for
$388,000,000.

In Nov. 2007, Co. acquired an additional 30% interest in its Mexican tobacco business from Grupo Carso,
S.A.B. de C.V., which increased its ownership interest to 80%, for $1,100,000,000.
On Mar. 28, 2008, Co. was spun-off from Altria Group, Inc. (Altria). Altria distributed one share of Co.'s
common stock for each share of Altria's common stock outstanding.
In June 2008, Co. purchased the fine cut trademark Interval and certain other trademarks in the other
tobacco products category from Imperial Tobacco Group PLC for $407,000,000.
On Oct. 29, 2008, Co. completed the acquisition of Rothmans Inc., located in Canada, for approx.
$1,900,000,000.
In Feb. 2009, Co. purchased the Petteres tobacco business for $209,000,000, which includes fine-cut
trademarks primarily sold in Norway and Sweden.
In Sept. 2009, Co. acquired Swedish Match South Africa (Proprietary) Limited, for approx. $256,000,000,
including acquired cash.
In Feb. 2010, Co.'s affiliate, Philip Morris Philippines Manufacturing Inc. (PMPMI), and Fortune Tobacco
Corporation (FTC) combined their respective business activities by transferring selected assets and
liabilities of PMPMI and FTC to a new company called PMFTC Inc.
In Jan. 2011, Co. acquired a cigar business, consisting primarily of trademarks in the Australian and New
Zealand markets, for $20,000,000.
On Jan. 1, 2011, Co. established a new business structure with Vietnam National Tobacco Corporation
(Vinataba) in Vietnam, further developing its existing joint venture with Vinataba through the licensing of
Marlboro and establishing a Co.-controlled branch for the building of its brands.
In June 2011, Co. completed the acquisition of a cigarette business in Jordan, consisting primarily of
cigarette manufacturing assets and inventories, for $42,000,000.
On Sept. 30, 2013, Co. acquired a 49% equity interest in United Arab Emirates-based Arab Investors-TA
(FZC) for approximately $625,000,000.
On Sept. 30, 2013, Co. acquired the remaining 20% interest in the Mexican tobacco business from Grupo
Carso, S.A.B. de C.V., for $703,000,000.
On Dec. 12, 2013, Co. acquired from Megapolis Investment BV a 20% equity interest in Megapolis
Distribution BV, the holding company of CJSC TK Megapolis (Megapolis), Co.'s distributor in Russia.
The purchase price of $750,000,000 excludes an additional payment of up to $100,000,000, which is
contingent on Megapolis's operational performance over the four fiscal years following the closing of the
transaction.
In June 2014, Co. acquired 100% of Nicocigs Limited, an U.K.-based e-vapor company, for the final
purchase price of $103,000,000, net of cash acquired, with additional contingent payments of up to
$77,000,000, primarily relating to performance targets over a three-year period.
