specified in the contract Document
b) We have examined and have no reservations to this contract Document, issued by you.
c) Furthermore, we are aware of your terms & conditions of the above mentioned work and we

d) We are not participating as contractor in more than one request in this contract process. We
understand that your written Notification of Award shall constitute the acceptance of our contract.
e) The authority reserves the right to accept or reject any or all contracts without assigning any

TERMS & CONDITIONS OF WORK


01. Scope of work of Contractor:
The scope of work mainly includes but not limited to the following:
a. The Contractor is deemed to fully understand the requirements and specifications as relevant to its
scope of work stipulated in the Work order.
b. The work shall be carried out as per applicable standard and as per satisfaction of the Company. The
quality and other specification shall meet the requirements of the project.
c. The Contractor shall supply all necessary tools, plants, equipment etc. requisite for carrying out any
items of works. All must be in good condition.
d. The Contractor must provide safety helmet, Gum boot and jacket of his workers. Worker or any person
is not allowed with loose cloth at work site.
e. All workmanship provided by Contractor must be of good standard and acceptable to Engineer-incharge. Penalty will be made due for poor workmanship.
f. The Contractor must not engage any person/any party to carry out the work on behalf of him.
g. The contractor will construct his own Site Office, Labor Shed and Go-down for which no monetary claim
will be entertained. Contractor will also be liable for hygiene, discipline and security of the site till the
handover the project.
h. Contractor must run his works in full swing. No plea, no argument whatsoever will be entertained/ allowed
in this case.
i. Contractor must clean the site at the end of the day regularly with no extra cost.
j. All dismantling works shall include the cost of dismantling, carting away debris to outside the premises

The Contract price will be based on the unit price in the scope of work included in the Contract. Unit
rate for any Non Scheduled items of work (If any) shall be amicably settled by both Parties as per
market rates. However, in any case, the Contractor shall commence the additional work with prior
written consent of the Company.
Any quantities and estimation will be as per the execution and completion of the whole works of this
Work Order.
If any work is dropped/ changed from the COMPANY as per the Company requirements the same
items will be deemed to delete/replaced from this Work Order.
During execution of work the Contractor shall follow the amendment, if any, made in the Work order as
per requirement of the Company.

03. Time of Completion:


Total completion time for the work is 30 (Thirty) Calendar days, which will be effective from the date of issuance
of Work Order. The Contractor must complete the whole work given / awarded to him in schedule time as per
specification and direction of the Engineer-in-charge.

04. Contract Price:


The related aspects of the contract price are stated below:
a. No intermediate enhancement in rates will be allowed till completion of the project.
b. Rate will be excluding VAT, TAX and AIT etc.
c. If any works/responsibility mentioned in Work order is not fulfilled or failed by the Contractor, the
Company has the right to deduct or reimburse the cost or loss anytime from the payment as per their
own rate after formal notice to the Contractor.

05. Liquidated Damages:


Since time is the essence of the work order, Liquidated damages shall be applicable in the case of delay in
completion of the work under the work order and the rate of Liquidated damages shall be 0.5% (Zero point five
percent) of the Final work value for each week of delay or fraction of. However, the total amount of Liquidated
damages shall not exceed 10% (Ten percent) of the Final contract value.

The work shall be supervised by the authorized representative of Company. The work should strictly
follow the instructions of engineers from COMPANY. Any rude work, mishandling and mistake done by
the Contractor causing any damage of equipment owned by other than CONTRACTOR, will be
claimed by the Company and all the related cost, such as repair of replacement, should be borne by
the Contractor.
No part of the works shall be covered up on the Site without the representative of COMPANY carrying
out the inspection.
The Contractor shall have to take permission from the Company to designate the engineers/ for this
Project work.

07. Insurance/ Financing:


CONTRACTOR shall arrange its own insurance covering possible risk that may arise to its machinery, plants
and persons employed/deployed and shall contain up to completion of the works.

08. Confidentiality:
The documents and information obtained or supplied in condition of the work order for the purpose of
performing the Project, the contractor will maintain the confidential nature of any such documents and
information. The Contractor could not hand over any document and information without the prior consent of the
Company.

09. Tax & Duties and others:


All the taxes, duties and others of similar nature shall be paid by the Company.

10. Termination/ suspension:


a) The authority reserves every right to cancel/terminate the work order at any time for the Companys
convenience
b) The authority reserves every right to cancel/terminate the work order because of a fundamental breach
of Contract by the Contractor and if the contractor fails to achieve the expected progress or makes
delay in work progress or mobilize the required work force or is found violating the instruction passed
by authority or its representative.
c) Company reserves the right to suspend and reinstate execution of the whole or any part of the Work.
In that case the time for completion of the Work will be extended for a period equal to the duration
which is empowered by the COMPANY.

11. Payment:
The payment under the work order shall be made by the company time to time in the following manner:
a) The contractor will be entitled to submit his running bill after satisfactory completion of works worth
Taka 02 (Two) Lac & above. He will request for payment on completed works with approval and
certification by the Engineer/Consultant (if any). The Company will pay the amount within 15 (Fifteen)
days of submitting the bill after deducting the Security Deposit of 05%.
b) The Contractor may submit his final bill as soon as the work is being completed. Completion Certificate
by the Engineer/Consultant will be necessary before the said to submit.
c) Final bill will be made after satisfactory completion of work according to the checked measurement,
which may be reduced or increased from the scheduled measurement of the work order.

12. Liability:
The Contractor shall execute all work under the work order as per the requirements of company. Therefore, the
Contractor shall not get rid of from any liabilities/responsibilities which may cause adverse effect to the Project.
a. The Contractor shall carry out the Works in a safe manner with due regard for the safety of site
operations/activities and pay due regard to the environmental protection in accordance with relevant
local authorities laws and regulations on Health, Safety and Environment.
b. In the event that the Contractor failed to fulfill the obligation regard to the environmental protection, site
security, workmen health protection, the Contractor shall be liable to pay the compensation for all
expense accordingly.
c. All incidental expenses are to be borne by contractor. Company will not pay any compensation to the
works either injured or dead during work
d. The Contractor must insure that he or his workers do not involved themselves in any kinds of antisocial
activities.
e. Any fault or defective work done by the contractor shall be rectified by the contractor at his own cost.

13. Miscellaneous:
This Contract is made in three originals of which two originals to be with the Company and one original to be
held by the Contractor.

10 Brick Dismantling work:

CC Dismantling work using necessary tools and plants etc. including plastering,
finishes, removing all plumbing lines/fixtures etc. garbage removing from the factory
premises to other place with contractors own responsibility within 5 calendar days all
complete as per direction of the engineer-in-charge.
Reinforced cement concrete dismantling works:
RCC Dismantling work using necessary tools and plants etc. including plastering,
finishes, removing all plumbing lines/fixtures etc. garbage removing from the factory
premises to other place with contractors own responsibility within 5 calendar days all
complete as per direction of the engineer-in-charge.

work providing necessary tools and plants, protecting and maintaining the trench dry
etc., stacking the excavated earth at a safe distance of up to 60 m lead, removing the
