SERVICE AGREEMENT
This General Service Agreement (the Agreement) dated this _____ da y of ____________, 20__ is between [ the
Customer], herein referred to as Customer and [Service Provider], herein referred to as Ser vice Provider.
Service Provider has agr eed to provide services to the Customer on the terms and conditions set out in this
Agreement, while Cust omer is of the opinion that Ser vice Provider has the pr oper and necessar y
qualications, experience and abilities t o provide services to Customer.
Therefore in consideration of the matters describ ed above, the receipt and sufciency of which consider ation
is hereby acknowledged, the Customer and the Ser vice Provider agree as follows:
1. Scope of W ork
The Service Provider is to provide the Cust omer with the following services (the Ser vices):

The services will include any other tasks which the Cust omer and the Service Provider may agree on.
2. Term of Agr eement
This Agreement will begin on [ Beginning Date] and will remain in full for ce and effect until the completion of

3. Termination
If either par ty seeks termination of this Agr eement, the terminating party must provide a 30 da y written
notice to the other par ty.
4. Compensation
The Customer will pr ovide compensation t o the Service Provider of $____ per hour for the ser vices rendered
by the Service Provider as required by this Agreement. Compensation is pa yable at the completion of
services.
5. Independent Contr actor
The Service Provider is acting as an indepen dent contractor in providing the Services under this Agr eement,
not as an emplo yee. The par ties agree that this Agr eement does not cr eate a joint v enture or a partnership
between them.
6. Modication of Agr eement

Any modications or amendments t o this Agreement will be binding if evidenced in writing signed b y each
Party.
7. Notice
All notices or demands r equired or permitted b y the terms of this Agreement will be giv en in writing and
delivered to the par ties.
8. Time is of the Essence
No extension or v ariation of this Agr eement will oper ate as a waiv er of this provision. Time is of the essence
in this Agreement.
9. Integration
This Agreement contains the entir e agreement and understanding b y and between the Cust omer and the
Service Provider and no representations, pr omises, agr eements or understandings, written or oral, not herein
contained shall be of any for ce or effect.
10. Choice of Law
This Agreement and the per formance under this Agr eement and all suits and special proceedings under this
Agreement, be construed in accor dance with and go verned by the laws of the State of ______________.
11. Severability
The provisions of this Agr eement shall be deemed se verable, and the invalidity or unenfor ceability of any one
or more of the provisions hereof shall not aff ect the validity and e nforceability of the other provisions her eof.
