Opera House Commission

C. Any member of the Commission may be removed therefrom by the Board of Selectmen
when, in the opinion of said Board, after due notice and hearing, the Board has deemed
that such member has been guilty of misconduct, incompetence, neglect of duty or other
impropriety in the conduct of such member's office.

§ 10-13 THOMASTON CODE § 10-14
A. Accept gifts, devises and bequests made, devised or bequeathed for the support,
maintenance, conduct, benefit, operation and use of the Opera House, in trust, for the
benefit of the inhabitants of the Town and shall accept funds, allowances and
appropriations from any source, including the Town of Thomaston, made and granted to
it in connection with, or for the benefit of, the Opera House.
B. Have, hold, manage, control, invest and reinvest and expend and pay out said trust funds
and/or such funds, allowances and appropriations and shall collect the income from trust
funds and pay out the net income for the establishment, maintenance, conduct, use,
operation, maintenance and betterment of the Opera House for the benefit of the
inhabitants.
C. Keep complete and accurate accounts of all such trust or other funds and maintain the
same in special bank accounts in the name of the Commission and shall render annually
full and complete balance sheets and accountings and shall at any time, upon reasonable
notice and requests therefor, render such accounts and balance sheets for the inspection
of the Board of Selectmen, the Board of Finance or other appropriate Town agency or
officer.
D. Establish, maintain, conduct, operate, improve and use said Opera House as a place of
recreation and public assembly for the benefit of the inhabitants.
E. Provide for entertainments, concerts, celebrations, festivals and like activities in, or in
connection with, said Opera House.
F. Adopt and promulgate reasonable rules and regulations in respect to the conduct and use
of said Opera House.
G. Negotiate, enter into and execute such written leases or agreements for the use of said
Opera House by others as it shall deem to be in the best interests of the inhabitants of the
Town.
H. Receive, hold, invest and reinvest, manage and expend all moneys derived from uses and
leases of said Opera House and from all other activities conducted in, or in connection
with, said Opera House, in the same manner as money derived by gifts, bequests or
devises for the benefit of said Opera House.
1. Keep an inventory of all fixtures and personal property in, or connected with, said Opera
House and shall provide for its maintenance and upkeep, including full and adequate
public liability and other insurance in such amounts as shall fully protect the Town of
Thomaston and its inhabitants in respect to said Opera House.
J. Generally promote, advance, sustain, improve and exploit said Opera House for the
benefit and advantage of the Town and its inhabitants.

exclusively for one or more of the purposes as specified in Section 501(c)(3) of the Internal
Revenue Code of 1954, and shall not carry on any activities not Ferrnitted to be carried on by a
corporation exempt from Federal Income tax under IRC Section 501(c)(3) or corresponding
privisions of any subsequent Federal tax laws
Section 13
No part of the net earnings of the corporation shall inure to the benefit of any member
trustee, director, officer of the corporation, or any private rrrdrv dual (except that reasonable
compensation may he paid for services rendered to or for [lie corporation), arid no member,
trustee, officer of the corporation or any private individual shall he entitled to share in the
distribution of any of the corporate assets on dissolution of the corporation

No substantial part of the activities of the corporation shall he carrying on propaganda,
or otherwise attempting, to influence legislation (except as olhervise provided by Internal
Revenue Code Section 501(h), and does not participate rri, or intervene in (including the
publidation or distribution or seatement6s), any political campaign on behalf of any candidate for
public office

to the event of dissolution of all the remaining assets and property of the corporation
shall, after necessary expenses thereof, be distributed to another organization exempt under IRC

ofa Justice of the Supreme Court of the State of Connecticut

In any taxable year in which the corporation is a private foundation as described in IRC
Section 509(a), the corporation shall distribute its income for said period at such time and
manner as not to subject it to tax under 1RC Section 4942, and the corporation shall not (a)
engage in any act of self-dealing as defined in IRC Section 4941(d) retain any excess business
holdings as defined in IRC Section 4943(c), (b) make any investments in such manner as to

Article IV Membership
Section 1
The Commission shall consist of NINE ( 9) MEMBERS Slid members shall be
appointed by the Board of Selectmen as recommended by the Opera House Commission as
follows THREE ( 3) members shall be appointed for a term of one (1) year . THREE ( 3) members
shall be appointed for a term of two ( 2) years , and THREE ( 3) members shall be appointed to
serve for a term of three ( 3) years Said members shall be appointed commencing November
29, 1989 and shall serve for specific terms or until their respective successors have been
appointed and duly qualified Thereafter , at the expiration of each term , the Board of Selectmen
shall annually appoint THREE ( 3) members, each for a term of three ( 3) years Any vacancy
occurring in any term shall be filled for the remainder of such term
Section 2
Any member of the Commission may be removed therefrom by the Board of Selectmen
when, in the opinion of said Board, after due notice and hearing, the Board has deemed that
such member has been guilty of misconduct, incompetence, neglect of duty or other impropriety
in the conduct of such member's office
Article V Officers
Section 1
The officers of the Commission shall consist of a Chairperson, a Vice Chairperson, a
Secretary, and a Treasurer
Section 2
The officers shall serve two year terms and may be reelected without an intervening
term
Section 3
The Nominations and Elections Committee shall submit a proposed slate of officers to
the membership at the November meeting Nominations, at this time, may also come from the
floor
Section 4
Officers shall be elected by those present at the ineetrnq in December and shall assume
their respective duties and responsibilities on January I of the corning calendar year
Section 5
Whenever the offices of both Chairperson and Vice Chairperson become vacant
between elections, the remaining members of the Executive Board shall choose one of the
commissioners to serve as Chairperson Pro Tempore for the remainder of the vacated term
Article VI Duties of Officers
Section I
The Chairperson shall preside at all meetings of the Commission He/she shall appoint
members of all Standing and Special Committees, he/she shall hold ex-officio status on all
committees, he/she shall be empowered to enter into agreements on behalf of the Commission
and the Opera House subject to confirmation by a majority of the Commission, he/she shall
report on the activities of the Commission at the Annual Meeting, he/she shall perform all other
functions usually attributed to this office
Section 2
The Vice Chairperson shall perform the duties given hnrrlher by the Chairperson, he/she
shall also hold ex-officio status on all committees, he/she shall perform the duties and have the
powers of the Chairperson during the absence of or disability of the Chairperson, he/she shall
assume the office of the Chairperson on a pro tempore basis as needed
Section 3
The Secretary shall keep an accurate account of all Commission meetings He/she shall
maintain the official minutes and all other records of the Commission, he/she shall be the official
correspondent and shall assist the Chairperson with /Commission correspondence, he/she shall
file with the Town Clerk a tentative schedule of all monthly meeting dates of the Commission for
the coming calendar year during the month of December
Section 4
The Treasurer shall receive funds from all sources, sign and endorse checks, certify all
bills, and see that an account is kept of all receipts and disbursements He/she shall maintain an
accurate account of all monies given to the Commission for the operation and restoration of the
Opera House, he/she shall deposit said monies into special bank accounts in the name of the
Commission, he/she shall render at monthly meetings or at any other time upon reasonable
notice, a written financial report for the inspection of the Commission, he/she if need be, shall
present a monthly report to the Board of Selectmen and an annual statement to the Town of
Thomaston Certain of these duties may be delegated to the Manager Artistic Director as
provided for in Article XIV
Article VII Meetings
Section 1
The Commission shall meet on the third Thursday of each month at 7 00 PM in the Town
Hall When a national holiday is in conflict with the monthlytneeting date or a cancellation is
advisable due to inclement weather, the Commission will meet on the following Thursday at the
same time and place
Section 2
A sabbatical period may be observed at the discretion of the Commission at a time which
shall not be detrimental to the interests of the Opera House
Section 3

Robert's Rules of Order, when not in conflict with these BYLAWS, shall govern the proceedings

Section 4
Special meetings of the Commission may be held at the call of the Chairperson, Vice-
Chairperson or upon written request to the Executive Board by five members of the Commission
Notice of the time and place of any special meeting and the purpose for which it was called shall
be given each member of the Commission at least three days in advance of such meeting
Business shall be confined to those items specified As with monthly meetings, notice of special
meetings must be posted with the Town Clerk twenty-four hours prior to said meeting
Section 5
Any member absent for three consecutive meetings without notifying the Chairperson or
the Secretary and without valid cnd legitimate reason, shall voluntarily relinquish his/her duties
as commissioner Such absenteeism and reasons therefor shall be given in writing to the
Secretary who, in turn, shall report to the Executive Board
Section 6
A quorum for the transaction of business either at a monthly or a special meeting of the
Commission shall consist of no less than five members
Section 7
A tentative schedule of monthly meeting dates for the coming calendar year shall be
provided each member of the Commission at the December meeting and posted with the Town
Clerk's Office in January

The Executive Board shall consist of the four officers of the Commission.

Each Standing Committee may hold special meetings and has the power to act upon all
matters under its immediate supervision The Standing Committee Chairperson shall direct the
action of his/her committee and report the results thereof at the monthly meetings of the
Commission
Section 5
The Bylaws Committee shall review the BYLAWS of the Commission on an annual basis
and recommend to the membership alterations and changes as needed
Section 6
The Long Range Planning Committee shall explore and implement those actions and
endeavors necessary for the continued success of the Thomaston Opera House
Section 7
Maintenance The full Commission shall have supervision over all matters relating to
the care, furnishing, and repair of the Opera House and shall be responsible for the enforcement
of appropriate regulations pertaining to the use of said Opera Rouse
Section 8
The Nominations and Elections Committee shall proritrrr' n slate of officers for election
and shall supervise and conduct this election at the meeting in December in keeping with the
provisions and principles set forth in this document
Section 9
Professional and Social Relations The full Commission shall shall seek to develop
professional and public understanding of the policies, programs, services, and accomplishments
of the Commission It shall organize such social activities as may serve the interests of the
membership and the citizens of Thomaston; it shall promote fellowship and goodwill between the
Commission and the citizens of Thomaston
Section 10
Restoration - The full Commission shall zealously pursue the goal of restoring the
interior of the Opera House to its former grandeur - circa 1804
Section 11
The Volunteer Coordinator(s) shall provide for organizing the work of volunteers in all
areas of the theatre, not excluding approved restoration, serving at performances and other
contributions
Article X Special Committees
Section I
The Chairperson shall appoint , as necessary , Special Committees for the study and
solution of special problems and shall discharge these committees upon completion of their
duties These committees shall operate according to the rules set forth by the Executive Board
Article XI Elections and Balloting
Section I
The officers of the Commission shall consist of a
Chairperson
Vice Chairperson
Secretary
Treasurer
Section 2
The officers shall serve two-year terms and may be reelected without an intervening
term
Section 3
The Nominations and Elections Committee shall siibinit a proposed slate of officers to
the membership at the November meeting Nominations, at this time, may also come from the
floor
Section 4
In accordance with the procedures developed by the Nominations and Elections
Committee, the members present at the December meeting shall vote by ballot for the new
officers of the Commission
Section 5
The Nominations and Elections Committee shall report the results of the election to the
Chairperson, who shall make them known to the member ship
Section 6
The new officers shall assume their respective duties and responsibluties on January I of
the coming calendar year
Article XII Vacancies
Section I
The Commission shall have the responsibility of recommending to the Board of
Selectmen the names of Individuals to fill vacancies on [lie Commission
Article XII1 Amendments
Section I
The Bylaws Committee shall review the BYLAWS of the Thomaston Opera House
Commission on an annual basis and make recommendations to the membership for amending
and improving the document.
Section 2•
These BYLAWS may be amended by a majority vote of the members present at any
regular business meeting of the Commission, provided that the proposed amendments have
been introduced at the preceding regular business meeting in writing and copies have been
distributed to the membership

Section I
A Manager Artistic Director, hereinafter referred to as "Dnactor", shall be appointed by
the Commission for such term and upon such conditions as stipulated in the Consulting
Agreement dated October 1, 1993
Section 2
The Director is responsible for implementing policies determined by the Commission
Section 3
The Director shall attend all Commission meetings, he/she shall work clooely with the
Executive Board and with all Standing and Special Committees, he/she shall assist the officers of
the Commission in the discharge of their duties
Section 4
The Director shall report at all Commission meetings, lip/slip shall render an Annual
Report following the close of the fiscal year, as to the status of and all matters relative to the
Thomaston Opera House
