STANDARD TERMS AND CONDITIONS OF CONTRACT
Roam Pty Ltd is committed to providing customers with a professional
service, and the supply and installation of products, which merit
customer satisfaction. Unless otherwise agreed by Roam in writing the
Customer agrees that all orders placed with Roam shall be accepted
subject to the contractual terms and conditions below:
1 Definitions
The terms used in this document are defined below
Customer: The party requesting a quotation from Roam and
subsequently forming a contract with Roam for the
supply of services or products.
Roam: Roam Pty Ltd. The party providing the quotation and
forming a contract with the Customer.
Normal soil: Normal soil shall be defined as having the properties:
unit weight > 17 kN/m3, cohesive, no water table
or rock within a depth of 4m from ground surface,
ultimate bearing capacity exceeding 1200 kPa at 2m
depth, and settlement not exceeding 15mm when
subject to a sustained static pressure of 100 kPa.
Consequential costs: Costs that may be incurred as a consequence of
an issue associated with the supply of products
including on-site labour and plant costs and late
delivery penalties.
2 Design
Unless otherwise requested in writing by the Customer at the time it
delivers a request for a quotation to Roam, Roam will undertake designs
in accordance with the latest Australian Standards. Design shall comply
with AS1170, AS4100 and AS3600. Unless advised otherwise, towers
designed in accordance with AS1170.2 shall be designed for a regional
wind speed with 500-year average recurrence interval, terrain category
3, topographic multiplier 1.0.
Structures designed for 500-year average recurrence interval would not
be suitable for special post-disaster functions.
Mt=1.0 implies flat terrain (hill slope less than 0.05)
TC3 implies terrain with numerous closely-spaced obstructions such as
suburban houses or level wooded country.
In the absence of a geotechnical report for the construction site, Roam
shall quote and design a foundation on the basis of normal soil as
defined under clause 1.
Roam structures do not necessarily comply with AS1657.
3 Manufacture
Fabrication shall comply with AS4100. The provision of material
conformity certificates shall only be obtained if specifically requested by
the Customer at the time of quotation. All steel products are supplied
hot-dip galvanized compliant with AS/NZS 4680.
4 Site Access and Site Preparation
Unless otherwise provided site access and site preparation shall be the
sole responsibility of the Customer. Access to site shall permit standard
concrete trucks, standard cranes and semi-trailer delivery trucks to reach
the proposed tower position without assistance. The site shall have a flat
area of cleared land equivalent to that of a square with sides equal to half
the proposed tower height.
5 Delivery Period
The standard delivery time for manufactured Roam products is 8-weeks
ex-works and 10-weeks completed installation. Both stages are taken to
commence from the date of receipt by Roam of a written purchase order
from the Customer. Delivery compliance will be adjusted at the sole
discretion of Roam in the event of site access delays however caused,
non-standard foundation construction and non-compliance with Roam
payment terms (see Clause 10 following).
6 Delivery and Off-loading (supply-only contracts)
Goods will be delivered as near as possible to the delivery destination
specified by the Customer with conventional delivery vehicles. It will
be the Customers responsibility to receive and unload the goods, and if
necessary arrange the final movement of goods to the site. Any costs
associated with unloading the goods, including delays preventing the
timely unloading of delivery vehicles, will be borne by the Customer.
For international deliveries it will be the Customers responsibility to
deliver goods from the port to site including all taxes and fees associated
with clearing goods through customs.
Standard Terms and Conditions
Roam construction personnel shall arrange for the supply of materials
and plant to the tower site on the basis of constructing tower foundations
in accordance with foundation drawings supplied by Roam for the
particular job. Should the foundation be designed in accordance with
assumed normal soil conditions, and excavation reveals the soil
conditions to be other than normal, Roam shall advise the Customer,
and afford the Customer 24 hours to instruct Roam to proceed with a
revised design. Roam shall charge the Customer for additional costs
associated with the revised design. (note: Roam will take full
responsibility for foundation design and costs should they be contracted
to determine soil conditions prior to site mobilisation)
8 Underground Services
Unless advised in writing by the Customer, Roam will assume that there
are no underground services in the vicinity of the foundation excavation
area. Under these circumstances, any costs associated with repair of
damaged services incurred during excavation, or for the relocation of
services, shall be borne entirely by the Customer.
9 Stand-by
The following stand-by rates shall apply when work is either halted at
the request of the Customer, or when site access is prevented after notice
has been given by the Customer that site access and preparation has been
completed.
Labour: $85 per hour per man based on a working week of 10 hours
per day, 7 days per week.
Plant: At cost + 15%.
10 Payment terms
Acceptable payment terms for domestic contracts are;
Down payment of 20% of contract value payable prior to the
purchase of materials.
50% of contract value payable prior to the release of goods to
site.
30% of contract value payable within 30-days after practical
completion.
Acceptable payment terms for international contracts are
either;
Down payment of 20% of contract value payable prior to the
purchase of materials.
Balance of payment prior to shipment of goods;
or,
100% of contract value in the form of irrevocable letter of
credit in-place prior to the commencement of works.
Consultancy Services
Payments for consultancy services shall be monthly progress payments
in accordance with hours worked at agreed hourly rates
Miscellaneous expenses including airfares, travel, visa, accommodation,
meals, fuel, transport, couriers and printing will be charged at cost +15%
11 Validity
Roam quotations are valid for 30 days from the date of the quotation.
Unless noted all quotes are exclusive of GST.
12 Warranty
Roam guarantees to design, manufacture products compliant with the
latest Australian Standards as qualified by the clauses in this document.
Roam further warrant the structural integrity of products for a period of
one year unless failure can be attributed to an installation deficiency or
misuse.
Roam further warrant the structural integrity of all products installed or
constructed by Roam, for a period of one year. Roam recommends all
towers receive an inspection and rudimentary maintenance every 2-
years. Roam can be contracted to undertake inspections or alternatively
Roam can supply the Customer with standard Tower Inspection Forms
for their own use.
13 Consequential costs & Back-charging
Roam will meet all contractual supply and construct obligations. In the
event of a miss-supply, either due to non-conformance, delivery or
quantity issues, Roam reserves the right to re-supply the products in
question. Unless otherwise agreed in writing Roam in no way accepts
any back-charging associated with either direct unauthorized
rectification costs or consequential costs as defined under clause 1.
