MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This AGREEMENT, entered into by and among the following parties hereunder listed, namely,

FELIX DEYTA Representing, AGAW AGIMAT, DODONG CRUZ, DALUYON, LAURA, BONG
DAILO (TALENTS)

GLYNIS BALAGOT SAN JUAN ASSOCIATION OF HOTEL, RESORTS AND RESTAURANTS

(PROMOTER)

WITNESSETH THAT:

WHEREAS, Mr. FELIX DEYTA is the rightful representative of AGAW AGIMAT, DODONG
CRUZ, DALUYON, LAURA, BONG DAILO (TALENTS), and GLYNIS BALAGOT are the rightful
representative of SJAHRR (PROMOTER/s), respectively;

NOW, in view of the foregoing premises, the above-mentioned individuals hereby agree on the
following terms and conditions;

1. That the PROMOTER has hired the services of TALENTS for one show in the amount of ONE
HUNDRED FIFTY Thousand Pesos (P 150,000.00) on April 15, 2017 at URBIZTONDO, SAN
JUAN, LA UNION.

2. That the PROMOTER/s shall give TALENT a 50% advanced down payment in the amount of
Seventy Five Thousand Pesos (P 75,000.00), and that the balance of Seventy Five Thousand
Pesos (P 75,000.00), shall be released to the talent's representative before the actual
performance/s;

3. That the PROMOTER/s shall provide the group with decent HOLDONG AREA and MEALS
during their stay in San Juan, La Union;

4. That the PROMOTER shall ensure the safety and security of the TALENTs while in San Juan,
La Union before, during, and after the show;

5. That in the case the show is canceled by the PROMOTER/s after the TALENTS have arrived
in the venue's geographical location on the day of the performance, the PROMOTER/s shall be
liable to pay TALENT the balance from the full contract price;

6. That the TALENT is in no other obligation whatsoever to the PROMOTER except for the
above-mentioned services;

7.That this memorandum of agreement shall be deemed in effect upon receipt of the down
payment by the TALENT.

IN WITNESS HEREOF, the parties have signed this agreement in San Fernando La Union on
March 27, 2013.
