third person without consent from Northgate Land Philippines INC.

It is herby expressly understood that there is no employer-employee relationship between

you and Northgate Land Philippines INC., and you shall perform such functions as
agent or independent contractor only. You shall be entitled to such commission and
incentives in accordance with Northgate Land Philippines. INC. Policies,
guidelines and structures, all of which are subject to change without prior notice. You
shall remit immediately to Northgate Land Philippines INC all moneys collected
from client. Northgate Land Philippines INC shall not be liable or obligated fro any
and all payments and disbursements made by any buyer not official acknowledged and
receipted for by Northgate Land Philippines INC.

No transfer to another group shall be allowed without the written authority and consent of
Northgate Land Philippines INC..

In the performance of your functions, you shall observe all laws, rules and regulations
promulgated by the government of the Republic of the Philippines and by Housing and
Land Use Regulatory Board (HLURB) and shall be fully and solely liable for any and all
violations of the same. You undertake to be solely responsible for any liable that may
arise from your designation, agreeing to hold Northgate Land Philippines INC
harmless from any claim whatsoever. Should any person or entity, sue or file any legal
action against Northgate Land Philippines INC on account of any act or transaction
facilitated by you, you agree to actively participate and assist Northgate Land
Philippines INC in any and all manner necessary to defend against such claim.
