a. Transferability of property is the general rule; its non transferability is an
exception. Explain. (7 marks)

b. Roni professes to transfer the property of Raja to Rani gratuitously. Raja decides
to retain the property. Rani files a case against Roni claiming compensation for
non performance of the promise of delivering the property.

Decide whether Roni is liable to compensate Rani? If yes, what will be the
amount of compensation? If no, why? (3 marks)

a. What do you understand by Doctrine of Acceleration? Elaborate with the help
of legal provisions and suitable illustrations? (5 marks)

b. Discuss the validity of the below mentioned transfers with the help of relevant
provisions: (2 x 2.5 marks)
i. A transfers a property to B on 1-1-1980 subject to the condition to
accumulate Rs. 500 per year out of the income of the property till the
lifetime of B. B dies on 31-12-2010. A dies on 31-12-1995. Whether the
condition for accumulation is valid? If yes, to what extent? If no, why?
ii. A makes a gift of his property to his daughter B for life then to her
children when they attain the age of 21 years. B has no children on the
date of gift. What is the effect of such gift?

a. What is conditional transfer? What are the different kinds of conditions subject
to which a property can be transferred? (4 marks)

b. A made a trust in respect of some of his properties in favour of his family deity
and appointed his three sons B, C, and D as Shebaits. After two years of
creation of such an endowment C died, his widow instituted a suit for her
entitlement to function as a Shebait in place of her deceased husband. Further A

created another trust in respect all his properties for the purpose of discharge of
all his debt out of the certain income of the properties and provided that after the
termination of the trust and after the death of A himself all the properties shall
go to B and D absolutely. In the meantime B dies.

In the light of the above facts decide with the help of relevant provisions and case
laws,
i. Whether the widow of C is entitled for shebaitship?
ii. Whether the interests created for B and D are vested or contingent?
iii. Whether widow of B will get any interest in the properties? (6 marks)

a. The directors of a company are a seat of powers and as well as locus of
legal responsibility. The Board shall be entitled to exercise such powers
and do all such acts/things as the company is authorized to exercise and do
in the general meeting. Moreover, in the words of Justice Greer, The
shareholders themselves cannot usurp the powers which by the articles
are vested in the directors any more than the directors can usurp the
powers vested by the articles in the general body of the shareholders

Justify the above statement. Critically discuss the position of


Shareholders vis--vis the Board of Directors and in doing so classify in
detail the powers of the board of directors. Are there any exceptions or
restrictions on these powers? Elucidate.

a. It is the cardinal principle of company law that the majority of the
members is entitled to exercise all the powers of the company and
generally to control its operations. A company is a democratic institution
in which the majority has a right to control the company. But on the other
hand, if the majority has its way, the minority has its say.

Do you agree with the above statement? How far do you see that this
shareholders democracy is in point a fact being maintained in the company
form of business structure? Critically analyse the entire situation by
talking through the rule laid down in the leading case of Foss v. Harbottle
along with its remedies and the statutory exceptions to it.

b. Mr. A was appointed director of the company in its annual General
Meeting. He took over the office and started acting on behalf of the
company as its director. Subsequently, it was found that the appointment
of the director was not valid because in the meeting where he was
appointed, certain members who had voted were not qualified to vote and
certain members had voted twice by mistake. There were also certain
mistakes in the counting of votes. As such, the appointment of the director
was held to be invalid. Would the acts of Mr. A, done by him in the
capacity of a director, be valid and binding upon the company? Comment.

a. The conduct must be burdensome, harsh and wrongful and the mere lack
of confidence between the majority shareholders and the minority
shareholders would not be enough. Section 397 and 398 are intended to
avoid winding up, if possible, and keep the company going, while at the
same time receiving the minority shareholders from oppression and
mismanagement

priorities for them. In planning for the future, it is important for the companies to
have a clear and consistent objective for strategically planning finance. It requires
an understanding of the working of the capital market, investment objectives, the
benefits and relation between the decisions that takes place within the corporation.

Justify the above statement. What do you mean by the term Corporate Finance?
Critically discuss the nature and scope of Corporate Finance from the perspective of
Financial Management which includes the various decision making processes and
their interrelationship? Also talk through the basic objectives of a corporate firm

concerned he is a person whose money has been accepted on the footing that the

a. In the light of the above statement find out the relevancy of the Duration
Theory to constitute a person a customer of a particular bank in the
present era with the relevant case laws.

b. Briefly explain the general relationship of Banker with that of Customer.

2. Under the severe criminal laws of 17th Century England, a man in debt was
liable to arrest and trial. If found guilty, and if his creditors demanded that he be
incarcerated in debtors prison for his insolvency and financial default, he would
be taken into custody by the police any day of the week save one Sunday, the
Lords Day. As a consequence, a man wanted for debt would usually go into
hiding six days of the week-but on Sunday, immune from seizure, he would
appear proudly in public as safe as any solvent gentleman. He was free to
breathe the free air, to mingle in the streets and alehouses with his fellows as
their equal, suffering no threat from the Throne or fear of being flung into the
prison. Contrastingly, the laws in India against a defaulting drawer of Cheque
were less draconian until the turn of the 20th Century.

Q.1. The main object of establishing SEBI was to regulate the market and protection
of investors. The Jurisdiction of SEBI was enlarged to register and regulate a
few more intermediaries and other persons associated with the securities
market. The amendment Act from time to time empowered SEBI to register and
regulate the working of the intermediaries like depositories, custodians for
securities and also certain other persons associated with the securities market
like foreign institutional investors, credit rating agencies and venture capital
funds etc. SEBI was also given blanket authority to regulate other
intermediaries or persons not named specifically in the statute, by specifying
them through a notification. This obviated the need for amending SEBI Act
every now and then to deal with a particular type of intermediary or a person
associated with the securities market that may emerge in future.

In the light of the above statement, elucidate, to what extent SEBI succeeded in
protecting the interest of investors thereby promoting the development and
regulating the securities market and also the market intermediaries. In doing so,
briefly explain the role of SEBI in latest SAHARAs Case.

2. A company was the registered proprietor of the trade mark MOOVE for the
dairy products since 2003. The company had in its application proposed the use
of the said trade mark after the grant of registration which they started after the
registration was granted. In the year 2008 another company which was also
using the trade mark MOOVE for the dairy products from 1999 filed an
application before the Registrar for rectification by expunging the trade mark
under section 57(2) of the Trade Marks Act, 1999 claiming that the registered
proprietors trade mark is wrongly remaining on the register, as it has not
complained against the use of the said trade mark by the applicant after taking
registration, at any point of time before any authority, despite being aware of the
fact of it being used by the applicant, which has resulted in confusion in the
general public because of the availability of two identical trade marks for

identical goods. The registered proprietor admitted the fact that it was aware of
the fact that the said trade mark was being used by the applicant continuously
from 1999 but insisted that this fact in itself clearly suggests that their trade
mark is not wrongly remaining on the register. Decide the rectification
application addressing these rival contentions with the help of relevant
provisions of the Trade Marks Act, 1999 and the decided cases, if any.

3. Define a well-known trade mark. Do you think that it is necessary for any trade
mark in order to be a well-known trade mark, for the purposes of section 11(2) of
the Trade Marks Act, 1999, that it must have reputation and goodwill in India or
even the overseas reputation and goodwill is sufficient? Answer with the help of

Institutions can also be considered as subjects of International Law- Examine this statement in the
context of modern developments in International Law.
3. Write Short Notes on the following:
a. Concept of State and various types of States under International Law.
b. Concept and types of State Recognition under International Law.

Constitutional Governance-II

1. The repromulgation of the Ordinance is an abuse of power and an act of fraud on


the Constitution; if the government ventures to rule by repeated Ordinances without
taking courage to face the elected representatives of the people in the House by
keeping ordinances alive indefinitely without enacting their provisions into Acts of
Legislature.

Examine critically the above statement in the light of judicial pronouncement.


Also point out the circumstances under which the President may promulgate
Ordinances.
2. (a) A President of India appoints J as the Prime Minister knowing well that he
is neither a member of Parliament nor he is eligible to be a member of any House of
Parliament. Decide whether the appointment is valid.

(b) Discuss the principle of collective responsibility as given under the Constitution
of India.
3. (a) Discuss those circumstances under which Parliament can legislate on
subjects enumerated under State List.

(b) Explain the doctrine of Territorial Nexus.
