Dear Mrs. Emerich,

I am sending you this letter to inform you of ConAgra Brands Code of Ethics. For this
company the Code of Ethics is acting in a manner that reflects the highest ethical
standards and to establish principles and guidelines for working.

The Code of Ethics for this company applies to several groups of people. These
groups consist of board of directors, employees, contractors, consultants, trainees,
temps/agency workers, interns and volunteers. This also include suppliers, vendors,
law firms, and other service providers.

This Code of Conduct is intended to ensure ConAgra Brands operates in compliance

with all laws and regulations applicable to its business. It allows for any member to
ask questions, report any violations, and cooperate during investigations. It deals
with corrective action and discipline of employees, consumers, and suppliers. I
would not add or remove any items from this Code of Ethics.
