Contract: English

THIS AGREEMENT made at ... on this day of . 2016, between Tamil Nadu National
Law School, a university incorporated under the Tamil Nadu National Law School Act, 2012,
represented by its Registrar of the ONE PART (hereinafter referred to as the Employer or the
University) and XYZ Mess Contractor registered under and represented by Mr. R (Head and
Owner in part of XYZ Mess Contractor) (hereinafter referred to as the Contractor) of the OTHER
PART.

AND whereas the Employer has empanelled the Contractor for providing operational services to its
mess of both, the Womens Hostel and Mens Hostel, as per the terms and conditions, specifications and
general conditions set in this agreement.

AND whereas the said terms and conditions, specifications as well as the scope of work to be done, as
set out in the contract, have been accepted and signed by the Contractor.

AND whereas the Contractor has agreed to execute the work shown in the contract.

AND whereas in the event of the breach of any term(s) of the contract by the Contractor, the Employer
may terminate the contract and the Contractor will not be entitled to compensation in case of such
termination.

AND whereas, any dispute arising from the contract or termination of contract thereof may only be
settled in the District Court of Tiruchirappalli.

AND whereas in pursuance thereof, the Contractor has commenced work with effect from 17th January,
2016.

NOW it is thereby agreed as follows:

1. The contract agreement would be for a period of one year starting from 17th January, 2016.

2. Scope of Work:

The contract is essentially for providing following messing services to the residents the Womens
Hostel and Mens Hostel situated within the campus of the Employer. The Scope of Work, covered
by the contract, is broadly but not extensively described as given below:
a. Cooking and serving three meals - breakfast, lunch and dinner. The hostel reserves the right to
include the service for the preparation and serving of tea and light snacks in addition to these
three meals. The terms and conditions of such an addition will be worked out as and when
required;
b. Facilitate procurement of raw material for and on behalf of the hostel;
c. Managing and control of stocks and inventories;
d. Cleaning of utensils, kitchen and serving items;
e. Cleaning of cooking, dining and auxiliary areas;
f. Security of the equipment, utensils and other items in the mess;
g. Maintenance of the equipment in the kitchen and dining areas;
h. Maintenance of books, ledgers, other records and documents related to running of the mess;
i. Deployment and supervision of required man power for the above mentioned tasks.

3. Each of the three meals that is, breakfast, lunch and dinner will be served over a period of 2 to 212
hours. The Mess Committee (a committee constituted by appropriate authorities, subordinate to the
Employer) will decide the timings for each meal on different days. The timings may be
appropriately revised over the year as per academic and other activities, and the revised timings
shall be communicated to the service provider at least a week in advance. The hostel may also
require the service provider to serve evening tea with snacks, and details such as the menu and
timings will be communicated by the head of the Mess Committee.

4. The Mess Committee shall provide a menu to the Contractor. This menu shall not, unless with due
intimation to, and with approval of, the Mess Committee, be subject to any change by the
Contractor. Request for change(s) in the menu ought to be submitted at least a week before the
proposed execution of said changes failing which, the change(s) will be rejected.

5. In case the food served in any meal is not in accordance with the menu and does not have prior
approval of the mess committee, the Contractor will be in breach of the terms and conditions of this
contract and the contract may be terminated by the Employer.

6. The Contractor shall procure wholesome food articles of good quality in consultation with and to
the satisfaction of the Mess Committee. The Mess Committee may draw up a list of potential
vendors or determine the brand for any or all the items.

7. The mess premises comprising, cooking and dining facilities, furniture, electricity and water shall
be provided by the Institute free of cost. However, food/raw material containers, appliances,
utensils, cleaning/washing materials/tools and man power to properly maintain this infrastructure
shall be arranged by the Contractor at his/their own cost.

8. The service provider shall not be allowed to use electricity as a cooking fuel. However, use of
toasters, refrigerators, water coolers, mixer/grinder, oven and other equipment for cutting/grilling
vegetables, etc. shall be permitted. Any other electrical cooking appliance may also be used by the
service provider after obtaining prior written permission of the Chief Warden and/or Registrar of
the University.

9. The mess will normally be in operation for at least 9 months in a year. No payment shall be made to
the Contractor when the mess is closed. The academic schedule shall be communicated to the
Contractor well within one month of commencement of a semester. Any changes in academic
schedule will be communicated within one week of the official decision to make the said changes.
10. The mess halls shall be adequately staffed and, engaging of the required staff members (to both
cook and serve the food prepared and perform any other activity deemed appropriate) shall be the
responsibility of the Contractor.

11. The said staff members recruited by the Contractor (hereinafter referred to as the staff members)
shall wear hair nets and hand gloves at all times and not follow any unsanitary practices. The staff
members are also not employees of the University and any and all disputes between the Contractor
and his employees shall not affect the execution of the terms, conditions and specifications of this
contract. The staff members also shall not avail any privileges offered by the University to its
employees.

12. The University reserves the right to check the cleanliness, hygiene, and upkeep of the premises by
the Contractor, and the staff members at any given point of time.

13. The Contractor shall meet with the Chief Warden and the Mess Committee at least once a month
failing which, the University reserves the right to dissolve this contract. Meetings may be
conducted within a lesser time span and it is the obligation of the Contractor to attend any and all
meetings. Failure to do so may result in dissolution of contract or imposition of heavy penalty or
both.

14. The Employer will pay the Contractor his dues on or before the 10th of every month failing which
the Contractor may sue the Employer in the District Court of Tiruchirappalli.

15. The University and its respective employees and students shall not in any way interfere in the
working of the staff members. The Employer shall also not instigate and/or penalize the staff
members in any way whatsoever.

16. Any communication about the food provided by the Contractor and/or upkeep of the premises by
the Contractor shall be made to the Contractor directly and will not be communicated via the staff
members.

17. The Contractor shall be held responsible for any untoward incident(s) arising due to the food and/or
upkeep of the premises and will be legally liable for any and all damages caused.
18. On expiry or earlier determination of the settlement, the Contractor and the staff members shall
vacate the premises, without in any way causing any damage to the set premises and the
Universitys property therein.

19. In case of any dispute or difference arising between parties under this agreement, the decision of
will be final and binding and the Contractor will not be entitled to lodge any claim against the
decision of the

20. The stamp duty on this agreement and duplicate thereof shall be born by the Contractor. The
original shall be retained by the Employer and the Contractor shall retain the duplicate.
