ANNUAL GENERAL MEETING - 2017

There were 31 members in attendance as well as the IIRSM CEO, of which all 6 standing Committee members were present.

ITEM MEETING MINUTES Seconded Motion

1. The Chairman, Matt Cox declared the meeting open at 16:45 and that a quorum was present. - -
2. No committee or individual members declared that they had any conflicts of interest. - -
The minutes of the IIRSM UAE Branch AGM meeting held on May 2016 were conveyed by the Chair, inclusive of

an overview and review of the strategy.
4. The branch financial statements were reviewed, discussed and endorsed. Frank Higgins Carried
Voting for the position of Vice Chairman took place, specifically for those who had not voted online. After voting
5. and counting was completed, and reviewed by the IIRSM Chief Executive, it was announced to Luay Sahib Salih Dave Bass Carried
was successful in being elected as Vice Chairman. There were no objections.

ITEM MATTERS ARISING Seconded Motion

Invitations to be forwarded to branch members should any invitations for external speaking
engagements were to arise.
It was discussed that any request for speaking engagements shall be communicated to branch
members to solicit interest.
1. Daryl Wake Carried
Motion was countered in that the committee must retain the right to screen or veto any potential candidates. If
the decision of the branch committee is that any individual is not of adequate standard and could potentially
jeopardize the credibility of IIRSM, then the individual involved would be afforded coaching via the CPD
Coordinator until deemed competent. Motion carried.
Future UAE Branch AGMs & Symposiums not to be held in any year where IIRSM has scheduled a
conference in UAE.
This motion was initially denied, however following a discussion tabled by Matt Cox, in that the branch must hold

an AGM every year. The resulting motion proposed was that IIRSM UAE Branch would not hold a symposium /
conference or similar if the Institute was to hold a conference / function in the UAE within the same year (e.g. no
clashing events in the UAE). Motion carried
Financial Outlays: UAE Committee can spend sums up to AED5,000 without prior approval
(transparent accounting). All sums over AED5,000 requires prior approval from IIRSM Director of
Finance.
3. Daryl Wake Vetod
Whilst members were in general favour, as Chairman Matt Cox vetod the motion. It was discussed that this is an
issue that must be discussed and agreed by the Finance and General Purposes Committee, as it was not within
the remit of the branch to set such a value. Matt Cox will follow this up.
Sub-committee for event management support IIRSM.
It was discussed that the symposium had taken an awful amount of time and effort in arranging the event. It

was therefore proposed that a sub-committee would be established for any further events, leveraging a wider
array of IIRSM UAE branch members. Motion carried

Following the close Vice Chairmans election, the UAE Branch committee, in accordance with the Branch

Handbook co-opted Jason Woods to stand as Branch Officer. This decision has to be ratified by member vote at
the AGM. A vote was held, with full support for Jason to serve on the UAE Branch Committee.
