SUB-LEASE CONTRACT

KNOWN ALL MEN BY THESE PRESENTS:

This agreement is made and entered into by and between:

_______________, of legal age, Filipino and with address at _____________,


Ermita, Manila, hereinafter referred to as SUB-LESSOR

-And-

_______________________, of legal age, Filipino and with address at


________________________, hereinafter referred to as SUB-LESSEE.

-WITNESSETH

Whereas, SUB-LESSOR is authorized by its LESSOR _____________. to sub-lease its


leased premises situated along San Marcelino St., Brgy. 659, Ermita, Manila; Whereas,
SUB-LESSEE is interested to lease a certain portion of the above mentioned leased
property.

NOW, THEREFORE, for and in consideration of the foregoing, the SUBLESSOR


hereby sublets and subleases unto the SUBLESSEE the portions of the subleased
property described below and the SUBLESSEE hereby accepts the sublease, subject to
the following terms and conditions, to wit:

1. THE SUBLEASED SPACE/ PREMISES. The SUBLESSOR hereby transfer


and conveys by way of sublease in favor of the SUBLESSEE the certain portion
of the formers subleased property, specifically Bldg. _____ with an area of
_________________ ( ___ ) SQUARE METERS, located along San Marcelino
St., Ermita, Manila. The map showing the location of the said subleased property
is herein attached as ANNEX A.

2. THE MONTHLY RENTAL. The SUB-LESSEE shall pay unto SUB-LESSOR


without need of any demand the agreed monthly rental fee of
______________________________ every ___ of the month.

That in case of default, the amount of rentals due or owing shall, as penalty, bear
interest at the rate of two (2%) percent per month, to be computed from the date
of default until fully paid without prejudice to the right of the SUBLESSOR to
terminate this Contract and eject the SUBLESSEE as hereinafter set forth.

3. PURPOSE. The SUBLESSEE shall use the sub-leased portion of the premise
exclusively for Food Stand (Mami and Pares Stand) only. The SUBLESSEE is
prohibited to sell, consign, dispose, or have the business operated by a third party
without the written permission of the SUBLESSOR. Otherwise, the same shall
constitute a breach of this agreement.
The SUBLESSOR subleases the portion of the property to the sublease on anAS-
IS, WHERE-IS basis. Thus, the SUBLESSOR, upon the commencement and
duration of the sublease, shall not be responsible for any major and minor repairs
to be done on the sublease premises and the same shall be for the account of the
SUBLESSEE.

4. TERM OF SUBLEASE. The term of this sublease shall be for a period of


_______ (__) YEARS commencing from______________________ or up to
________________. It may be renewed thereafter by mutual agreement of the
parties but subject to such new terms and conditions as may then be mutually
agreed upon and subject to the prior written approval and consent of the original
LESSOR. It is a condition precedent however of this SUBLEASE that this
Sublease Agreement is subject to the terms of SUBLESSORs original lease with
ORA REALTY CORPORATION.

5. NATURE OF BUSINESS ACTIVITY. The SUB-LESSEE shall undertake


legitimate business only at its leased portion and shall acquire, register and pay its
own licenses, duties and taxes to the government. The SUB-LESSEE however is
allowed to install grill station/barbeque stall in front of the establishment with the
consensus of the SUB-LESSOR.

6. TENANTABLE CONDITION, REPAIRS and IMPROVEMENTS. The


SUBLESSEE hereby expressly acknowledges receipt of the subleased premises in
good and tenantable condition and agrees to keep the same in such condition at its
own expense, ordinary wear and tear excepted. Any provision of the law, present
or future, or any stipulation in this agreement to the contrary notwithstanding, the
SUBLESSEE hereby agrees and binds itself to undertake and do all the repairs,
major and minor, which may due on the premises.

7. WATER, ELECTRICITY, LIGHT AND OTHER UTILITY SERVICES. The


SUBLESSEE shall pay for and defray at its exclusive expenses the cost of water
consumption, electric, telephone, or other utility services on the subleased
premises. A separate utility submeter shall be installed for individual measured
utility usage of the subleased portion of the property.

8. RULES & REGULATIONS. The SUBLESSEE binds himself to comply and


faithfully observe all the applicable Rules and Regulations promulgated by the
Administrator of the leased premises.

9. PROHIBITION. The SUBLESSEE agrees that he shall NOT-

a) Use the premises for prostitution, gambling, cabaret, smoking dens or


other purposes prohibited or made illegal by the law, order or ordinances;

b) Convert the subleased premise into any other purposes other than to which
the parties herein have intended it;

c) Undertake any drinking session or allow strangers to conduct the same or


any other similar manner within the subleased premise;

d) Store, place and deposit in the leased premises any merchandise, goods
and substances, the storing, keeping or depositing of which is prohibited
by laws, rules, regulations order or ordinances of the national or city
government, or by the terms of the policies of insurance covering said
leased and subleased premises.
10. DISTURBANCE, ETC. Disturbance or discontinuance of the possession of the
subleased premise by the SUBLESSEE which may cause beyond the control of
the SUBLESSOR shall confer no right of any kind to the SUBLESSEE as against
the SUBLESSOR.

11. BREACH OF CONDITIONS & ABANDONMENT OF PREMISES. In case


of breach of the SUBLESSEE of conditions and convenants of this sublease as
herein above stated, or should the SUBLESSEE abandon or vacate the subleased
premise before the expiration of the period of this sublease, the SUBLESSOR
may at his option, immediately re-enter the subleased premise and this sublease
shall thereupon be automatically terminated. It being understood expressly that in
order to enforce such termination, no demand or notice of any sort is needed,
mere breach or abandonment of the SUBLESSEE of the subleased premises is
sufficient. In such event, the SUBLESSEE shall continue to be liable for the
rentals corresponding to the unexpired period of the sublease as herein above
provided. Nevertheless, the SUBLESSOR shall immediately have the right to
release the premises for such rental and under such conditions as he may see fit.
Any expenses for the releasing of the premises, as well as all deficiencies and
damages arising out of such abandonment or breach of conditions, shall be for the
account of the SUBLESSEE.

12. TERMINATION. This sublease agreement shall be considered terminated and


cancelled and said subleased premise shall be vacated peacefully and surrendered
by the SUBLESSEE to the SUBLESSOR-

a) If the rentals stipulated or any part thereof shall at any time be in arrears or
unpaid; or,

b) Upon written notice of termination given by one party to the other at least
thirty (30) days prior to the intended date of termination; or,

c) If the SUBLESSEE at any time fails or neglects to perform or comply


with any covenants or conditions, agreements or restrictions herein above
stipulated; or,

d) If the SUBLESSEE shall become bankrupt or insolvent; or,

e) If the SUBLESSEE abandons the subleased premise before the expiration


of the period of this contract.

Upon termination of this Contract as herein above provided, it shall be lawful for
the SUBLESSOR or any person duly authorized on his behalf without any formal
notice or demand to enter into the said premise hereby subleased or any part
thereof, without prejudice on the part of the SUBLESSOR to exercise any or all
rights arising from this Contract and those given by law.

13. WARRANTY. The SUBLESSOR shall maintain the SUBLESSEE in free and
peaceful possession and use of the lease premises during the continuance of the
lease provided the business operations being conducted by the SUBLESSEE shall
not be contrary to public morals and order.

14. The CONTRACT shall be binding upon the heirs, executors, administrators,
successors and assign of the parties.
