LEAVE AND LICENSE AGREEMENT

This agreement leave and license made & entered at Jalandhar as on 4th July, 2017 between
Deepak Seth s/o R.L Seth r/o SCF 8 NEW JAWAHAR NAGAR JALANDHAR; hereinafter
referred to as THE LICENSOR which shall mean and include their survivors and respective
heirs, executers, administrators and assigns, hereof one part and Manjit Singh s/o S. Amarjit
Singh r/o 3316 sector 32 D Chandigarh. Hereinafter referred to as THE LICENSEE, which
expression shall mean and include their successors, assigns and legal representatives, here
as another part.

WHERE AS:

The licensor is the owner of the property SCF-8 NEW JAWAHAR NAGAR MARKET,
JALANDHAR hereinafter will be referred as to as THE PREMISES

The licensor has agreed to grant license to the licensee for first floor of SCF 08, NEW
JAWAHAR NAGAR JALANDHAR for use of the office premises therein, which the licensee has
agreed to hold for the period and upon the terms and conditions set out herein below. The
Licensor will be possessor of the said office premises and physical possession will be of the
licensor. The licensee has no concern with any other part of the premises.

NOW THE FOLLOWING HAS BEEN AGREED BETWEEN THE PARTIES TO THE LICENSE:

1) In consideration of the compensation hereinafter reserved and subject to all the


covenants and conditions hereinafter contained to be observed and performed on
the part of the licensee, the licensor hereby grants in favor of the licensee the license
to use the premises for the period of 11 months commencing from 4th july 2017 i.e.
up to 3rd June, 2018. the licensee shall have the right to use and enjoy entitled there
to, the entrances,staircases,corridors and passages in the building where the
premises are situated and the right of ingress and egress from the enjoyment of the
premises by the licensee,employees,servants,agents,visitors and invitees.

2) That the license will stand IPSO FACTO revoked on the expiry of 11 months from the
date of this deed.

3) Use and Occupancy charges:

The licensee shall pay the license fee to the licensor for the use of the premises a
sum of Rs 36985/- for 1st floor (Thirty Six thousand nine hundred and eighty five
rupees for first floor) per month in advance for the office premises which is provided
without furniture & fixtures. If licensee fails to vacate the premises after the expiry of
license then he will have to pay penalty of Rs 2500 (Two thousand five hundred only)
per day in addition to the license fees. The licensee will pay corporation tax to the
Municipal Corporation, Jalandhar and other taxes/cees to concerned authorities if
applicable. Each of the parties to the agreement has mutually agreed this upon.

4) The license granted for the use of the premises is exclusively for commercial use for
office of the licensee and not for any other purposes.) The licensee covenants
with the licensor as follows:

a. The licensee is obliged to pay the monthly license fee for the use and
occupancy as per clause 3 above, during the license period in advance, in case
cheques returns or stop payment license will be terminated

b. To pay directly to the appropriate authorities all the charges for electricity
consumed in the premises by the licensee during the period of license in

accordance with the consumption indicated by the reading of the meters
installed in the premises.

c. The premises are meant for the usage of licensee only, and the same cannot be
sublicensed. Assigned or alienated by the licensee during the license period,
and the licensee will not permit the use of the premises in part or whole by the
third parties during the period of the license, save and except persons visiting
he licensee for its normal business activities.

d. To maintain and use the premises and facilities provided by the licensor herein
in good and prudent manner. However, the licensor should carry out the
normal day-to-day repair if required at the cost of licensee

e. To abide by and comply with the bye-laws, rules and regulations of the
municipal corporation or any other local legal authorities having jurisdiction
over the premises. However the licensor will pay corporation tax to the
MUNICIPAL CORPORATION, JALANDHAR.

f. To yield and (withdraw from occupancy) deliver vacant possession of the


premises without any furniture and fixtures.

g. Not to sublet, underlet, assign or transfer either part or whole of the premises

5) The licensor covenants with the licensee as follows:

a. To permit the licensee at any time from time to time make and effect upon the
premises, at the cost of licensee, such additions, alterations and changes as
may deem necessary, incidental or advantageous for purpose of the use of the
premises for commercial purposes. (Including installation of electrical gadgets)
provided however, the licensee shall, at its own cost and if so required by the
licensor, restore the premises to substantially the same condition in which they
were at the time when the licensee .entered into occupation thereof. The
licensee in the premises shall make no structural addition or alterations.

b. To allow the licensee to enjoy quiet and peaceful occupation of the premises
during the entire period of the license without any interruption by the licensor
or any person or persons lawfully claiming either through or under or in trust
for the licensor or otherwise. The possession of the office premises will be of
Licensor.

c. To provide reasonable assistance and support to the licensee in obtaining
approvals, consents, permissions and authorization of municipal and local
bodies, as may be required in terms hereof and in that behalf the licensor shall
sign such applications and documents as the licensee may require.

d. To keep the premises and the building as also the facilities provided therein in
good order and proper condition and to undertake major structural repairs as
and when such defects are notified to the licensor by the licensee and to bear
and pay, any cost that may arise in respect thereof.

6) TERMINATION:

a. The Licensee shall be empowered to terminate the License of any floor at any
time after from date of execution of this agreement, by giving One month's prior
notice in writing to the Licensor with assigning appropriate reasons.

b. The Licensor shall terminate the License only under the circumstances where
the Licensee has committed breach of any of the terms and conditions under this
agreement including default to pay the Use and Occupancy Charges in manner
as aforesaid and has failed to remedy the same within period of. 60 days from
receipt of notice from the Licensor in this behalf.

7) If the licensee defaults for payment of charges as per Clause 3 and taxes payable for
the said premises for more than one month from the due date of payment or otherwise
commit a breach of the observance or performance of any of the licensee's obligation
hereunder, the licensor may serve to the licensee a notice in writing specifying amount
of arrears or breach of observance, as the case may be and if the same is not rectified
by licensee within thirty days of receipt of such notice, then the licensor may at its
option forthwith terminate the license by giving a notice specifying reasons in writing
to the licensee.

8) While both the parties specifically understand at the time of executing this License
Agreement that the party of the first part is licensor and the party of the second part is
licensee and both the parties licensor & licensee collectively execute this License
Agreement. It is also specifically confirmed and admitted by the party of the second
part that the party of the second part is licensee and has no right to claim any tenancy
right or any other right as per the provision of the East Punjab Rent Control Act. And

shall not demand any right under East Punjab Rent Control Act as a tenant. The privity
of the contract between the parties is merely License and as such the party of the
second part shall not dispute and claim any other right as a tenant.

9) After expiry of the term of license, immediately peaceful and vacant possession of
the licensed premises shall be delivered by the party of the second part to the party
of the first part without any objection, dispute or claim of any kind.

10) Any charges in respect to Stamping and Registration shall be borne by both the
parties in equal share.

11) Security amount Rs 63000/- (rupees sixty three thousand only) paid to the licensor will
be returned without interest to the licensee after termination of the agreement after
deducting any arrears and bills raised by P.S.P.C.L and Municipal Corporation JALANDHAR .

IN WITNESS WHEREOF the licensor and the Licensee have hereunto subscribed
their hands on the day, month and the year first above written in the presence of
attesting witnesses.
