California Society of CPAs Campus Ambassador Agreement

The California Society of Certified Public Accountants (CalCPA) and _______________ (Campus
Ambassador) agree as follows:

CalCPA Campus Ambassadors are students working to promote CalCPA and the CPA profession at
their university as well as acting as liaisons between the university and their local chapter. A Campus
Ambassador will work with the support of CalCPA staff to carry out the following Minimum
Requirements from January 5 to June 16, 2017:

1. Set as a goal, to increase student membership of between 5-7.5% on the respective


campus.
2. Increase CalCPA visibility on campus and/or in the community by participating in one
event per Period in which CalCPA staff and/or a CalCPA member is involved, or obtain approval for
participation in an alternate activity in which CalCPA staff and/or a CalCPA member is not involved, but
for which the Campus Ambassador has obtained prior written approval from David Lo. Additional events
may be required depending on the campus and the specific strategic needs of CalCPA.
a. Document events with photos uploaded to social media or emailed to
CalCPA.
3. Make one report to the local chapter board per period on campus membership
recruitment efforts and events.
a. Reports to the local board must be in person. Reports to David Lo are to be
in written form.

Campus Ambassadors are to perform these Minimum Requirements in a professional manner, and shall
devote such time as is required to adequately perform the Minimum Requirements.

The term of this Agreement will commence on January 5, 2017 and will terminate automatically on June
15, 2017 (Automatic Termination Date). CalCPA, however, reserves the right to terminate the
relationship with the Campus Ambassador in advance of the Automatic Termination Date (Early
Termination) if the Campus Ambassador fails to satisfy the Minimum Requirements or if the Campus
Ambassador engages in any behavior or activities that, in the sole discretion of CalCPA, may be
detrimental to the reputation of CalCPA. Such an Early Termination can be made at any time with 10-day
written notice. The Campus Ambassador may terminate this Agreement for a material breach of this
Agreement by CalCPA with 10-day written notice.

In addition to the three deliverables required of all campus ambassadors (recruiting student members,
holding one event on campus and reporting on their activities). Ambassadors are eligible for additional
bonus pay for completing the following optional assignments:

10% bonus of the period stipend (complete two tasks to receive entire bonus)
o Attend one chapter student or YEP event during appointment
o Identify potential ambassador successor
o Assist CalCPA Institute with securing a venue for the California Financial Literacy
Roundtable (schools are to be identified by CalCPA Institute)
15% bonus of the period stipend (must complete two assignments in order to receive entire
bonus)
o Attend and bring 3 or more students to a chapter student or YEP event

o Submit one written article for posting on local chapter blog (150-200 words max)
o Conduct one hour workshop on financial literacy or accounting careers presentation to
non-accounting, business or finance majors on campus (in addition to one mandatory
event)
o Meet with BAP or AS executive officers for coffee to promote CalCPA and find out how
the society can assist students in their journey to becoming CPAs. Report findings to
CalCPA Institute. (Ambassadors would be reimbursed for this expense)

In order to receive said bonuses, ambassadors must document and report on these activities and CalCPA
staff must be able to verify that the the tasks were performed.

It is expressly agreed and understood that the Campus Ambassador is performing services under this
Agreement as an independent contractor for CalCPA, and the Campus Ambassador is neither an employee
nor an agent of CalCPA. As such, Campus Ambassadors will have no authority to act, to make any
representation to enter into any contract or commitment, or to incur any liability on behalf of CalCPA.
The Campus Ambassador will have sole control over the detailed manner and method of performance of
the Minimum Requirements. The Campus Ambassador will not be reimbursed for any expenses incurred
in connection with his or her performance of this Agreement without advance written approval from John
Angelo, Executive Director, CalCPA Institute.

If the Minimum Requirements for the period are met, the Campus Ambassadors will receive payment in
relation to the identified size of the accounting program as indicated on the campus ambassador
application during the period. The payment will be as follows:

a) Large programs- Seven Hundred Fifty Dollars ($750.00)


b) Medium programs- Five Hundred Dollars ($500.00)
c) Small programs- Two Hundred Fifty Dollars ($250.00)

Period is defined as follows: January 5, 2017 and will end on June 16, 2017. Compensation for
satisfactory completion of the Minimum Requirements will be paid on June 23, 2017. If the Minimum
Requirements are not met at the end of each Period, CalCPA may exercise its discretion to not pay the
Campus Ambassador any compensation for that Period.

Campus Ambassadors are solely responsible for all tax returns and payments required to be filed with, or
made to any federal, state or local tax authority with respect to the performance of services and receipt
of compensation under this Agreement. No part of the Campus Ambassadors compensation will be
subject to withholding by CalCPA for the payment of any social security, federal, state or any other
employee payroll taxes. CalCPA will report amounts paid to Campus Ambassadors by filing a Form 1099-
MISC with the Internal Revenue Service as required by law.

Campus Ambassadors indicating their intention to attend the orientation session on Jan. 30-31, 2017 in
Sacramento, CA and who have their airline tickets and ground transportation purchased by CalCPA, will
agree to reimburse CalCPA for the full amount of the costs of airline tickets and ground transportation
should there be a cancellation by the ambassador. Payment must be received within 30 days of the
cancellation.

This Agreement constitutes the entire agreement between CalCPA and the Campus Ambassador and
supersedes all prior or contemporaneous oral or written agreements concerning this subject matter. This
Agreement may be amended or modified only in writing by mutual agreement of authorized
representatives of the parties.
