PREAMBLE
We, the members of PANPEPPINASA Bilis Farmer Association (PANPEPPINASA BFA), imploring the
aid of the Divine Providence, in order to create an organization for the farmers, with an ultimate goal to
improve lives, peace and privileges of the group, through our democratic government, do hereby ordain
this Constitution and By-laws.
Article I
Section 1. The name of this organization shall PANPEPPINASA Bilis Farmer Association (PANPEPPINASA
BFA).
Article II
Section 1. Objective and purpose- the objectives and purpose of the association are as follows:
a. to establish an association that will promote mutual aid and protection to its members;
b. to develop a sustainable livelihood thru the conduct of activities with aim of uplifting the
economic condition of the members;
c. to provide the members knowledge and skills and equip themselves an effective and innovative
way of farming;
d. to work with non-government and government organization or entities in the promotion and
development of the association and in carrying out government policies;
e. to provide opportunity for young farmers to develop their ability to participate effectively in
group/ community activities;
f. to help the government agencies and the non-government organizations (NGOs) to enforce the
law towards illegal activities that we could observe, particularly the cutting of timber in our
community.
Article III
Membership
Section 1. Membership that membership of this association shall be open to all persons who are of legal
age, with the capacity to contract or heads of the family and we are:
Section 3. Membership in an Association once acquired shall be permanent and maybe lost on the
following grounds:
Article IV
Section 2. Duties and Responsibilities of Members Every member shall have the following duties and
responsibilities:
a. To obey and comply with the constitution and by-laws of the association and such regulations
that maybe promulgated from time to time;
b. To attend meetings, trainings and seminars that maybe called for requiring attendance of
members;
c. To assist in every way possible in advancing the objectives of the association.
ARTICLE V
Section 2. Withdrawal Any member desiring to terminate his membership by withdrawal shall submit a
written application to the officers. However, no member shall be allowed to withdraw or terminate his
membership during any period in which he/she has pending obligation with the association.
Section 3. Expulsion A member maybe terminated by the officers for any of the following causes:
a. When a member has not patronized the services of the association for unreasonable period of
time as maybe fixed by the officers;
b. When a member has continuously failed to comply his obligations;
c. When a member has acted in violation of the by-laws.
Article VI
GOVERNMENT
Section 1. The General Assembly The General Assembly of the association shall be composed of
members entitled to vote duly assembled and constituting a quorum.
Section 2. Power and Limitation of the General Assembly - The General Assembly has the following
power:
Section 3. Special Meetings. The BOD Chairman may call for a special meeting whenever necessary.
Section 4. Annual General Assembly The Annual General Assembly should be held on the ________ of
__________ at any place within area of operation and at such time as the officers may designate.
Section 5. Notice of General Assembly Written notice of all meetings shall be served by the Secretary,
through an agent, upon each member or thru information board at least one week prior to the general
assembly.
The notice of the general assembly shall be accompanied by the agenda, minutes of the meeting
at least general assembly, consolidated reports of the officers with financial statements, proposed
amendments to the by-laws if any, and other papers needed by the members to arrive at sound and
intelligent decision during the general assembly.
Section 6. Regular Meetings of the BOD Members and Chairman of the Committees. The regular meeting
of the BOD members and the chairman of committees takes place at ______________________on the
____________________ at ___________________.It shall be the duty of the P.I.O to inform the members
before the day of the assembly.
Section 7. Quorum. Before the meeting starts, at least more than 50% of the active members shall be
present.
Article VII
Board of Directors
Section 1. The BOD shall regulate and implement the plans/decisions of the association. It shall be
composed of ____members who shall be elected by the members of the association.
1. Chairman;
2. Vice-Chairman;
3. Secretary;
4. Treasurer;
5. 2 P.I.O; and
6. 2 Advisers.
a. The Chairman shall represent the association in all contracts or agreement and shall preside the
meeting.
b. The Vice-chairman shall assume the office of the Chairman in his absence, or when called upon by the
latter to assume the post.
c. The Secretary shall keep the minutes, records and other documents of the association.
d. The P.I.O. shall inform the members through a letter for every activity of the association.
e. The Treasurer shall be the custodian of the treasury of the association. He/she shall answer to
unapproved or any misuse of the fund to the members. It is also his duty to prepare and present a
complete monthly financial report of the treasury for the members. He shall have the rights and duties to
receive and withdraw funds for the association, issue receipts for all the collections from a particular
person or financing institution, make payments from all the financial obligations through a Voucher,
recommended by the Secretary and the Chairman.
f. The remaining members of the association shall take over when there is a vacant position or when there
is an unfortunate incident with the officer/officers.
Section 4. No official or BOD member of the association shall have two positions at the same time.
Article VIII
Committees
Section 1. The association shall have seven (7) committees. The duties and responsibilities of every
committee are the following:
a. Committee on Agriculture. It shall be the duty of the Committee on Agriculture to take charge of all
matters pertaining to establishment, development and maintenance of the agricultural projects such as
vegetable production. It shall be the duty of the Chairman of the Committee to list down the name of the
members and their accomplished activities associated to the organization, identify and record problems
related to agriculture, list the number of death and transfer, shall accompany and guide visitors who
wanted to look at them vegetable production, organic fertilizer applied and other related activities in the
garden. He shall also keep all the records and submit it to the Secretary to be presented every regular
meeting of the BOD and the Assembly.
b. Committee on Education and Training. It shall be the duty of this committee to supervise educational
trainings for the youth and parents especially on issues pertaining to illegal logging, kaingin, and other
destructive activities. It is also their duty to protect, preserve and restore the resources and present
alternative livelihood that will minimize the disturbance of the land.
d. Committee on Environment. To protect, expand and maintain Reforestation shall be the duty of this
committee. the duty of the Chairman of the Committee is to list down the name of the members and their
accomplished activities associated to the organization, and to identify and record problems related to
Reforestation, He shall also keep all the records and submit it to the secretary to be presented every
regular meeting of the BOD and the Assembly.
f. Committee on Election. It shall be the duty of the committee to take charge of all matters pertaining to
elections, nominations, casting and counting votes.
