Letter of Award (SPK)

We are pleased to advise that P.T. SARANANEKA INDAHPANCAR (hereinafter referred to as

the "Employer") hereby awards to P.T. BAUER Pratama Indonesia (hereinafter referred to as
the "Contractor") is awarded the Contract for the Package 02: Main Pile (hereinafter referred to as
"the Contract") all in accordance with the following terms and conditions:

1. Accepted Contract Amount

The Accepted Contract Amount shall be Rp. 48.500.000.000,- (Rupiahs Forty Eight Billion
Five Hundred Million Only) inclusive ofPPN and PPh.

The Accepted Contract Amount is a fixed unit rate Contract with provisional quantities. The
quantities shall be remeasured on completion.

2. Scope of Work (hereinafter referred to as the "Works")

The scope of work, in general terms, comprises the construction of bored piles and the
. construction of soldier piled earth retaining structure as specified in the Contract Documents.

The Accepted Contract Amount is based on the specification, drawings and other documents
issued at the time of tender, and provides for all materials and plant to be supplied as
specified.

3. Commencement and Completion

- The Commencement Date, in accordance with Sub Clause 3.1 of the Conditions of Contract,

The Completion Date, in accordance with Sub Clause 3.1 ofthe Conditions of Contract, shall
be 150 (one hundred fifty) calendar days calculated from the Commencement Date, that is 17tl!
August 2012.

4. Delay Damages

The amount of delay damages, in accordance with Clause 3 of the Conditions of Contract,
shall be 0.1% of the Accepted Contract Amount per day up to a limit of 5% of the Accepted
Contract Amount.

5. Payment

In accordance with Clause 5 of the Conditions of Contract, payments to the Contractor shall
be made as follows:

(i) An advance payment with Total Amount Rp. 7.160.000.000,- (Rupiah Seven Billion and
One Hundreds Sixty Million) inclusive of PPN and PPh for a down payment of works
and rebar price.
(ii) Monthly progress,
(iii) Retention of 5% of the Accepted Contract Amount withheld for the six (6) month
Defects Liability Period.

In respect of the advance payment, the payment to the Contractor shall be made upon receipt
by the Employer of an unconditional bank guarantee in an equivalent amount issued by an
approved bank devisa, the form of the bank guarantee shall be substantially in the form as set
forth in Appendix A of the 1.00 Form of Tender. In any event, the terms of the bank guarantee
or advance payment guarantee shall be approved by or be to the satisfaction of the Employer.

The target date for the issue of the Quantity Surveyor's Valuation shall be Fourteen (14 No)
calendar days from receipt of the Contractor's Application for Payment. Payment by the
Employer shall be made within 21 (twenty one) working days of the receipt of invoice. All
bank charges or other costs arising from the transfer of funds to the Contractor' s account shall
be borne by the Contractor.

6. Defects Liability Period

In accordance with Clause 4 of the Conditions of Contract, the defects liability period shall be
six (6) calendar months from the date of the Taking-Over Certificate issued by the Project
Manager.

7. Insurances

Insurance of the Works and Third Party Liability insurances in accordance with Clause 11 of
the Conditions of Contract will be placed by the Employer.

The Contractor shall be responsible for insuring his own construction equipment, his own
workpeople and for payment of all premiums or Jamsostek contributions in respect thereof.

8. Performance Bond

The Contractor shall provide a performance bond in amount Rp. 2.425.000.000,- (Rupiah
Two Billion Four Hundred Twenty Five Million Only) to PT. Sarananeka Indahpancar
issued by a reputable local bank or bank licensed (Bank Devisa) for due performance of the
contract, in accordance with Clause 16 of the Conditions of Contract, in an amount equivalent
to 5% of the Accepted Contract Amount. The form of the performance bond shall be
substantially in the form as set forth in Appendix B of the 1.00 Form of Tender. In any event,
the terms of the performance bond shall be approved by or be to the satisfaction of the
Employer.

9. Contract Documents

The following letters and documents shall constitute integral parts of the Contract Documents:

9.1 Letter of Invitation to Tender dated 6 January 2012.

9.2 Email to PT. Bauer Pratama Indonesia for Bill of Quantities dated 6 January 2012.
9.3 Tender Booklet, Tender Drawing and Tender Specification followed the Test Pile's
package.
9.4 Soil Investigation Report.
9.5 First tender submission dated 9 January 2012.
9.6 Negotiation form dated 10 January 2012.
9.7 Final tender submission after final negotiation and clarification dated 10 February
2012.

Pending the execution of a formal agreement, this Letter of Award (SPK) shall constitute
sufficient authority for the Contractor to proceed with the Works. Following the execution of the
formal agreement, this SPK shall constitute part of the Contract Documents and the Contractor
shall fully comply with and be bound by the terms and conditions of the Contract Documents.
