During Mobilisation Period, Contractor shall perform the following obligations:
(a) Obtain all governmental permits, licenses and approvals required to be held by Contractor and its employees in order to perform its Work hereunder. (b) Purchase goods, spares and services required by the owner. (c) Employ and train Contractors personnel to operate and monitor the Facility in accordance with Prudent Utility Practice, applicable Govemmental Rules, the manuals, instructions and manufacturers' guidelines as well as safety conditions defined in Appendix 8 (d) Assist the Owner in monitoring the operation of the Facility by the present Contractor. (e) Assist Owner in preparing a Facility deficiency list. (f) Obtain as necessary, prior to the performance of any on-site activifities, the insurance policies set forth in article 9 of this contract. (g) Prepare, and submit to Owner for its review and approval, the initial Annual Operating Plan no later than thirty (30) days before the Operating Period Starting Date. (h) Establish a system for maintaining an inventory of spare parts tools equipment, consumables and supplies for the Facilitys operation. (i) Designate and deploy Plant Manager at Facility not later than thirty (30) days before Operation Starting Date to co-ordinate with Owners Representative on functions to carry out at Site during Mobilization and Operating Period (j) Help the Owner to organise a take-over Performance Test (k) Provide a software tool to monitor maintenance
2. Services during Operating Period
During Operating Period, Contractor shall perform the foilowing obligations: a. Operation and maintenance (i) Provide operations and maintenance Servf.ces according to Industry Best Practises., spare parts, chemicals, lube ou toois and other materials, necessary to operate and maintain the Facility including associated and appurtenant mechanical, electrical auxiliaries and water system (DM water plant, water chemical treatment, cooling system) (ii) Coordinate in advance with the Owner Facility outages and power deliveries to the electrical system in accordance with Annual Operating Plan and other regular maintenance programs (iii) Perform periodic overhauls and maintenance required for the Facility in accordance with OEM manuals Contractor shall furnish Owner with reasonable advance notice of any change in the annual maintenance which is reasonably expected to affect the availability of the Facility. (iv) Perform the management services required to procure spare parts, overhaul parts, tools, equipment, and supplies required to operate and maintain the Facility in accordance with the recommendations of the OEM, (v) Forecast fuel requirements and schedule delivaries of fuel for the Facility and monitor the consistency of such fuel in terms of quantity and quality . (vi) Maintain Facility tool room equipment and instruments Maintain Facility fire protection and safety equipment. (vii) When forced and unforeseen outages occur, Notify the Owner of the existence, nature, and to the extent possible, expected duration of such outage as soon as practical. Contractor shall inform Owner of changes in the expected duration of such outage. (viii) Replenishment the Safety Spare Stock for scheduled or unscheduled maintenance (ix) Perform the environmental monftoring in accordance with local regulations. The Contractor shall assist the Owner by providing data required for reports to be submitted to the related authorities In case of non-compliance, Contractor shall be responsible. Except for boiler start up when the bag filter cannot be operated until reaching correct temperature. b. Personnel (i) Provide, train and supervise personnel as necessary to perform the Work and to operate and monitor the Facility in accordance with Prudent Utility Practice, applicable Governmental Rules, the manuals, instructions and manufacturerss guidelines as well as safety mies of the Owner described in Appendix 8 (ii) Schedule, hire and supervise at its own cost, the subcontractors as may be necessary for the performance of the Work (iii) Provide all personnel required for the operation of the Facility as specified in the Organization Chart attached here to Appendix 4 c. Reporting (i) Prepare, and submit to the Owner for its approval no later than sixty (60) days before the commencement of the Year, the Annual Operating Plan for the Facility for the following Year. (ii) Maintain at the Faculty accurate and up-to-date operating logs, records, daily, weekly, monthly and annual reports regarding the operation and maintenance of the Facility. All such records to be maintained for duration of this Agreement. Prepare and submit to the Owner the daily, weekly, monthly and annual Operations Report for Facility. (iii) Maintain accounting records regarding the Work in accordance with generally acceptable accounting principles (iv) Prepare and submit to the Owner the daily, weekly, monthly and annualy Operations Report for Facility (v) Submit list of replacement / repaired spare parts to Owner at end of maintenance for recording purpose d. Improvement (i) Regularly update and implement an equipment repair and preventive maintenance program that meets the specifications of the OEM. (ii) Update the working procedures, operations and maintenance manual as appropriate. (iii) Provide technical engineering support for so/ving operation and maintenance problems for the Facility. (iv) Recommend Facility modifications, capital repairs, replacements and improvements and, at Owners written direction, implement the same as an Extraordinary Expense (v) Reasonably assist Owner in the enforcement of contractor, subcontractor and vendor warranties and guarantees, e. Project and Management (i) Provide and maintain insurance in accordance with Article 9. (ii) Pay taxes payable by Contractor as result of the execution and completion of the work under this Agreement. (iii) Obtain and maintain in effect all govemmental permits, licenses and approvals required to be held by Contractor and its employees in order to perform its Work hereunder. (iv) Assist the Owner in preparation of periodic reporting to Governmental Authorities and co- operate with the Owner in obtaining and reviewing governmental permits, licenses and approvals. (v) Maintain good communications and relations with the community and Governmental Authorities (vi) Co-operate in the provision of information to authorized representatives of the Owner.
3. Servicess Battery Limits
Generally speaking the Contractor is in charge of ao activities within the Facility boundary as further precised hereafter a) Industrial Water: Outlet Flange of LCI Water pool. b) CoaI: Chute between conveyors to crusher, excluding cleaning at the third floor of Crusher House which shall be the responsibility of the Owner, Coal Testing done at CPP by Contractor.. c) Ash: Ash-Silo operations by Contractor; Owner to take care of usage of Ash. d) Electricity: At 10.5 kV busbarr. In coming at LCI main substation. e) Fire-Fighting: Included f) Plant Security: To be managed by Lafarge g) Housekeeping/Local Labour: To be included in contract h) PPE: Contractor should procure ail PPE for its own personnel Lafarge will provide product specifications and list of local list of providers to Contractor, i) Effluent / Hazardous waste / Drains / Solid wastes / Boiler BIow down at the designated location within the Power Plant - disposal from the location as per the rules and regulations shall be on Contractor Scope. j) Flue Gases at the outlet of Stack: To be managed and maintained by Contractor
