That I, GENOVEVA BAGUIO, of legal age, Filipino, single, and a

resident of Pilipog, Cordova, Cebu; that I am the absolute owner of the parcel
of land situated in Pilipog, Cordova, Cebu, with Original Certificate of Title
no. OP-54922, which parcel of land is more particularly described as follows:

That for and in consideration of TWELVE MILLION NINE HUNDRED AND

EIGHTY THOUSAND, Philippine currency (Php 12, 980,000.00) or ten
thousand Philippine currency (Php 10,000.00) per square meter, receipt
of which is hereby acknowledged in full from (name of corporate treasurer),
corporate treasurer of the vendee corporation, who is duly authorized to
make payment of the purchase price, I hereby sell, transfer, and convey by
way of absolute sale, as vendor to (name of the corporation) Corporation, a
corporation duly organized and existing under and by virtue of the laws of
the Philippines, which is owned to the extent of at least 60% of the capital of
which by Filipino Citizens, as shown by its articles of incorporation and
certification from the Securities and Exchange Commission, which agreed to
maintain such capitalization by the board resolution of its board of directors
for as long as it owns said land, certified true copies of which articles of
incorporation, SEC certification, and board resolution are attached hereto as
Annexes A, B, C, respectively, as integral parts hereof, and which
corporation has its principal place of business at _____________,
Philippines as vendee, as well as to its successors and assigns, together
with the improvements therein found.
