Wherein The two concern sides completely understand all the terms which where was stated in This Legal form of document.

Now, therefore, side A and side B have agreed all the conditions below for the benefit of The two concern sides.

DEFINITION AND INTERPRETATION

Contract Manager refers a person designated as such by the (side A) from time to time as notified in writing to the (side B) to act as
the duly authorized representative of the (side A) for all reasons connected with the Contract, including whichever authorized
representative of such person.

PERFORMANCE OF SERVICES
In providing the Services, the (side A) shall use Good Industry Practice to guarantee that whichever computer systems and/or
related hardware and/or software it uses are free from corrupt INFORMATION, viruses, worms and whichever other computer
programs which might cause harm or disruption to the (side B)'s or, as the case may be, to whichever Beneficiary's computer
systems.

PERFORMANCE MEASUREMENT
If the performance of the Contract by the (side A) is setbacked by reason of whichever act or default on the part of the (side B) or
whichever Beneficiary or, by whichever other cause that the (side A) could not have reasonably foreseen or prevented and for which
it was not responsible, the (side A) shall be allowed a reasonable extension of time for completion of the Services so affected.

CONTRACT PRICE AND PAYMENTS

Except where otherwise stated in the Order, the Contract Price is exclusive of VAT which shall be payable, if applicable, by the (side
B) or whichever Beneficiary in addition to such Contract Price. The invoice provided to the (side B) or whichever Beneficiary by the
(side A) in harmony with Clause ____ shall show the VAT calculations separately.

EMPLOYEES
The (side A) will, when recruiting potential employees for the reason of the Contract, act in harmony with the Specification.

CONTROL AND SUPERVISION OF STAFF

The Contract Manager shall be suitably qualified in harmony with the Specification. In addition a work history/biography will be
submitted to the Authorized Officer for approval prior to interview.

The Concern Parties agree to the abovementioned listed legal conditions. In witness whereof, the concern sides hereto set their
hands as of the date first written above.
