DEFINITION AND INTERPRETATION

whichever reference to a side procuring another person to act or omit to act in a certain manner shall mean that the side so
procuring shall be legally responsible for whichever default on the part of the person acting or omitting to act in that manner.

TERMINATION
The (side A) fails to perform whichever material obligation of the (side A) owed to the (side B) or whichever Beneficiary on more than
____ occasions; or ____ the (side A) becomes Insolvent or otherwise ceases to be capable of supplying the Goods; or ____ the
(side A) is in default of whichever duty of care or whichever fiduciary or statutory duty owed to the (side B).

ELECTRONIC PRODUCT INFORMATION

The (side B) or, as the case may be, whichever Beneficiary may reproduce for its sole use the Product Information provided by the
(side A) in the (side B)'s product catalogue and/or whichever Beneficiary's product catalogue from time to time which shall be made
available on the National Health Service internal communications network in electronic format or made available on the (side B)'s
external website and/or whichever Beneficiary's external website or whichever other electronic media of the (side B) or whichever
Beneficiary from time to time.

CONFIDENTIALITY
Nothing in this Clause ____ shall prevent the Recipient from disclosing Confidential Information where it is needed to do so by
judicial, administrative, governmental or regulatory process in connection with whichever action, suit, proceedings or claim or
otherwise by applicable law.
INFORMATION PROTECTION
The two concern sides agree to use all reasonable efforts to assist each other to comply with the ____ Act. For the avoidance of
doubt, this includes the (side A) providing the (side B) and whichever Beneficiary with reasonable assistance in complying with
subject access requests served on the (side B) and whichever Beneficiary under Section ____ of the ____ Act and the (side A)
consulting with the (side B) and whichever Beneficiary prior to the disclosure by the (side A) of whichever Personal INFORMATION
in relation to such requests.

AGENCY
The (side A) acknowledges that the (side B) may have placed the Order pursuant to a Framework Agreement established by a
Beneficiary for the (side B).

INDUCEMENTS TO PURCHASE
The (side A) is not offer to the (side B) or whichever of its employees or agents or, as the case may be, whichever Beneficiary or
whichever of its employees or agents as a variation of the Contract, or as an agreement collateral to it, whichever advantage other
than a cash discount against the Contract Price or training of the employees of the (side B) or, as the case may be, whichever
Beneficiary.

The Concern Parties agree to the abovementioned listed legal conditions. In witness whereof, the concern sides hereto set their
hands as of the date first written above.
