DEFINITION

In the event that the (side B) or whichever Beneficiary has specified a date in the Order but has not been ready to receive the Goods
on that date, the (side A) may charge additional costs of return, storage and rerelease to the (side B) or whichever Beneficiary,
notwithstanding Clause ____.

CONTRACT PRICE AND PAYMENT

The (side B) or, as the case may be, whichever Beneficiary shall be entitled to deduct from whichever monies due or to become due
to the (side A) whichever monies owing to the (side B) or such Beneficiary from the (side A).

PROPERTY AND RISK

All tools, equipment and materials of the (side A) needed in the performance of the (side A)'s obligations under the Contract shall be
and remain at the sole risk of the (side A) whether or not they are situated at the Location.

TOOLS
whichever tools which the (side A) may construct or acquire specifically in connection with the Goods will remain the property of the
(side A) unless it is agreed in writing that the property of the tools will be transferred to the (side B) or whichever Beneficiary upon
payment by the (side B) or Beneficiary of a charge.

REJECTION OF GOODS
with no prejudice to the operation of Clause ____, the Goods shall be inspected on behalf of the (side B) or whichever Beneficiary
within a reasonable time after release under Clause ____ of the Contract and may be rejected if found to be defective or inferior in
quality to or differing in form or material from the requirements of the Contract, or if they do not comply with whichever term, whether
expressed or implied, of the Contract.

QUALITY
The Goods shall be of first class quality, new, and shall be supplied strictly in harmony with the Specification and/or whichever
sample previously provided to the (side B) or whichever Beneficiary and unless otherwise agreed in writing, shall conform to all
relevant standards, specifications and conditions and all work performed by the (side A) shall be in harmony with best practice. For
the avoidance of doubt, the (side A) warrants that the Goods are not scrap goods.

The Concern Parties agree to the abovementioned listed legal conditions. In witness whereof, the concern sides hereto set their
