MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENT:

This Memorandum of Agreement is made and entered into by and between:

Doctors of Internal Medicine Spreading AIDS Awareness in the

Philippines, a corporation established under the laws of the Philippines, with
principal office address at The Academic Affairs Sir Roel B. Hayag
represented herein by the De La Salle Health Sciences Institute - Special Health
Sciences High School (DLSHSI-SHS), and hereinafter referred to as
DIMSAAP

-and-

The The De La Salle Health Sciences Institute - Special Health Sciences

High School (DLSHSI-SHS), a full- complement medical and health allied
institution that provides holistic, excellent, and premium health professions
education, health care, and research services, established by the De La Salle
Brothers under the Republic of the Philippines, with principal office address at
Congressional Road, Dasmarias City, Cavite represented herein by its Special
Health Sciences Institute Director, MS. VIVIAN B. RAMIREZ, MSc, and
hereafter referred to as DLSHSIFI.

Witnesseth:

WHEREAS, DIMSAAP;

WHEREAS, DLSHSI-SHS is willing to support the project of AIDAM AND

EVE as contained in its project proposal;

WHEREAS, DLSHSI-SHS was established to provide assistance to UPM in

pursuing its advocay programs;

WHEREAS, DLSHSI-SHS has the financial resources to support the research

and development proposal as contained in the Project Proposal of this Memorandum of
Agreement, herein referred to as Agreement, for brevity.

WHEREAS, Ms. Vivian B. Ramirez is duly empowered to enter into, sign and
execute this Memorandum of Agreement in behalf of DLSHSI-SHS

NOW, THEREFORE, in consideration of the above premises, the parties

mutually agree on the following:
 Article 1
TITLE OF THE PROJECT

The project is entitled AIDAM AND EVE.

Article 2
PROJECT

Section 1. Project proposal. UPMFI in cooperation with the UPM shall

implement the project in accordance with the contents of the proposal.

Section 2. Modification of project proposal. No modification of the PROJECT

PROPOSAL or any deviation in the implementation of the same different from that as
contained shall be allowed without the written agreement between UPMFI and
DLSHSI-SHS. Modification of any part of the project proposal shall be contained in
an Amended Project Proposal that shall supplant documents upon signing its
conformity thereto by both parties.

The Amended Project Proposal shall contain the original project proposal.
Additions thereto shall be typed in capital letters while deleted letters, words, phrases
or paragraphs shall be bracketed for easy reference.

Section 3. Assignment of rights. No part of the project including the rights

thereto maybe transferred or assigned by DLSHSI-SHS nor shall any part of the project
be subcontracted without the written consent of _______________.

Section 4. Workplan. The schedule of the implementation of the project shall

be contained in a WORKPLAN that shall become part of this Agreement as contained.
Delay or deviation in the implementation of the project based on the Workplan shall
not be allowed without the written consent of ______________.

Article 3
FUNDING, FINANCIAL RECORDS
& REPORTS

Section 1. Provision of funds. DIMSAAP shall provide the total amount of

money in Philippine currency, for the project for a period of a school year to be
computed from the date of receipt of the NOTICE TO PROCEED as stated in Sec. 2,
Article 7 hereof subject to and in accordance with the provisions of the following
sections.

Section 2. Schedule of fund releases. The budget for the project shall be
released in accordance with the SCHEDULE OF ACTIVITIES which shall likewise
become an integral part of this Agreement.

Section 3. Financial records. The DLSHSI-SHS shall account for funds

provided under this Agreement and shall keep and maintain financial records in
accordance with generally accepted accounting principles and practices.
 Article 4
PROJECT MANAGEMENT, IMPLEMENTATION,
MONITORING & EVALUATION

Section 1. Project Management DLSHSI-SHS shall provide an adequate and

efficient administrative support and management system necessary for the successful
implementation of the project. It shall likewise be responsible for the disbursement and
accounting of project funds.

Section 2. Project implementation. The DLSHSI-SHS shall be responsible

for the orderly, systematic and timely implementation of the project as programmed
and approved.

Section 5. Monitoring. The DLSHSI-SHS shall regularly monitor the

progress of the project. Any unforeseen changes in conditions that affected the
implementation of the project shall be recorded and reported immediately.

DIMSAAP shall likewise keep track of the progress of the project.

Article 5
OWNERSHIP OF DATA, MATERIALS, PROJECT OUTPUTS
& INTELLECTUAL PROPERTY RIGHTS

Section 1. Joint ownership of reports, data and materials. The final version
of reports submitted to Mr. ROEL B. HAYAG and all relevant data, supporting
documents, and materials prepared in the course of or in relation to the services
rendered by DLSHSI-SHS shall become the joint property of the parties.

They may however, mutually authorize other personnel to use said reports and
data for research, education and for public service purposes. Any benefit derived from
the use of these reports and data shall be jointly shared by the parties.

Section 2. Joint ownership of project outputs and intellectual property rights.

All project outputs, discoveries, inventions and income derived from the project shall
be jointly owned by DIMSAAP and DLSHSI-SHS and shared on a 50-50 bases.
Contracts and such other agreements entered into using the project outputs, discoveries
and inventions shall be entered into jointly by the parties.

Section 3. Recognition of principal author/institutions. All major reports or

articles for publication based on the project output or results shall be made jointly in
the name of DIMSAAP and DLSHSI-SHS together with the name/s of the
students/researchers involved.
 Article 6
COMMON PROVISIONS

Section 1. Effectivity. This Agreement shall take effect upon signing thereof
and receipt by the DLSHSI-SHS of a NOTICE TO PROCEED with the
implementation of the project.

In WITNESS WHEREOF, the parties hereto have affixed their respective

signatures this 2nd day of November, 2017 in CHS 5105, DLSHSI, City of Dasmarias,
Cavite, Philippines.
