In consideration of M/s. Synergy Electric P Ltd, a Corporation organized and existing under the
laws of India, having its Registered Office at The Trishul Building, 35 Rowland road, Kolkata, WB-
India 700020 (hereinafter called Supplier) agreeing to supply Soalr Modules and other
products to XXXXXXXXXXXXXXXXXXXXXXXXXXX (hereinafter
called the Purchaser) on production of Bank Guarantee for Rs. 25,00,000.00
( Rupees Twenty Five Lcas only) , we, United Bank Of India, Gariahat Branch, 26 & 26/7,
Hindustan Park, Kolkata 700 029 (hereinafter referred to as Bank or We) do hereby
covenant and agree with the Supplier as follows:-

We, hereby unconditionally and irrevocably agree to pay a sum of Rs. 25,00,000.00 ( Rupees
Twenty Five Lcas only) without any demur, cavil or argument and merely on any written
demand from the Supplier stating that the amount claimed is due and payable. Any such
demand made on the Bank shall be conclusive as regards the amount due and payable by the
Bank to the Supplier under this guarantee.

We undertake to pay to the Supplier any money so demanded, but subject to an amount not
exceeding Rs. 25,00,000.00 ( Rupees Twenty Five Lacs only), notwithstanding any dispute and
or disputes raised by the Purchaser in any suit or proceeding pending before any Court or
Tribunal. Banks liability under this Bank Guarantee is absolute and unequivocal.

We, further agree with the Supplier the supplier shall have the fullest liberty without our
consent and without affecting in any manner our obligations hereunder to vary any of the
terms and conditions of its contract or arrangement with the Purchaser or to extend time of
payment by the Purchaser from time to time or to postpone for any time or from time to time
any of the power exercisable by the Supplier against the Purchaser and to forbear or enforce
any of the terms and conditions of its contract or arrangement with the Purchaser and We shall
not be relieved from out liability by reason of any such variation, or extension being granted to
the said Purchaser or for any forbearance, act or omission on the part of the Supplier or any
indulgence by the Supplier to the said Purchaser or by any such matter or thing whatsoever
which under the law relating to sureties would, but for this provision, have effect of so relieving
us.

This Bank Guarantee is absolute and unconditional and will not be discharged for any reason
whatsoever including but not limited to the change in the constitution of Bank or the supplier
or the Purchaser. We hereby agree and undertake not to revoke this guarantee during its
currency except with the previous consent to the Supplier in writing. We further agree and
undertake to extend the validity period of the Bank Guarantee on receiving a written request
from the Supplier.
Notwithstanding anything contained hereinabove:-

a. Our liability under the Guarantee is restricted to Rs. 2500000/- (Rupees Twenty Five
Lacs only)
b. This Guarantee shall remain in force till 30th November, 2015.
c. We are liable to pay guarantee amount or any part thereof under this Bank Guarantee
within two working days of the written demand or claim, only and only if you serve
upon us a written demand or claim on or before 30th November, 2015.
