SECTION1:BACKGROUND&INFORMATIONTOCONSULTANTS

1. BACKGROUND:

AndhraPradeshIndustrialInfrastructureCorporation(APIIC),hereinaftercalledasclient,has
mandate of developing Industrial Parks across Andhra Pradesh. Till date APIIC has Developed
around300IndustrialParksspreadoveranextentof121655Acresinthecombinedstate.

APIICisDevelopingIndustrialHubnearOrvakal,KurnoolDistrict.Inadditiontothis,APIICisalso
Identified land beyond Orvakal Mandal for development of New Industrial Estates. APIIC is
developing required physical Infrastructure in the industrial parks through its own sources/
SupportfromGovernmentofAP(GoAP)/GovernmentofIndia(GoI)inviewofthedemandfor
land for setting up of industries.APIIC isnow proposingtoprovide a RailConnectivity to this
Industrialarea.

ForpreparationofFeasibilityReportforDevelopmentofRailconnectivitytotheIndustrialpark
near Kurnool in the state of Andhra Pradesh, APIIC is keen to appoint an Experienced
Consultant empanelled with Railways and having requisite experience in carrying out similar
assignment.

Consultants are invited to submit proposal for Consultancy Services for Feasibility Report for
Development of Rail connectivity to the Industrial park near Kurnool in the state of Andhra
Pradesh.

TheassignmentshallbeimplementedinaccordancewiththephasingindicatedintheTermsof
Reference. The performance of the contract under each phase must be to the client s
satisfactionbeforetheworkbeginsonthenextphase.

The Consultants must familiarize themselves with local conditions and take them into
account in preparing their Proposals. Any additional information or clarifications required for
preparingthebidcanbesoughtfromclientasspecifiedintheDataSheet.

TheClientwillprovidetheinputsspecifiedintheRFP,assisttheconsultantinobtaininglicenses
andpermitsrequiredtocarryouttheprojectassignment.

Thecostsofpreparingtheproposalandofnegotiatingthecontract,includingvisitstothe
SiteorClientsoffice,arenotreimbursableseparately.

2. CLARIFICATIONANDAMENDMENTTORFPDOCUMENTS

Consultants may request a clarification on the RFP document up to the number of days
indicated in the Data Sheet. Any request for clarification must be sent in writing by
Email/FAX/POST to the address indicated in the Data Sheet. The Client will respond to such
requestsandwillissue a consolidated clarification (includingan explanationofthequery,but
withoutidentifyingthesourceofinquiry)whichshallbeintimateallapplicantsbyEmails.The
Consultants are advised to go through such clarifications if any prior to submitting the
proposals.

AtanytimebeforethesubmissionofProposals,theClientmay,foranyreason,whetheratits
own initiative or in response to a clarification requested by an invited consulting firm, may
modifytheRFPdocumentsbyamendment.Theamendment,ifany,shallbeissuedthroughan
addendumwhichshallbecommunicatedbyEmail.TheConsultantsareadvisedtogothrough
suchclarificationsbeforesubmittingtheproposals.

TheClientmay,atitsdiscretionextendthedeadlineforthesubmissionofProposals.TheClient
also reserves the rights, without any obligation or liability, to accept or reject any or all the
Proposalsatanystageoftheprocess,tocancelormodifytheprocessoranypartthereoforto
varythetermsandconditionsatanytimewithoutassigninganyreasonthereof.

3.0 MINIMUMELIGIBILITYCRITERIA

By the bid submission date, the Bidders should be empanelled with Railways as a registered
firmforundertakingsuchassignments.
The Bidders should be a single Business Entity (A Business Entity shall mean a sole
proprietorship firm/ registered partnership firm / a company registered in India under the
Companies Act.) having undertaken and completed Detailed survey & having adequate
experienceonpreparationofFeasibilityreportsforrailwaysonsimilarworks.
The firm should have singly completed Detailed Survey work for at least one similar Railway
project having length of 35 Kms in the last 3 (Three) years. Experience for the purpose of
assessmentforminimumeligibilityofabidderasamemberofconsortia,foranyproject/work
shallnotbeconsidered.
TheBiddershouldhaveanaverageannualturnoverofatleastRupeesTwenty(20)croresper
yearinlastthreefinancialyearsfromConsultancyServices.

Consortium/jointventureshallnotbeeligibleandsuchproposalsshallbesummarilyrejected.
Anyentity,whichhasearlierbeenbarredbytheAPIIC,GovernmentofAP(GoAP),oranyother
StategovernmentinIndia(SG)orGovernmentofIndia(GoI),oranyoftheagenciesofGoO/SG
/GoIfromparticipatinginitsprojectsandthebarsubsistsasontheProposalDueDate,shall
notbeeligibletosubmitaProposal.

4.0 PREPARATION,SUBMISSION,RECEIPTANDOPENINGOFPROPOSALS

Consultants are requested to submit the proposal as single packet system with financial
proposals in a sealed cover in one envelope with in packet. The proposal shall be written in
Englishlanguage.

The original Proposal shall be prepared in indelible ink. It shall contain no inter lineation or
overwriting,exceptasnecessarytocorrecterrorsmadebythefirmitself.Anysuchcorrections
mustbeinitialledbythepersonorpersonswhosign(s)theProposals.

The envelope shall bear the Name & address of the Firm, submission address and other
informationindicatedintheDataSheetandclearlymarked,

ProposalforConsultancyServicesforTechnoEconomicalFeasibilityReportforDevelopment
of Rail connectivity to the Industrial park near Orvakallu, Kurnool (Dist.) in the state of
AndhraPradesh.
ThecompletedProposalmustbedeliveredatthesubmissionaddressonorbeforethetimeand
datestatedintheDataSheet.NoproposalshallbereceivedbytheClientaftertheclosingtime.

VALIDITYOFPROPOSAL:TheproposalmustbevalidforthenumberofdaysstatedintheData
Sheet from the last day of submission during which the Bidder must maintain available the
professionalstaffproposedfortheassignment.TheClientwillmakeitsbestefforttocomplete
negotiationsatthelocationstatedintheDataSheetwithinthisperiod.

The proposal should be submitted in hard bound form with page numbering and index. Any
additional information shall also be furnished by the bidder in hard bound form with proper
indexingandpagenumbering.

The Financial Proposal cover of bidders shall be opened by the Evaluation Committee on the
specifieddateandtimeinpresenceofbiddersthosewhochosetoremainpresent.

ThefollowingdocumentsarerequiredtobesubmittedalongwiththeTechnicalBid.

Certificate issued by Competent Authorities of Railways stating the empanelment of the


ApplicantforundertakingFeasibility/DPRforRailwayprojects.

Copies of the Experience/completion/ substantial completion certificate issued by the
competentauthorityinsupportofthequalifyingparameters,forthesimilarworkexecuted
duringthelastfivefinancialyears.

Attested copy of the Audited Balance Sheet/ Profit and loss account duly certified by
Chattered Accountant with his membership number clearly specified in support of the
qualifyingparameterofminimumAnnualFinancialyear(201112,201213,201314).

AttestedcopyofPANCARD.

AttestedcopyofServicetaxregistration.
Thesuccessfulbidder willbe required toproduceOriginalcopiesof the abovedocumentson
request of APIIC for verification. Offers of the Consultants who fail to produce the original
documentsforourverificationonthespecifieddateandtimeareliableforrejection.

ConditionalProposalsshallbesummarilyrejected.

TheConsultants attheir own costmay visit locationand familiarize themselvesregarding the


scopeofworkandsiteconditionsbeforequotingtheoffer.

Negotiations will not be conducted with the bidders as a matter of routine; however
corporationreservestherighttoconductnegotiations.

The decision of APIIC to accept or reject any offer of a party shall be final. In this regard, no
correspondenceshallbeentertainedbyAPIIC.

In the event of the Corporation s office remaining closed on the scheduled dates for any
unforeseenreason,theoffershallbereceivedupto15.00hrsonthenextworkingdayofthe
Corporation.

Cost of preparation and submission of Bids : The Consultant shall prepare the offer at his/
its/theirownriskandshallbearalltimecostofpreparingandsubmittinghis/its/theiroffers,as
wellasallothercostfortheworkandOWNERshalltakenoliabilityforthesecost.

Eachconsultantcansubmitonlyonebid.

5.0 EvaluationOfFinancialProposalsAndNegotiations

The Bidder with the Lowest Financial Quotation shall be identified as the Preferred
Consultant.
The decision of APIIC as regards to acceptance/rejection of eligibility for parties who
applyshallbefinalandbinding.

Notwithstandingtheabove,APIICreservestherighttoacceptorrejectanyorallbidsor
toannulthebiddingprocess.
TheeventofacceptanceoftheProposalofthePreferredBidderwithoutnegotiations,
APIICshalldeclarethePreferredBidderastheSuccessfulBidder.APIICwillnotifytheSuccessful
Bidder through a Letter of Award (LoA) indicating the award of the project to the Preferred
Consultant.

TheSuccessfulBidder(s)shallexecutetheConsultancyAgreementwithinoneweekof
theissueofLoAorwithinsuchfurthertimeasAPIICmayagreetoinitssolediscretion.

FailureoftheSuccessfulBiddertoexecutetheagreementwithinspecifiedperiodshall
constitutesufficientgroundsfortheannulmentoftheLoAandBlocklistingofconsultants.

6.0 AWARDOFCONTRACT
Thecontractwillbeawardedfollowingthenegotiations,ifneeded.

Upon award of the contract, the Successful Bidder shall deposit 5% of the Contract
price as performance security before signing the agreement. The Performance security shall
remainvalidupto45daysbeyondthestipulatedcompletionperiod.IncaseTimeextensionis
grantedbyAPIIC,theSuccessfulBiddershallextendtheperiodofvalidityoftheperformance
securityforequivalentextensionperiod.AmountofPerformancesecurityinshapeofdemand
draftpayableatHyderabadorinshapeofaBankGuaranteeintheprescribedformatfromany
NationalizedBankinfavourofAndhraPradeshIndustrialInfrastructureCorporation.

ThefirmisexpectedtocommencetheAssignmentonthedatespecifiedintheData
Sheet.

7.0 CONFIDENTIALITY
Information relating to evaluation of proposals and recommendations concerning
awards shall not be disclosed to the Consultants who submitted the proposals or to other
persons not officially concerned with the process, until the winning consulting firm has been
notifiedthatithasbeenawardedthecontract.

SECTION3:TERMSOFREFERENCE
1. PREAMBLE
Andhra Pradesh is one of the most progressive forwardlooking and advanced States in the country
whenitcomestoinfrastructuredevelopmentandemploymentgenerationeffort.APIICLtd,fullyowned
by the GoAP, is a progressive organization responsible for development of Industrial Infrastructure in
thestateofAndhraPradesh.APIICisknownforcreatinglandmarkinfrastructureprojectsinthestate,
whicharefuelingtheeconomicgrowthinthestate.
APIICLtdhasidentifiedlandsinKomaroluandSomayajulapallyvillagesofOrvakal(M),KurnoolDistrict
forestablishmentofIntegratedsteelplantswhichrequiresRailwaysidingfacilitatingthetransportation
ofrawandfinishedproducts.
APIICLtdisthereforeseekingproposalsforthepreparationofTechnoEconomicFeasibilityReportfor
green field Railway siding to the subject lands connecting the existing Railway line near
Panyam(VijayawadaNandyalGuntakalline)onEasternsideandDupadu(GuntakalHyderabadline)
onNorth Westdirection. Keyplanindicating the sitesproposed forestablishmentof steelplants and
proposedrailwaylineisenclosedherewithforreference.
2. OBJECTIVE:
Broad objective of this assignment is to prepare Techno Economical Feasibility Report for
implementation of a Rail Corridor connecting the Industrial Parks with Vijayawada Nandyal GTK
RailwayLineandGTKHyderabadRailwayLine.Theconsultantshallcarryoutpreliminaryengineering
survey, Detailed survey, TechnoEconomic Feasibility report and including obtaining Approval from
Railwaysandotherstatutorybodiesconcerned.
3. SCOPEOFSERVICES.
The Consultants has to execute the following works as per relevant Engineering Code of Indian
RailwaysunderthisContract
3.1 StageI(ReconnaissanceSurveyandPreliminaryAssessmentReport)

ToPlanandStudytherailwayconnectivityfromthenearestservingstationandaccessthe
techno economic feasibility of the railway connectivity by site inspection by a multi
disciplinary team comprising members from the associated disciplines of
traffic/transportation,civil,signalingandelectricalengineering.
CollectionandReviewofPoliciesofIndianRailwaysintermsofDevelopmentofRailSiding
andassociatedactivities
ToStudyandtomarkoutpossiblealignmentstoconnectexistingIRnetworkandproposed
industrialparkongoogleandtoposheetsdulyavoidingforest,wildlifesanctuariesandeco
sensitiveareasforthefollowingroutes:
VijayawadaNandyalGuntakalSCRailwaylineonEasternside.
GuntakalHyderabadSCRailwaylineonNorthWestdirection.
To conduct foot by foot reconnaissance survey along all the proposed alignments, duly
checkingvariousgeographicalfeatures andtoaccessmodifications ifanyonalignmentas
persiteconditions.
Toprepareconceptualplanforsidingtakeoffpointandindustrialparklayout
Preparationofcomparativestatementincludingblockestimatedcostforearthwork,

bridges,tracksignaling,crossing/blockstationsandmiscellaneouscivilworksetc.,forallthe
alternativeroutesincludinghandlingfacilitiesatindustrialpark.

ToDiscusswithclientandfinalizetheselectionofbestalignment.

submittoAPIIC

3.2StageII(DetailedSurvey,LandAssessmentandscheduling)

To examine existing railway facilities on Main line and also at serving Railway station on
SouthCentralRailwaysandtosuggestUpgradationofrailwayfacilitiesatservingRailway
station(ifany)forconnectingproposedindustrialpark

Assessthevolumeoftheprojectedtrafficandworkoutthenumberoftrainstobehandled
basedonthedataprovidedbyAPIICLtd.

AssessthenecessaryrailInfrastructureforloading,unloadingandstoragefacilitiesrequired
tohandletheproposedtrafficattheindustrialpark

To design Junction arrangements at serving Railway station to handle clients projected


volumeofinwardandoutwardtrafficexpeditiouslyandeconomically.

Tostudythesectionforcommercial/operational/mechanicalrequirementsofRailwaysto
assessthemodifications/provisionstoavoidfuturedifficultiesindetailedprojectstudy.

To carry out detailed route survey (with DGPS and Total station) from serving Railway
stationtoproposedindustrialparksitealongtheselectedrouteandalsototakelevelsen
routetoassessterrain.

TotakedetailedlongitudinalandtransverselevelsalongthealignmentwithAutolevel.
Tofixbenchmarksat500mintervalsalongthelinetofacilitatechecksduringconstruction
work.
Tofixpermanentreferencepointsalongalignment.
Assesstherequirementofflyovers/RoadOver/UnderBridges,crossdrainageworksand
LevelCrossings,ifany.
To assess the grades over the proposed alignment and to work out the approximate
estimatedquantities.

Block Cost Estimate for the development of Railway facilities including Civil Works
(PermanentWay,BridgesandLevelCrossingsetc.)Signalling&TelecommunicationWorks
fortheselectedalignmentbasedondetailedsurvey.

ToprepareandsubmitFeasibilityreportalongwithabstractcostestimatestoAPIICasper
therailwayrequirementbifurcatingintotwopackages.

Thedocumentshouldbeinlinewiththerailwayengineeringcode.

AssessmentofRowrequiredforRailCorridorinfinalizedalignment.

Preparation of Land Acquisition Plan showing extent of land required for development of
planned facilities superimposed on village maps, Revenue survey numbers. The land
acquisition plan shall include the details of type of land (agriculture, forest,
Government/alienated etc) and land scheduling along the preferred alignment with due
verificationbyrevenueauthorities

3.3StageIII(Inprincipleapproval)
To discuss with Railway authorities on proposed connectivity, proposed Up
gradation/modificationsatservingRailwaystationandproposedIndustrialparklayoutwith
facilitiesandtoascertaintheiropinion.

To submit Feasibility report along with abstract cost estimates as per standard railway
normsforInprincipleapprovaltoRailwayauthorities

Attendthemeetings,provideresponsestoclarificationsasandwhenrequired.

To interact and to obtain In Principle approval of Railways and other authorities


concerned.

4. COMPLETIONPERIOD:
TimeforcompletionofScopeofworkmentionedatPara3.1shallbe6weeksfromLOA.

TimeforcompletionofScopeofworkmentionedatPara3.2shallbe12weeksNTPforDetailed
survey.

7. PERFORMANCESECURITY

Uponawardofthecontract,theConsultantsshalldeposit5%oftheAgreementvalueoftheprojectas
performancesecurity.Theperformancesecurityshallremainvalidupto45daysbeyondthestipulated
completion period. In case Time extension is granted by APIIC, the Bidder shall extend the period of
validityoftheperformancesecurityforequivalentextensionperiod.AmountofPerformancesecurity
shall be in shape of demand draft payable at Hyderabad or in shape of a Bank Guarantee in the
prescribed format from any Nationalized Bank in favour of Andhra Pradesh Industrial Infrastructure
CorporationTheBankGuarantee(s)shallbereleasedaftersatisfactorycompletionoftheassignment.

GENERALCONDITIONSOFCONTRACT(GC)


1. GeneralProvisions

1.1 Definitions

Unless the context otherwise requires, the following terms whenever used in this contract
havethefollowingmeanings:

(a) ApplicableLawmeans the laws and any other instrumentshavingthe force of law inIndia, asthey
maybeissuedandinforcefromtimetotime;

(b) ContractmeanstheContractsignedbytheparties,towhichthesegeneralconditionsofcontract(GC)
areattached,togetherwithallthedocumentslistedinClause1ofsuchsignedContract;

(c) ContractPricemeansthepricetobepaidfortheperformanceoftheServices,inaccordancewiththe
clause6;

(d) GCmeanstheGeneralConditionsoftheContract;

(e) GovernmentmeanstheGovernmentofIndiaorGovernmentofAndhraPradesh

(f) LocalcurrencymeansthecurrencyoftheGovernment(Rupees);

(g) Member, in case the Consultants consist of a joint venture of more than one entity, means any of
these entities, and Members means all of these entities Member in charge means the entity
specifiedintheSCtoactontheirbehalfinexercisingalltheConsultants rightsandobligationstowards
theClientunderthisContract;

(h) PartymeanstheClientsortheConsultants,asincasemaybe,andPartiesmeansbothofthem;

(i) PersonnelmeanspersonshiredbytheBidderorbyanySubBidderasemployeesandassignedtothe
performanceoftheServicesoranypartthereof;

(j) SCmeanstheSpecialConditionsoftheContractbywhichtheseGeneralConditionsmaybeamended
orsupplemented;

(k) ServicesmeanstheworktobeperformedbytheConsultantspursuanttothiscontractasdescribedin
TOR;and

(l) Consultants meansaregisteredBidderfirmwithitsofficeatHyderabad

(m) SubConsultants means any entity to which the Consultants subcontract any part of the Services in
accordancewiththeprovisionsofClauses3.5and4.

(n) ThirdPartymeansanypersonorentityotherthantheGovernment,theClient,theConsultantsora
SubBidder.


(o) EffectiveDatemeansthedateonwhichthiscontractcomesintoforceandeffectiveinpursuantto

1.2 RelationbetweentheParties
Nothing contained herein shall be construed as establishing a relation of master and servant or of
principal and agent as between the Client and the Consultants. The Consultants, subject to this
Contract,havecompletechargeofPersonnelandSubConsultants,ifany,performingtheServicesand
shallbefullyresponsiblefortheServicesperformedbythemorontheirbehalf.

1.3 LawGoverningtheContract
This Contract, its meaning and the relation between the Parties shall be governed by the Applicable
Law.

1.4 Language
This contract has been executed in the language specified in the SC, which shall be binding and
controllinglanguageforallmattersrelatingtothemeaningorinterpretationofthiscontract.

1.5 Headings

Theheadingsshallnotlimit,alteroraffectthemeaningofthisContract.

1.6 Notices

(1). Anynotice,requestorconsentrequiredorpermittedtobegivenor
madepursuanttothisContractshallbeinwriting.Anysuchnotice,

requestorconsentshallbedeemedtohavebeengivenormadewhen

deliveredinpersontoanAuthorisedRepresentativeofthePartyto

whomthecommunicationisaddressedorwhensentbyregistered

mail/courier,telex,telegramorfacsimiletosuchPartyattheaddress

specifiedintheSC.

(2). NoticewilldeemtobeeffectiveasspecifiedintheSC.

(3). APartymaychangeitsaddressfornoticehereunderbygivingtheother

PartynoticeofsuchchangepursuanttotheprovisionslistedintheSC

withrespecttoClauseGC1.6(2).


2. Commencement,Completion,ModificationandTerminationofContract

2.1 EffectivenessofContract
ThisContractshallcomeintoforceandeffectonthedate(EffectiveDate)oftheClient snoticetothe
ConsultantsinstructingtheConsultantstobegincarryingouttheServices.Thisnoticeshallconfirmthat
theeffectivenessconditions,ifany,listedintheSChavebeenmet.

2.2 TerminationofContractforFailuretobecomeEffective
IfthisContractfailstobecomeeffectivewithinsuchtimeperiodafterthedateoftheContractsignedby
the Parties as shall be specified in the SC, either Party may, by not less than 4 (four) weeks written
notice to the other Party, declare this Contract to be null and void, and in the event of such a
declarationbyeitherParty,neitherPartyshallhaveanyclaimagainstotherPartywithrespecthereto.

2.3 ExpirationoftheContract
Unlessterminatedearlierpursuanttoclause2.7hereof,thiscontractshallexpirewhenServiceshave
beencompletedandallpaymentshavebeenmadeattheendofsuchtimeperiodaftertheEffective
DateasspecifiedinSC.

2.4 Modification
Modificationofthetermsandconditionsofthiscontract,includinganymodificationofthescopeofthe
ServicesoroftheContractPrice,mayonlybemadebywrittenagreementbetweentheParties.

2.5 ForceMajeure

2.5.1 Definition

(a) For the purpose of this contract, Force Majeure means an event, which is beyond the reasonable
controlofaPartyandwhichmakesaParty sperformanceofitsobligationshereunderimpossibleorso
impracticalastobeconsideredimpossibleinthecircumstances,andincludes,butisnotlimitedto,war,
riots, civil disorder, earthquake, fire, explosion, storm, flood or other adverse weather conditions,
strikes,lockoutsorotherindustrialaction(exceptwheresuchstrikes,lockoutsorotherindustrialaction
arewithinthepowerofthePartyinvokingForceMajeuretoprevent),confiscationoranyotheraction
bygovernmentagencies.
(b) ForceMajeureshallnotinclude(i)anyeventwhichiscausedbythenegligenceorintentionalactionofa
PartyorsuchParty sSubConsultantsoragentsoremployees,nor(ii)anyeventwhichadiligentParty
couldreasonablyhavebeenexpectedtoboth(a)takeintoaccountatthetimeoftheconclusionofthis
Contractand(b)avoidorovercomeincarryingoutofitsobligationshereunder.

(c) Force Majeure shall not include insufficiency of funds or failure to make any payment required
hereunder.

2.5.2 NoBreachofContract
Thefailureofapartytofulfillanyofit sobligationsunderthecontractshallnotbeconsideredtobea
breach of, or default under this contract in so far as such inability arises from an event of Force
Majeure,providedthatthepartyaffectedbysuchaneventhastakenallreasonableprecautions,due
care and reasonable alternative measures, all with the objective of carrying out the terms and
conditionsofthiscontract.

2.5.3 MeasurestobeTaken

(a) A Party affected by an event of Force Majeure shall take all reasonable measures to remove such
Party sinabilitytofulfilitsobligationshereunderwithaminimumdelay.

(b) APartyaffectedbyaneventofForceMajeureshallnotifytheotherPartyofsuchaneventassoonas

possible, and in any event not later than fourteen (14) days following the occurrence of such event,
providing evidence of the nature and cause of such event, and shall similarly give notice of the
restorationofnormalconditionsassoonaspossible.

(c) The Parties shall take all reasonable measures to minimise the consequences of any event of Force
Majeure.

2.5.4 ExtensionofTime
Anyperiod,withinwhichapartyshall,pursuanttothisContract,completeanyactionortaskshallbe
extendedforaperiodequaltothetimeduringwhichsuchPartywasunabletoperformsuchactionasa
resultofForceMajeure.

2.5.5 Payments
DuringtheperiodoftheirinabilitytoperformtheServicesasaresultofaneventofForceMajeure,the
Consultantsshallbeentitledtocontinuetobepaidunderthetermsofthiscontract,aswellastobe
reimbursedforadditionalcostsreasonablyincurredbythemduringsuchperiodforthepurposesofthe
ServicesandreactivatingtheServicesaftertheendofsuchperiod.

2.5.6 Consultations
Notlaterthanthirty(30)daysaftertheConsultants,astheresultofaneventofForceMajeure,have
becomeunabletoperformamaterialportionoftheServices,thePartiesshallconsultwitheachother
withaviewtoagreeinganappropriatemeasurestobetakeninthecircumstances.

2.6 Suspension
The Client may, by written notice of suspension to the Consultants, suspend all payments to the
Consultants hereunder if the Consultants fail to perform any of their obligations under this Contract,
includingthecarryingoutoftheServices,providedthatsuchnoticeofsuspension(i)shallspecifythe
natureofthefailure,and(ii)shallrequesttheConsultantstoremedysuchfailurewithinaperiodnot
exceedingthirty(30)daysafterreceiptbytheConsultantsofsuchnoticeofsuspension.

2.7 Termination

2.7.1 BytheClient

The Client may, by not less than thirty (30) days written notice of termination to the Consultants
(exceptintheeventlistedinparagraph[f]below,forwhichthereshallbeawrittennoticeofnotless

than sixty (60) days), such notice to be given after the occurrence of any of the events specified in
paragraphs(a)through(e)ofthisClauseGC2.7.1,terminatetheContract:

(a) if the Consultants do not remedy a failure in the performance of their obligations hereunder, as
specifiedinanoticeofsuspensionpursuanttoClauseGC2.7hereinabove,withinthirty(30)days of
receiptofsuchnoticeofsuspensionorwithinsuchfurtherperiodastheClientmayhavesubsequently
approvedinwriting;

(b) iftheConsultantsbecome(or,ifConsultantsconsistofmorethanoneentity,ifanyoftheirMembers
becomes)insolventorbankruptorenterintoanyagreementswiththeircreditorsforreliefofdebtor
take advantage of any law for benefit of debtors or go into liquidation or receivership whether
compulsoryorvoluntary;

(c) iftheConsultantssubmittotheClientastatementwhichhasamaterialeffectontherights,obligations
orinterestsoftheClientandwhichtheConsultantsknowtobefalse;

(d) if, as the result of Force Majeure, the Consultants are unable to perform a material portion of the
Servicesforaperiodofnotlessthansixty(60)days;

(e) iftheClient,initssolediscretionandforanyreasonwhatsoever,decidestoterminatethisContract;or,

2.7.2 BytheConsultants
TheConsultantsmay,bynotlessthanthirty(30)days writtennoticetotheClient,suchnoticetobe
given after the occurrence of any of the events specified in paragraphs (a) and (d) of this Clause GC
2.7.2,terminatethisContract:

(a) iftheClientfailstopayanymoneyduetotheConsultantspursuanttothisContractandnotsubjectto
dispute pursuant to Clause 8 hereof within thirty (30) days after receiving written notice from the
Consultantsthatsuchpaymentisoverdue;

(b) iftheClientisinmaterialbreachofitsobligationspursuanttothisContractandhasnotremediedthe
samewithinthirty(30)days(orsuchlongerperiodastheConsultantsmayhavesubsequentlyapproved
inwriting)followingthereceiptbythe

ClientoftheConsultantsnoticespecifyingsuchbreach;

(c) if,astheresultofForceMajeure,theBidderareunabletoperformamaterialportionoftheServicesfor
aperiodofnotlessthansixty(60)days;or,
(d) Theclientshallneitherdivertthework(inpartorinfull)forexecutionbyhimselforbyotheragencynor
shall interfere with contract administration of Consultants under relevant contract. In such events
clientsshallbeliableforpaymentofsuitablecompensationtoConsultants.

(e) iftheClientfailstocomplywithanyfinaldecisionreachedpursuanttoClause8ofGC.

2.7.3 CessationofServices
Under termination of this Contract by notice of either Party to the other, the Consultants shall
immediatelyupondispatchorreceiptofsuchnotice,takeallnecessarystepstobringtheServicestoa
closeinapromptandorderlymannerandshallmakeeveryreasonableefforttokeepexpenditurefor
this purpose to a minimum. With respect to documents prepared by the Consultants and equipment
andmaterialsfurnishedbytheClient,theConsultantsproceedasprovided,respectively.

2.7.4 PaymentsuponTermination
Upon termination of this Contract, the Client shall make the following payments to the Consultants
(after offsetting against these payments any amount that may be due from the Consultants to the
Client):

(a) reimbursable expenditures hereof for expenditures actually incurred prior to the effective date of
termination;and,

3. ObligationsoftheConsultants

3.1 General

3.1.1 StandardsofPerformance

The Consultants shall perform the Services and carry out their obligations hereunder with all due
diligence,efficiencyandeconomy,inaccordancewithgenerallyacceptedprofessionaltechniquesand
practices, and shall observe sound management practices, and employ appropriate advanced
technologyandsafemethods.TheConsultantsshallalwaysact,inrespectofanymatterrelatingtothis
ContractorServices,asfaithfuladviserstotheClient,andshallatalltimessupportandsafeguardthe
Clients legitimateinterestsinanydealingswithSubConsultantsorThirdParties.

3.1.2 LawGoverningServices

The Consultants shall perform the Services in accordance with the Applicable Law and shall take all
practicalstepstoensurethatanySubConsultants,aswellasthePersonneloftheConsultantsandany
SubConsultants in writing of relevant local customs and the Consultants in writing of relevant local
customsandtheConsultantsshall,aftersuchnotifications,respectsuchcustoms.

3.2 Confidentiality

TheConsultants,theirSubConsultants,andthepersonnelofeitherofthemshallnot,eitherduringthe
term or within two (2) years after the expiration of this Contract, disclose any proprietary or
confidentialinformationrelatingtotheProject,theServices,thisContract,ortheClient sbusinessor
operationswithoutthepriorwrittenconsentoftheClient.

3.3 ReportingObligations

TheConsultantsshallsubmittotheClientthereportsanddocumentsspecifiedform,inthenumbers,
andwithintheperiodssetforthintheTOR.

3.4 PerformanceSecurity

The Consultants shall be required to deposit 5% of the contract price as performance security. The
performancesecurityshallremainvalidupto45daysbeyondthestipulatedcompletionperiod.Incase
time extension is granted by APIIC, the Bidder shall extend the period of validity of the performance
securityforequivalentextensionperiod.Amountofperformancesecurityshallbeinshapeofdemand
draft payable at Hyderabad or in shape of a Bank Guarantee in the prescribed format from any
NationalisedBankinfavourofAndhraPradeshIndustrialInfrastructureCorporation.

4. ObligationsoftheClient

4.1 AssistanceandExemptions
UnlessotherwisespecifiedintheSC,theClientshalluseitsbesteffortstoensurethattheGovernment
shall:

(a) providethedocumentsasshallbenecessary,toenableConsultants,SubConsultantsandPersonnelto
performtheServices;

(b) issue to officials, agents and representatives of the Government all such instructions as may be
necessaryorappropriateforthepromptandeffectiveimplementationofServicesbytheConsultants.

(c) providetheConsultants,SubConsultantsandPersonnelanysuchotherassistanceandexemptionsas
specifiedintheSC.

4.2 AccesstoLand

TheClientwarrantsthattheBiddershallhavefreeofchargeunimpededaccesstoalllandinrespectof
which access is required for the performance of the Services. The Client will be responsible for any
damage to such land or any property thereon resulting from such access and will indemnify the
Consultantsandeachofthepersonnelinrespectofliabilityforanysuchdamageunlesssuchdamageis
causedbythedefaultornegligenceoftheConsultants/anySubConsultantsorthePersonnelofeither
ofthem.

4.3 ChangeintheApplicableLaw

TheConsultantsshallnotbeentitledtobecompensatedexceptinthecaseoftheServiceTaxshould
there be any change in the Applicable Law with respect to taxes and duties after the date of this
Contract.

TheConsultantsshallbeentitledtobepaidtheServiceTaxaspertheApplicableLaw.

5. PaymentstotheConsultants

5.1 CurrencyofPayment

ThepaymentsfortheServicesforthisContractshallbepayableinIndianRupees.

6. SettlementofDisputes

6.1 AmicableSettlement

Thepartiesshallusetheirbesteffortstosettleamicablyallthedisputesarisingoutoforinconnection
withthisContractoritsinterpretationinCourtofLaw.

7.0 LiquidatedDamagesfordelayinexecution:

ConsultantshallbeliabletopayLiquidateddamagesfordelay,butnotbywayofpenalty,for
theperiodofdelay@0.5%perweekofConsultationFeesubjecttoamaximumof5%oftotal
FEE.ThesameshallbedeductedfromrunningbillsofConsultant.

LDshallbeleviableonlyfordelayattributabletoconsultantoritsassociatesandnotfordelays
attributabletoAPIIC.

ForthepurposeofLD,APIICshallnotberequiredtoproveactuallossordamage.

Any correspondence or minutes of meeting and/or acceptance of delayed work shall not be
construedaswaivingofLDorgrantingextensionforcompletionperiod.

8.0 CompletionCertificate:
CertificateforCompletionofmilestoneactivityorforanyintermediateprogresswillbeissued
byAPIIC.whentheworksarecompletedfullyorintermediatemilestonesareachievedtothe
satisfactionofAPIIC.

9.0 TaxdeductionatSource:

Whilemakingpayments,incometaxatprescribedrates,shallbedeductedfromthebillsofthe
Consultant.AmountsodeductedshallbedepositedwithIncomeTaxDepartment.

Other recoveries at source, as per the statutory requirement, shall also be made from the
Consultants bills at prescribed rates from time to time and deposited with concerned Govt.
Department.

10.0 Indemnification:

ConsultantshallindemnifyAPIICagainstanylossordamagewhatsoever,thatmaybesuffered
by the company (APIIC) or Railways, National Highway or State Highway Department or any
other agency third parties, as a result of any lapse or failure or noncompliance to Rules /
regulations/safetynormsontheir(ConsultantsPart).

11 Settlementofdisputes,ArbitrationandJurisdiction:

11.1 SettlementofDisputes:
Anydisputeordifferences,includingthoseconsideredassuchbyonlyoneofthepartiesarising
out of this or in connection with the contract, during execution of this contract or after its
completion,shallbetotheextentpossiblesettledamicablybetweentheparties.

11.2 Arbitration:

ThearbitrationclauseNo.73asprovidedintheP.S.toAPSSshallnotapplytothiscontract.The
CivilCourtsofHyderabad/Secunderabadonlyshallhavejurisdictiontoentertainthedisputes
arisingoutofthiscontractbywayofcivilsuits.

11.3GoverningLawsandJurisdiction:
TheawardshallbegovernedbyIndianlawsandRulesamendedfromtimetotimeandshallbe
subjecttoexclusivejurisdictionofCompetentCourtatHyderabad.
