SPECIAL POWER OF ATTORNEY

KNOW ALL MEN BY THESE PRESENTS

That I, VIRGILIO GABUNADA married to FELICIANA GABUNADA


(Deceased), Filipino, with residence at Kalunasan, Cebu City Philippines, do
hereby name, appoint, and constitute LEONOR C. EVARDONE, of legal age,
single, Filipino and with residence at Goldenville Subdivision, Banawa,
Guadalupe, Cebu City, Philippines, as my true and lawful ATTORNEY-IN-
FACT for and in my place, stead and behalf, to do any and/or all of the
following acts, to wit:

1. To enter into a joint venture agreement or similar agreements and


contracts with any other party as DEVELOPER chosen and selected
by my Attorney-in-Fact to undertake the development into a real estate
project the parcel of land covered by OCT No. 107-O-1715, situated at
Kalunasan, Cebu City described as follows:

DESCRIPTION: A PARCEL OF LAND (Lot No. 18212-F CSD-


07-007920 EQUIV. TO LOT NO. 21321, CAD-12 EXT.),
situated in the Barangay Kalunasan, City of Cebu, Province
of Cebu, Island of Cebu containing an area of 10,472 square
meters more or less. This is an exclusive property of VIRGILIO
GABUNADA being an inherited estate in accordance with the
Extra-Judicial Declaration of Heirs and Settlement of the
Estate of the Deceased Fernanda Gabunada dated 12 July
1999 duly acknowledged before Notary Public Loreto T. Lara
and entered in the notarial register of the latter as Doc. No.
251, Page No. 52, Book No. VII, Series of 1999.

2. To determine the type of real estate development project that is ideal


yet practical and reasonable for the above-described property, such as
but not limited to subdivision house and lot, subdivision lot only,
memorial park, and under any terms and conditions acceptable to my
Attorney-in-Fact;

3. To mortgage the above-described property as security for any loan or


financial assistance with any party, banks or financial institutions for
the purpose of acquiring funds for the development and marketing of
the above-described property into a real estate development project,
and to execute and sign the Real Estate Mortgage and other papers
and documents appertaining thereto;

4. To receive papers, documents and monies (either cash or checks) on


my behalf relative to the joint venture agreement or similar agreements
and contracts executed between my Attorney-In-Fact and the
Developer;

5. To deliver to the Developer the owner’s duplicate copy of the title in
order to facilitate the issuance of individual titles covering the saleable
lots/units forming part of the above-described property as developed,
and for the purpose of annotating any agreements or similar contracts
on the titles covering the same property;

6. To deliver to the Developer the possession of the above-described


property free and clear of tenants, squatters or other occupants or
improvements, if any, and give full assistance to the Developer in
establishing effective physical control over the above-described
property and securing the premises thereof against unauthorized
persons;

7. To pay necessary expenses such as real property taxes, and any and
all such taxes, fees and expenses that may be agreed upon between
my Attorney-In-Fact and the Developer;

8. To sign, execute and deliver documents and other writings of whatever


nature or kind with the Developer or financial institutions in
connection with the above authority;

HEREBY GRANTING unto my representative full power and authority to


execute and perform every act necessary to render effective the foregoing
powers, as though I myself, has so performed it, and HEREBY APPROVING
ALL that she may do by virtue hereof with full right of substitution of her
person and revocation of this instrument.

Personally known to me and to me known the same persons who executed the
foregoing Special Power of Attorney and who acknowledged before and their
respective signatures on the instrument were voluntarily affixed by them for
the purposes stated therein, and who declared to me that they have executed
the instruments as their free and voluntary act and deed. This instrument is
composed of three (3) pages, including this page where and conditions have
been attached. All the pages hereof have been signed by the aforesaid parties
and their instrumental witnesses and sealed with my notarial seal.
