WHEREAS Niagara College is interested in recruiting international students for its programs at Niagara College;
AND WHEREAS Recruiter wishes to recruit international students for the English as a Second Language Program
(“ESL”) and Post-Secondary Programs (“PS”) and Post Graduate Program (“PG”) and Degree Programs (“D”) at
Niagara College;
NOW THEREFORE IN CONSIDERATION of the payment by each to the other of ONE DOLLAR ($1.00) and for other good
and valuable consideration, the receipt and sufficiency of which hereby acknowledged, the parties hereby agree as
follows:
b. Thoroughly inform prospective students as to the admission policies of Niagara College for ESL, PS,
PG, and Degree programs. In the event that the Recruiter is unable to answer questions concerning
the admission policies of Niagara College after first reviewing the materials provided to the Recruiter
by Niagara College, then in such circumstances, the Recruiter shall refer the questions to the
International Education Department of Niagara College.
c. Ensure that prospective students are correctly informed that they must be ready to begin programs at
Niagara College not later than the starting dates established by Niagara College for each program.
d. Inform prospective students as to the options available for living accommodations while studying at
Niagara College and to clearly inform each student that Niagara College strongly recommends that the
student adopt the homestay option during the first two or three terms of the ESL Program.
e. Assist prospective students in obtaining the required student authorization from the Canadian
Embassy or Consulate; no international student should arrive at Niagara College without this student
authorization.
f. Assist the student with travel arrangements to Canada, if the student so desires.
g. Provide the International Education Department of Niagara College with an invoice for the commission
fees within two weeks following the start of a program in which a student or students recruited as a

result of the efforts of the Recruiter have been enrolled. Each new term the invoice will show a
detailed list of the names of the students and the starting dates of each student.
b. Provide, at no cost to the Recruiter, appropriate promotional material, college calendars, program
brochures and application forms at the request of the Recruiter; all such material will be provided in
the English language.
c. Review and verify the adequacy of academic documentation and proof of English language proficiency
according to the admission policies of Niagara College.
i. A commission fee rate of 15 per cent on paid tuition fees only, excluding any other fees that
Niagara College may charge from time to time, for the first 5 students enrolled each term, and
20 per cent on tuition fees only from the 6th students enrolled each term. This rate does not
apply to Summer English or custom English or contract training programs.
ii. The commission will be paid per term and may be prorated for students who attend less than
one year;
iii. The commission fee will be paid within thirty days after receiving the invoice from the
Recruiter, under condition that the student(s) has (have) paid tuition fees and are not eligible
for a refund;
iv. A commission fee for each recruited student will be paid only to a maximum of three terms of
the English for Academic Purposes programs and only to a maximum of two terms of a PS, PG
or D program.
v. From time to time, Niagara College may issue commission specials that will increase
commission rates for specific programs or intakes. Such rates, where applicable, will be issued
as amendments to this agreement with specific dates and terms of the increased commission
rates.
4. This Agreement shall be binding upon Niagara College’s receipt of this agreement signed by the recruiter and
ensures to the benefit of the heirs, executors, successors and assigns of the parties hereto.
5. This Agreement shall be in place upon signing and may be terminated by either party upon sixty (60) days
written notice to the other party.
6. Without intending to create a legally binding obligation, each party agrees to review the terms of the
agreement annually and a new agreement will be issued only when deemed necessary by the college.

7. This Agreement shall be construed in accordance with the laws of the Province of Ontario and of Canada, as
applicable.
8. All notices given pursuant to this Agreement shall be deemed to have been properly given if hand-delivered
(including courier) to the premises or if mailed, by registered or certified mail, postage pre-paid, or sent by fax
addressed to the appropriate party at the following addresses:

9. Either party may, from time to time, designate by written notice pursuant to this clause any other reasonable
address or party to which notice or communication may be given. Such notice shall be deemed received when
delivered to the premises dated or sent by fax or if mailed, ten (10) business days after mailing.
10. This Agreement constitutes the entire Agreement between the parties and supersedes any prior Agreements
or understandings whether oral or written between the parties hereto, and may only be amended by further
agreement in writing.
