PREAMBLE
We, the Brgy. Lourdes Farmers of the municipality of Alangalang, Leyte in order to
improve our standard of living and enhance the general welfare, the members of LOURDES
FARMERS’ ASSOCIATION organized ourselves into an association, do hereby promulgate
this constitution and by-laws.
ARTICLE I

SECTION 3. Expulsion – A member maybe terminated by the officers for any of the
following causes:

SECTION 6. Calendar Year – The calendar year of the association shall commence
on the first day of January and on the last day of December.

c) Consideration of the minutes of the last general meeting
d) Consideration of the consolidated reports of officers, board of directors
and committees including statements of financial condition and operation
e) Unfinished business
f) Election of officers and committee members
g) New business, and
h) Adjournment
SECTION 10. Officers and Members – the business of the organization shall be
administered by the officers.
SECTION 11. Qualification and Disqualification of Officers – All members entitled to
vote, who have time and willingness to serve are qualified to be voted
as officers, except those under any of the following circumstances
which disqualify them to be voted upon the position officers or to
continue as such.
SECTION 12. Election of Officers – The officers shall be elected by secret ballot by
the members at the annual general assembly and shall hold office for a
term of three (3) years unless earlier remove for cause, or have
resigned or become incapacitated due to illness or death, and until
their successors have been elected qualified and have discharge the
duties of the office, provided that during the election at the first
annual general assembly after registration, one half plus one officers
obtaining the highest number of voted shall serve for two year.
Thereafter, all shall serve for a term to two years. Provided, that no
officers shall serve for more than three (3) consecutive terms.
SECTION 13. Quorum of Officers Meeting – One half plus one total officers shall
constitute a quorum. A majority vote of the quorum duly assembled in
meeting shall be valid.
SECTION 14. Vacancies – When a vacancy of the officers occur by reason of death,
incapacity, removal or resignation, the remaining officers constituting
a quorum shall fill the vacancy, if the officers do not constitute a
quorum the vacancy shall be filled by the general assembly in a
regular or special meeting called for the purpose. The successors
named in either of the two instances, shall serve for the unexpired
portion of the term.
SECTION 15. Removal of Officers and Committee Member – any elected officers or
committee members may be removed from office by a voice of two-
thirds (2/3) of the members entitled to vote, present and constituting
a quorum at the annual or special general assembly called for the
purpose after having given the opportunity to be heard at the said
assembly.
SECTION 16. Powers and Duties of the Officers – the officers as a body have general
supervision and control of the affairs of the association it shall
prescribed policies consistent with law, these by-laws and the
resolution of the general assembly for the management of its business
and guidance of its members and employees.
SECTION 17. Duties and Responsibilities of Officers

a) Keep complete list of all members and maintain correct record of all
meetings of the officers and the general assembly.
b) Give notice to all meetings called.
c) Keep and maintain in the record book and serve as custodian of the
seal of the organization.
d) Turn-over to his/her successor all books and other properties in
his/her possession belonging to the organization.
e) Perform the duties of the treasurer in case of the latter’s absence or in
ability to perform his duties.

CAPITAL STRUCTURE
SECTION 1. Source of Income – the association shall derive its funds from:

OPERATION
SECTION 1. The organization shall procure the production inputs and supplies
consumer goods, livestock feeds and other related needs of its
members and the community in bulk from the best sources possible
through an association purchasing system to achieve economy and
efficiency, and shall make these goods available at the right quality
and quantity at a reasonable price.
SECTION 2. All members shall procure their goods from the organization.
SECTION 3. All members shall execute a marketing and/or service agreement with
the organization. The latter shall market the product of the members
and/or provide the needed service in the usual and custody manner
or any manner it may see fir under the circumstances, having in mind
the interested and welfare of the members.

EFFECTIVITY
This Constitution and By-Laws shall take effect immediately upon notification by a
majority vote of all members of the association.
ADOPTED AND RATIFIED this 8th day of September 2017 at Barangay Lourdes,
Alangalang, Leyte with the list of members together with their signatures who ratified the
same as appearing below.

The meeting start at 9:30 in the morning and it was opened through opening prayer Amalia C.
Cabaltera, and followed by the Philippine National Anthem.
Agenda:
1. Organized all Lourdes Farmers’ of Barangay Lourdes, Alangalang, Leyte;
2. Organized set of officers;
3. Selection of Livelihood Project;
4. Orientation of Constitutional and By-Laws of the Organization.
Discuss the purpose of formation of the Lourdes farmers’ organization of the Barangay
Lourdes how does it help their family, to gain extra income, avail livelihood program from
government and any NGO.
The organization was declared and called Lourdes Farmers’ Association. And at exactly
10:30 A.M. the election of Officers started and it was done 11:00 A.M. set of officers was
declared.
The aim of this organization is to help the members up lift the living condition through
livelihood project. It was propose during the meeting and as agreed by all members present
that project desired was vegetable gardening as phase 1 of the livelihood program. This
project is an ideal answered the common needs of the people with this barangay.
President Alfredo B. Catindoy Sr. explained and discussed the members of the
organization article of By-Laws with emphasis on membership fee and monthly dues. There
being no question on this matter the constitutional by-laws stand approved.

Minutes on the adoption or Ratification of the Constitution and By-Laws of Barangay Lourdes
Agri-Preneurs (Lourdes Farmers’ Ass.) held on September 8, 2017 at 9:00 a.m. at the communal
garden.
A. Roll Call
The meeting formally started at 9:30 a.m. in the morning with the roll call by the
secretary and a quorum was declared by the presiding officer.
B. Proof of Notice:
A proof of due notice was read by the secretary based on the letter sent to the
officers and members of the association dated September 8, 2017.
D. Unfinished Business
The presiding officer presented again the constitution and by-laws to the body if
they would like to adopt everything that is embodied in it. Most members disagree on
fees to be collected. There was a rus-through of the document and in the end they
accepted its terms and conditions.
