THIS CONTRACT Is made and entered this 16” day of December, 2013 by and
between the Board of School DIrectors of the Big Spring School District with offices
located in PennsylvanIa (hereinafter referred to as “Disthce’ or “Board” or “Board of
School DIrectors”) and Mr. Richard Wayne Fry (hereinafter referred to as “District
Superintendent” or “Mr. Fry’),
WHEREAS, the parties have agreed upon certain terms and conditions of
employment and desire to reduce said terms and conditions to writing;
1. Term.
The Board, in consideration of the promises herein contained, has employed Mr.
Fry and Mr. Fry hereby accepts said employment as District Superintendent of the Big
Spring School District for a five-year term commencing on Juiy 1, 2014 and ending on
June 30, 2019 (“Term”).
This Contract shall terminate immediately upon the expiration of the aforesaid Term
unless the Contract is sooner modified or terminated in accordance with this Contract or
allowed to renew automatically in accordance with SectIon 1073(b) of the Public School
Code or this Contract.
2. Professional Qualifications.

A. During the Term of this Contract the District Superintendent agrees to serve
as Chief Administrator of the District and Executive Officer for the Board of
School Directors1 and to perform to the best of his abilities the duties of the
District Superintendent in a competent and professional manner in accordance
with the iaws of the Commonwealth of Pennsylvania, the District’s Job
Description for the position of District Superintendent (attached and
incorporated into this Contract as Appendix A), and the provisions of this
Contract. Au duties asigned to the District Superintendent by the Board
shouid be appropriate to and consistent with the professional roie and
responslblilty of the District Superintendent.
C. The District Superintendent shah have a seat on the Board of Schooi Directors
and the right to speak on all issues before the Board but shall not have the
right to vote. The District Superintendent and/or his designee shail have the
right to attend ail regular and special meetings of the Board and all committee
meetings thereof except for being excluded from an executive session for
reasons of conflict of interest as determIned in good faith by the Board and
shaii serve as advisor to the Board and its committees in au matters affecting
the District, The Board and Its members individuaiiy shail promptly refer all
criticisms, complaints and suggestions called to its attention to the District
Superintendent for study, disposition, or recommendation as appropriate.

of this Contract provided, however, that he may undertake, and be
compensated for, outside work, including but not limited to consultative work,
speaking engagements, writing, lecturing, adjunct teaching, and/or other
professional services which do not Interfere with the District Superintendent’s
obligations pursuant to this Contract, provided the Board approves of such
outside actMties.
A. The Board of School Directors and the District Superintendent agree to the following:
Effective July 1, 2015 and on July 1 of each subsequent year of this Contract, the
District Superintendent shall receive a minimum annual Increase over and above his
previous yea?s base salary as follows:
Each increase shall be added to and become part of his annual base salary. The Board
may provide additional increases to the District Superintendent’s salary in its discretion

throughout the life of this Contract. The salary Increases shall be applied unless the
District Superintendent’s performance is rated as unsatisfactory” on his annual
performance assessment for the prior school year, in accordance with the provisions of
this Contract.
The District retains the right to adjust the District Superintendent’s annual salary during
the term of this Contract and any extension thereof, provided that such adjustment shall
not reduce the annual salary in effect at any gIven time without the written approval of
the District Superintendent. Should any District employee receive a salary greater than
that of the District Superintendent, the Board will adjust the District Superintendent’s
salary above that of the District employee.
The annual salary shall be paid In equal installments In accordance with the policy of
the Board governing payment of salary to other professional staff members of the
District.
B. in addition to the annual salary set forth herein, the District Superintendent shall
receive and the District shall provide and pay for the following benefits:
(1) VACATiON LEAVE AND HOLIDAYS
The District Superintendent shall carry forward in this Contract and be credited on July
1, 2014 with all of his unused vacation leave accrued during his employment with the
District.
The District Superintendent shall receive twenty-five (25) days of vacation ieave with full
pay each year of this Contract, which shall be credited in full on July 1, 2014 and on
July 1st of each subsequent year of this Contract. The District Superintendent shall not
accumulate more than twenty-five days of vacation leave for any twelve-month period.
On June 3O of each year of this Contract, the District shail pay the District
Superintendent his then-current per diem rate of pay for a maximum of fifteen (15) days
of unused vacation leave and/or unused personal leave (“per diem rate of pay” as the
term is used throughout this Contract shall be calculated by dividing the District
Superintendent’s then-current annual salary by 232),
Except as set forth below, the District shail pay the District Superintendent for unused
days of vacation leave at the time this Contract is terminated for any reason, whether
voluntarily or involuntarily, Including but not limited to retirement, resignation,
termination, death, mutual consent, or non-renewal of this Contract, at which time the
School District shall pay the District Superintendent his then-current per diem rate of
pay for each day of unused vacation leave up to a maximum payment for twenty-five
(25) days of unused vacation leave. NotwIthstanding any of the foregoing, The District
shall not be obligated to make any payments to the District Superintendent for unused

vacation, sick, or personal days in the event he is removed from office and has this
contract terminated for cause pursuant to Section 10-1 080 of the Public School Code.
The District shall make such payments to the District Superintendent for unused
vacation leave as a non-elective contribution to the District Superintendent’s 403(b)
account or other tax—deferred account of the District Superintendent’s choosing. This
non-elective contribution shall be subject to an amount up to or equal to the limits
established by law for such accounts. If the compensation limits established for such
accounts are exceeded, the District shall cause to be contributed as a non-elective
contribution to one or more tax-deferred accounts In an amount up to and equal to the
established limits for such contributions in each subsequent year for a period of not
more than five (5) years or until the benefit amount is exhausted. in addition, the District
Superintendent shall receive, with full pay, all holidays available to twelve-month
administrative employees covered under the School District’s administrator
compensation plan adopted pursuant to Section 1164 of the Public School Code (24
P.S. 11-1164) (“Act 93 Contract’).
(2) SiCK LEAVE
The District Superintendent shall carry forward In this Contract and be credited on July
1 2014 with all of his unused sick leave accrued during his employment with the
District.
The District Superintendent shall receive twelve (12) days of sick leave with full pay
each year of this Contract, which shall be accumulated one (1) day of sick leave per
month. The District Superintendent may accumulate unused sick leave without limit.
The District shall pay the District Superintendent for unused days of sick leave at the
time this Contract is terminated for any reason, whether voluntarily or involuntarily,
Including but not limited to retirement, resignation, termination, death, mutual consent,
or non-renewal of this Contract, at which time the District shall pay the District
Superintendent his then-current per diem rate of pay for each day of unused sick leave
up to a maximum payment for fifty (50) days of unused sick leave. Notwithstanding any
of the foregoing, the District shall not be obligated to make any payments to the District
Superintendent for unused vacation, sick, or personal days in the event he is removed
from office and has this contract terminated for cause pursuant to Section 10-1 080 of
the Public School Code.
The District shall make such payment to the DIstrict Superintendent for unused sick
leave as a non-elective contribution to the District Superintendent’s 403(b) account or
other tax—deferred account of the District Superintendent’s choosing. This non-elective
contribution shall be subject to an amount up to or equal to the limits established by law
for such accounts, If the compensation limits established for such accounts are

exceeded, the District shall cause to be contributed as a non-elective contribution to one
or more tax-deferred accounts in an amount up to and equal to the established limits for
such contributions in each subsequent year for a period of not more than five (5) years
or until the benefit amount is exhausted.
The District Superintendent may use his days of sick leave to care for members of his
“immedIate family” as that term is defined in the “Bereavement Leave” paragraph of this
Contract. Days of sick leave used for members of the District Superintendent’s
“ImmedIate family0 will be deducted from his allocated sick leave in the same manner as
those used for the DistrIct Superintendent’s own illness.

(5) JURY DUTY AND COURT APPEARANCES
The District Superintendent shall be permitted to attend, without loss of pay or benefits,
jury duty, court and other Judicial and administrative appearances for any proceeding in
which he is subpoenaed to appear.
Prior to the commencement of this Contract and each anniversary date of the
commencement of this Contract, and/or during the District’s “open enrollment period”
the District Superintendent shah notify the Board Secretary if he wishes to opt out of any
or au of the medical benefits and insurance coverage, in which case the District
Superintendent shall receive a payment In lieu of medical benefits and insurance
coverage in the amount of two thousand doliars ($2,000.00) per year, pro-rated for the
duration of his opting out of medical benefits and insurance coverage.
Upon the District Superintendent’s superannuation retirement under PSERS from the
District, the District shaii continue to provide the District Superintendent and his spouse
medical benefits and insurance coverage after his retirement until he reaches age sixty-
five (65), under the same terms and conditions as those medical benefits and insurance
coverages provided to current District empioyees under the current District
Administrator Compensation Plan. This obligation shail survive the termination of this
Contract.
During the Term of this Contract, the District shaii provide the District Superintendent,
and pay the fuil cost of the premiums, for a term iife insurance poilcy as provided to all
other administrators in the District in an amount equal to four times the District
Superintendent’s saiaiy rounded to the nearest thousand dollars, The District
Superintendent shail have the sole right to determine the beneficiary of such poiicy.

(8) LIABiLITY INSURANCE
The District shall provide the District Superintendent with Comprehensive Catastrophic
Liability Insurance and Errors and Omissions Liability insurance in an amount no less
than the coverage provided to Board members and District administrators at the time of
approval of this Contract.
The District shall provide for the benefit of the District Superintendent and pay one
hundred percent (100%) of the premium costs of a iong4erm disability insurance plan.
The long-term disability Insurance plan shall have a sixty (60) day elimination period,
and the plan shall pay a monthly benefit equal to sixty-six and two-thirds percent (66
2)3%) of the District Superintendent’s basic monthly earnings. The benefit period under
the long-term disability plan shall be until the District Superintendent attains the age of
65 or is eligible for Medicare, whichever is later.
The District shall pay the full cost of tuition and associated fees and books for all
graduate courses, including on-line courses, taken by the District Superintendent at an
accredited institution, up to a maximum of twelve (12) credIts per year. The District
shall make such payment to the District Superintendent upon his registration for each
graduate course, when he submits the tuition bill to the District’s business manager;
provided that such courses are subject to repayment by the District Superintendent for
any course in which the District Superintendent fails to receive a final passing grade.
The District shall pay the fuli enrollment cost and/or tuition and fees for all professional
development courses and continuing education courses taken by the District
Superintendent during this Contract.
The District shall fully reimburse the District Superintendent for all reasonable expenses
incurred by the District Superintendent in the discharge of his duties, upon proper
documentation, in accordance with District policy and procedures. The District shall
also reimburse the District Superintendent for mileage associated with use of his private
vehicle in the performance of the District Superintendent’s duties which reimbursement
shall be based on the then-current mileage ailowance as established by the internal
Revenue Service (1RS), as the same may be changed or modified from time to time by
the IRS. No mileage reimbursement shall be afforded to the District Superintendent for
mileage accrued while using the School District vehicle.

(12) PROFESSIONAL AND COMMUNITY ASSOCIATIONS
The District shall pay the full cost of the District Superintendent’s annual membershIp
and partIcipation In at least three professional associations, which professional
association memberships shall include the American Association of School
Administrators (AASA); the Pennsylvania Association of School Adftilnistrators (PASA);
and the National Center for Education Research and Technology (NCERT).
In addition1 the District shall pay or reimburse the District Superintendent for annual
membership costs of community service organizations, Including the Kiwanis, Lions,
Rotary, and Bulldog FoundatIon.
The District recognizes the obligation to professional growth and development provided
by these affiflations and encourages and permits the District Superintendent to
participate actively In the leadership of these organizations by holding office and serving
on committees.
The duties of District Superintendent require his participaon and presence at meetings,
conventions, and seminars in order that the District Superintendent can maintain an
awareness of current issues, programs, and information. The District Superintendent’s
attendance at meetings, conventions, seminars, workshops, in-service programs,
school activities and graduate education, continuing education, and professional
development programs is deemed necessary by the Board in order to maintain
knowledge and skills required of the District Superintendent’s position. The Board
considers such actIvities and the expenses involved in such activities, including
attendance at such activities, to be directly related to the District Superintendent’s duties
and appropriate for reimbursement.
The District shall provide for the benefit of the District Superintendent and pay for a
cellular/data phone and service to be used for DIstrict purposes In accordance with
District policy. In the event that the District Superintendent elects, In his sole
discretion, to use his personal cellular/data phone for District purposes in lieu of a
District-issued phone, then the District shall pay the District Superintendent a monthly
allowance of One Hundred Dollars ($100.00) to cover the cost of his personal
cellular/data phone and service that is also used for District purposes. This monthly
ailowance shall be paid in addition to the District Superintendent’s salary. The District
Superintendent shall have total responsibility for payment of such personal cellular
phone account and the School District shall have no obligation or responsibility related
BeginnIng June 30, 2015, and each June 30°’ thereafter, in addition to the District
Superintendent’s salary, the School District shall match the District Superintendent’s
annual contribution to his Section 403(b) account up to a maximum School District
contribution in the amount of one thousand dollars ($1,000.00) for the benefit of the
District Superintendent. There Is no cash option for this contribution. The District
Superintendent shall receive this contribution from the School District unless his
performance was rated by the Board as unsatisfactory for the Contract year, To the
extent permitted by intemal Revenue Service rules and regulations, the District
Superintendent shall be fully vested in all contributions and related earnings credited to
his Section 403(b) account,
(16) OUT-OF-STATE SERVICE RECOGNITION
Effective July 1, 2014 and effective on July 15t of every subsequent year of this
Contract, in addition to the District Superintendent’s salary, the School District shall
make a non-elective employer contribution to the District Superintendent’s 403(b)
account in the following contribution amounts:
So long as such benefits and incentives are not duplicative of those specifically set forth
in this Contract, the District Superintendent shall be entitled to any and all benefits and
incentives provided to any other District administrative employee, Including but not
limited to all benefits and incentives specified in the District’s administrator
compensation plan adopted pursuant to Section 1164 of the Public School Code (24
P.S. 11-1164), even though such benefits are not enumerated in this Contract. Any
increase or improvement In benefits and incentives extended to School District
administrative employees during the term of this Contract will also be extended to
District Superintendent and become part of this Contract, Any decrease or reduction in

benefits or incentives to School District employees that affect this Contract will not
reduce the benefits and Incentives provided to the District Superintendent during the
term of this Contract but may be discussed upon any Contract renewal. Nothing
contained herein shall preclude the School District from providing additional benefits
and incentives to the District Superintendent as may be agreed to by the parties.
5. Assessment of Performance.

objective performance standards on the District website and shall also annually post
the date of the DIstrict Superintendent’s annual performance assessment and
whether or not the District Superintendent met the agreed upon objective
performance standards. No other information regarding the District Superintendent’s
performance assessment shall be posted on the District website or in any other
manner dIsclosed by the District unless expressly required to do so by state or
federal iaw. The Board and District Superintendent hereby mutually agree to the
objective performance standards which are attached hereto as Appendix B and
Incorporated herein by reference, and which shall be reviewed and updated as
necessary on or before August 3111 of each year of this Contract unless another date
is mutually agreed upon by the Board and District Superintendent.
in the event that the Board of School Directors directs that any investigation of
the District Superintendent’s conduct or performance be undertaken, the District
Superintendent shall be: (i) notified of the occurrence and purpose of such
investigation prior to the commencement of the same, unless such notification would
unreasonably Impede the investigation; (Ii) granted access to all documents or
reports generated at an appropriate time in the investigation and; (iii) granted the
opportunity to respond, verbally or in writing, to any documents, findings or
conciusions derived from such an investigation at an appropriate time in the
investigation. Any investigations undertaken by the Board shall be compieted In
private without any public disciosure by the Board or the District Superintendent of
the commencement or progress of the same, except as may be required to comply
with law.
7. Professional Liability.
The Board agrees that it wili defend hold harmless and indemnify the District
Superintendent from any and all demands, claims, suits, actions and legal
proceedings brought against the District Superintendent in his individual capacity or
in his official capacity as agent and employee of the Board, provided the incident
arose while District Superintendent was acting, or reasonably believed he was
acting, within the scope of his employment and the defense of the action and
indemnification costs are authorized under the Political Subdivision and Tort Claims
Act. This obligation shall survive the termination of this Contract.
8. Reappointment
The Board shall provide the District Superintendent with periodic opportunities to
discuss the District Superintendent-Board relationship and shall inform him in writing
at least annually of any Inadequacies perceived by the Board, If, at anytime, the
Board of School Directors decides that it does not desire to renew the contract of the
District Superintendent for another term, the Board shall notify the District
Superintendent in writing by certified mall, no later than one hundred fifty (150) days

prior to the expiration date of the Term of this Contact, of the Board of School
Directors’ intent not to reappoint him. Should the District Superintendent not be so
notified, he shall be reappointed for a new term of five (5) years extending from the
termination date of this Contract (i.e., June 30, 2019) and the terms and conditions
of this Contract shall be incorporated into a successor Contract unless mutually
agreed otherwise by the Board and the District Superintendent
9. Termination.
This Contract may be terminated prior to the end of the Term of this Contract as
follows:
A, The District Superintendent shall be subject to discharge and termination
of thIs Contract for valid causes for the reasons specified in Section 1080 of the
Public School Code. However, the Board shall not arbitrarily or capriciously call for
the District Superintendent’s dismissal and the District Superintendent shall in any
event have the right to written charges, notice of hearing, fair and impartial hearing,
all elements of due process, and the right to appeal to a court of competent
Jurisdiction. At any such hearing before the Board, the District Superintendent shall
have the right to be present and to be heard, to be represented by counsel, and to
present evidence, through witnesses, testimony, and documentation relevant to the
issue. A transcript of the record of proceedings before the Board shall be made
available without charge to the District Superintendent. The District Superintendent
shall have the right to be represented by counsel at his sole cost and expense.
10. ModificatIon.

12. ObligatIons.
This Contract shall be binding upon and shall inure to the benefit of District and
Its duly authorized representatives and successors. This Contract shall be binding
upon and shall inure to the benefit of the District Superintendent and, to the extent
applicable, his personal representatives and heirs.
All references to the PublIc School Code contaIned herein shall also refer to and
incorporate any amendment or recodification of the Public School Code.
This Contract shall be governed and construed in accordance with the laws of
the Commonwealth of Pennsylvania.
