‘SUSQUENITA SCHOOL DISTRICT CONTRACT FOR EMPLOYMENT OF DISTRICT SUPERINTENDENT THIS CONTRACT is made and entered this 10th day of November, 2016, by and between the Board of School Directors of the SUSQUENITA School District with offices located in Pennsylvania (hereinafter referred to as “District” or "Board" or ‘Board of ‘Schoo! Directors”) and Kent R. Smith, (hereinafter referred to as “District Superintendent” or Mr. Smith) WHEREAS, the Board of School Directors of the District, at a regularly ‘scheduled meeting, duly and properly called on the?0th day of November, 2015, did reappoint Mr. Smith to the office of District Superintendent in accordance with the provisions of Sections 508, 1071, 1073 and 1073.1 of the Commonwealth of Pennsylvania's Public School Code of 1949, as amended (hereinafter referred to as “Public School Code’); and WHEREAS, the parties have agreed upon certain terms and conditions of temployment and desire to reduce said terms and conditions to writing; NOW, THEREFORE, the partes, intending to be legally bound hereby, and in consideration of the mutual covenants contained herein, agree as follows: 4. Torm. ‘The Board, in consideration ofthe promises herein contained, does hereby elect, appoint and employ Mr. Smith, and Mr. Smith hereby accepts said appointment and employment, as District Superintendent of the SUSQUENITA Schoo! District for a five- year term commencing on July 1, 2016 and ending on June 30, 2024 (‘Term’) ‘This Contract shall terminate immediately upon the expiration of the aforesaid Term Lnless the Contract is sooner modified or terminated in accordance with this Contract or allowed to renew automatically in accordance with Section 1073(b) of the Public School Code or this Contract. 2. Authority of District and District Superintendent. ‘The District, on its own behalf and on behalf ofthe electors ofthe District, and Distiet Superintendent hereby retain and reserve all power, rights, authority, duties ang responsibilies conferred upon and invested init and in him, respectively, by the laws and the Constitution of the Commonwealth of Pennsylvania save for any power, rights, authority, duties and responsibiltis limited by the express terms of this Contract. 3. Professional Qualifications. The District Superintendent covenants that he possesses all ofthe qualifications that are required by law to serve as the District Superintendent in the Commonwealth of Page 1 of 14 Pennsylvania and that he will maintain the same throughout the Term ofthis Contract. ‘The District Superintendent further agrees to subscribe to and take the oath of office before entering upon his duties, in accordance with Section 1004 of the Public School Code. 4 Dutios and Responsibllities ‘A. During the Term ofthis Contract the District Superintendent agrees to serve ‘a8 Chief Administrator of the District and Exacutive Officer for the Board of Schoo! Directors, and to perform the duties of the District Superintendent to the best of his abilities in a competent and professional manner in accordance ith the laws of the Commonweaith of Pennsylvania, the District's Job Description for the position of District Superintendent (attached and incorporated into this Contract as Appendix A), and the provisions of this, Contract, B. The District Superintendent shall be responsible for the total day-to-day administration ofthe District subject to offcially adopted policies of the Board, including, without limitation, the directing and assigning of teachers and other employees of the schools under the District Superintendent's supervision, the recommendation ofall personnel to be hired by the Board, and, in general, the performance of all duties incident to the office ofthe District Superintendent, All official contacts between Board Members and the staff ofthe District shall be through the District Superintendent exclusively. Nothing inthis section shall preclude the right of Board Members to exercise thelr responsibilities as individual Board members in the areas of monitoring District aperations, Conducting oversight activities, or visiting schools, as set forth in Board policy or directed by the Board, ©. The District Superintendent shall have a seat on the Board of Schoo! Directors and the right fo speak on all issues before the Board but shall not have the Tight to vote. The District Superintendent andlor his designee shall have the right fo attend all regular and special meetings of the Board and all committee meetings thereof, excepting those relating to the District Superintendent's own ‘employment, and shall serve as advisor to the Board and its committees in al matters affecting the District. The Board and its members individually should promptly refer all crticisms, complaints and suggestions called to its attention to the Distict Superintendent for study, disposition, or recommendation as appropriate, D. The District Superintendent agrees to devote such of his time, attention, energies, skills and labor as is reasonably necessary in order to carry out the duties of his position as District Superintendent during the term ofthis, Contract provided, however, that he may undertake, and be compensated for, outside work, incliding consultative work, speaking engagements, writing, lecturing, adjunct teaching, or other professional services which do not Page 2 of 14 interfere with the District Superintendent's obigations pursuant to this Contract, provided the Board is informed of such outside work. Furthermore, the District Superintendent may, wit the prior approval of the Board, serve on paid boards where the service does not conflict with the interest ofthe District, Ifthe Board reasonably determines that any outside work of the District ‘Superintendent is substantially interfering with the District Superintendent's Performance of his duties as District Superintendent pursuant to this Contract, the Board shall so notify him in writing and the District Superintendent will stop the outside work as soon as he practically and reasonably is ah to discontinue such outside work . The duties of the District Superintendent require his participation in professional associations and presence at numerous meetings, conventions, and conferences in order to maintain awareness of current issues, programs and information, The District Superintendent's attendance at seminars, workshops, in-service programs, school activities, and graduate education programs is necessary to maintain the knowledge and skills required of his Postion. The District considers the expenses involved in such activites to be directly related tothe District Superintendent's duties and appropriate for reimbursement. The District shall also pay the costs ofthe District ‘Superintendent's membership dues and fees in at least three professional associations and one local service club ofthe District Superintendent's choosing. The District considers such memberships to be directly related to the District Superintendent's duties and shall be paid for or reimbursed by the District. All duties assigned to the District Superintendent by the Board shall be appropriate to and consistent with the professional role and responsibilty ofthe District Superintendent 6. — Compensation ~ Salary and Benefits A Salary. In recognition of the complexity ofthe position of District Superintendent and the Board's desire to compensate its District ‘Superintendent fairy, and in consideration of the District Superintendent's ‘agreement fo perform his duties tothe best of his abilty, the Board of School Directors and the District Superintendent agree to the following: (1) Effective July 1, 2016, the annual salary of the District Superintendent shal be the amount of One Hundred Thirty Thousand Fifty-Eight Dollars ($130,058.00). For each contract year ofthis Agreement, the salary shall be ‘ot less than the base salary and shall be increased in a percentage not less than the Act 83 Agreement increase each year with a satisfactory evaluation. (2) The established annual salary shall be paid in equal installments in ‘accordance with the policy or agreement governing other twelve (12) month Page Sof 14 ‘administrators in the District, unless otherwise agreed to in writing by the Board and District Superintendent. (3) Any merit increase outside of the normal salary increase for the Superintendent shall be approved by the Board of Schoo! Directors and become effective as ofthe beginning of a contract year, ie., July 1". Merit increases are to specified as salary for that year only and not part of the base salary going forward (4) Superintendent may, in accordance with applicable federal and state statutes and regulations, transfer portions of his annual compensation into a ‘Tax Deferred Annuity program of his choice. B. Benefits. In addition to salary, as set forth hereit District Superintendent with the following benefits: the District shall provide the (1) Vacation Leave, Personal Leave and Holidays ‘The District Superintendent shall carry forward in this Contract and be credited ‘on the first day ofthis Contract wit all of his unused vacation leave and personal leave accrued during his employment with the Susquenita School District. In addition, the District Superintendent shall receive twenty-five (25) days of vacation leave and three (3) days of personal leave with full pay each year of this Contract, which shall be crecited in full on July 4, 2016 and then on July 1" of each subsequent year of this Contract. The unused portion of such allowance of vacation leave shall accrue from year to year, provided thatthe District ‘Superintendent shall not carry over more than forty-five (45) unused days of vacation leave and personal leave by July 1, 2021. The District Superintendent ‘may not use more than twenty-eight (28) vacation and personal leave days combined during any contract year without prior Board approval, which approval shall not be unreasonably withheld, conditioned or delayed, ‘The District Superintendent has the right to receive compensation at his per diem rate forall accumulated unused vacation days and personal days upon writen request. (‘Per diem rate of pay” as the term is used throughout this Contract shall equal the District Superintendent's then-current gross annual salary divided by two hundred forty (240)) The District shall also pay the District Superintendent for unused days of vacation and personal leave at the time this Contract is terminated for any reason, Whether voluntarily, involuntarily, pursuant to its terms, or otherwise, at which time the District shall pay the District Superintendent his then-current per diem rate of pay for each day of unused vacation leave, up to a maximum payment for forty-five (45) days of unused vacation leave. Page 4 of 14 “The District shall make such payments for unused vacation leave to the District ‘Superintendent as a non-clective contribution to the District Superintendent's Section 403(b) account. This non-elective contribution shall be subject to an ‘amount up to or equal to the limits established by law for such accounts. If the ‘compensation limits established for such accounts are exceeded, the District shall cause to be contributed as a non-elective contribution to one or more tax- deferred accounts in an amount up to and equal to the established limits for such contributions in each subsequent year for a period of not more than five (5) years ‘or until the benefit amount ie exhausted, In addition, the District Superintendent shall receive, with full pay, all paid holidays available to twelve-month administrative employees covered under the District's administrator compensation plan adopted pursuant to Section 1164 of the Pubic School Code (24 PS. 11-1164) (Dist Administrator Compensation Plan. (2) Sick Leave ‘The District Superintendent shall cary forward inthis Contract and be credited con the first day of this Contract with all of his unused sick leave accrued during his employment withthe District, including any such leave transferred from previous employment. The District Superintendent shall also receive twelve (12) days of sick leave with full pay each year ofthis Contract, which shall be credited in fullon July 1, 2016, and on July 1" of each subsequent year of this Contract. In addition, the unused portion of such allowance of sick leave shall accrue from year to year without lim. ‘The District shall pay the District Superintendent for unused days of sick leave at the time this Contract is terminated for any reason, whether voluntarily, involuntafly, pursuant to its terms, or otherwise, at which time the District shall pay the District Superintendent for unused sick leave at the rate of $60.00 for teach day of unused sick leave, The District Superintendent may use his days of sick leave to care for members of his “immediate family” as that term is defined in the "Bereavement Leave" subparagraph ofthis Contract. Sick days used for members of his “immediate ‘amily’ wll be deducted from his allocated sick leave in the same manner as ‘those used for his own iiness, (9) Emergency Leave The District Superintendent will be enilled to a day of emergency leave wit full pay whenever needed. Emergency is defined as an event, whether personal or professional in nature, which is uncontrolled and unplanned by the District Superintendent and which requires the immediate attention ofthe District Superintendent. The District Superintendent should notify the Board President or Page Sof 14 other designated Board member of the Emergency leave as soon as the District ‘Superintendent is reasonably available to make such notification, (4) Bereavement Leave ‘The District Superintendent shall be ented to upto five (5) days of bereavement leave, with full pay, because of a death in the District Superintendent’ immediate family. “immediate fami" is defined as father, mother, brother, sister, spouse, ‘son, daughter, son-in-law, daughter-nlaw, parentindaw, stepparent, ‘orandnarant, grandchild, somaona rasiding in the same household or any person with whom the District Superintendent lives. The District Superintendent shall be entitled to one (1) day of bereavement leave, with full pay, because of a death of ‘near relative’. In the event that the District Superintendent attends the funeral of a “near relative’ that is held at a location of 150 miles or more from Duncannon, PA, he shall be entitled to two (2) days of bereavement leave with full pay. ‘Near relative” is defined as a cousin, grandfather, grandmother, aunt, tndle, niece, nephew, brother-indaw, or sister-indaw of the District ‘Superintendent or his spouse, The Board may extend the period of absence with pay ints discretion asthe exigencies of the case may warrant. In addition, the District Superintendent may use additional days of sick leave for bereavement, in his sole discretion (8) Jury Duty and Court Appearances The District Superintendent shall be permitted to attend, without loss of pay or benefits, jury duty and court and other appearances for any proceeding in which he is subpoenaed to appear. (6) Life Insurance ‘The District shall obtain and pay the full cost ofthe premiums for the purchase of a term life insurance policy with a benefit amount equal to not less than two (2) times the District Superintendent's annual salary for any given year, rounded to the next highest thousand dollar amount. The District Superintendent shall have the sole right to determine the beneficiary of such policy. The District Superintendent shall have the right to purchase additional term lfe insurance at the same rate paid by the District in is sole discretion, (7) Disabitity Insurance ‘The District shall obtain and pay the full cost of the premiums for the purchase of a disability income protection insurance policy for the District Superintendent, Which policy shall provide monthly disability income to the District Superintendent in an amount equal to not less than eighty percent (80%) ofthe District ‘Superintendent's annual compensation for any given year. The policy shall entitle the District Superintendent disability payments to begin ninety-one (91) days from the last day worked and continuing until age sixty-five (65). (8) Medical Insurance Page 6 of 14 ‘The District shall provide the District Superintendent, his spouse, and eligible dependents medical insurance benefits, including but not limited to hospitalization, physician coverage, major medical, prescription, vision, and dental coverage, of substantial equivalents thereto, under the same terms and conditions as provided under the District's administrator compensation plan adopted pursuant to Section 1164 of the Public School Code (24 P.S. 11-1164) (F to any other District employee. The District Superintendent shall have the right, at his sole discretion, to select his medical insurance coverage from the plan coverage offered by the District to any District employee. (9) Liability Insurance ‘The District shall provide and pay the ful cost of legal liability and general liability insurance coverage that provides the District Superintendent coverage for acts and omissions undertaken in the course and scope of his employment with the District (10) Graduate Courses, Professional Development and Continuing Education The District shall pay the full cost of tuition and associated fees and books forall graduate courses, including on-line courses, taken by the District Superintendent, in his sole but reasonable discretion, at an accredited institution. The District shall promptly make such payment to the District Superintendent upon his registration for each graduate course, when he submits the tuition bil to the District's business manager. ‘The District shall pay the full enrollment cost and/or tution and fees for al professional development courses and continuing education courses taken by the District Superintendent during this Contract; provided that such courses are approved in advance by the Board, such approval nat to be unreasonably withheld, conditioned or delayed. (11) Professional Associations ‘The District encourages the continuing professional growth of the District ‘Superintendent through his participation in professional organizations and ‘education opportunities, The School District agrees to pay the District Superintendents professional, annual dues for membership in the Pennsyivania Association of School Administrators (PASA), Association for Supervision and. ‘Curriculum Development (ASCD) and other professional educational ‘organizations or community organizations ofthe District Superintendent's ‘choosing at his sole but reasonable discretion. The District shall also pay the annual dues for the District Superintendent's membership in local community ‘organizations, if any, wherein the District Superintendent acts as a representative oF liaison ofthe District. The District Superintendent shall be provided a reasonable amount of journals, such as Education Week, and other materials Page 7of 14 necessary for the proper function of the Superintendent's office, to be determined by the District Superintendent in his sole but reasonable discretion. The School District shall maintain membership in the Pennsylvania School Boards. ‘Association (PSBA) and the Pennsylvania Association of Rural and Small ‘Schools (PARSS) in support of the District Superintendent's office. (12) Meetings, Conventions and Conferences ‘The District Superintendent is encouraged to attend appropriate professional ‘meetings at local, state and national levels. Such costs shall be estimated for budget purposes, and said budget to be approved in advance by the Board (13) Expense and Mileage Reimbursement The District shall fully reimburse the District Superintendent for all reasonable expenses incurred by the District Superintendent in the discharge of his duties, upon proper documentation, in accordance with District policy and procedures. ‘The District shall also reimburse the District Superintendent for mileage associated with use of his private vehicle in the performance of the District ‘Superintendent's duties which reimbursement shall be based on the then-current mileage allowance as established by the Internal Revenue Service ("IRS"), as the ‘same may be changed of modified from time to ime by the IRS. (14) _ Electronic Devices; Internet Access ‘The District shall provide the District Superintendent, at no cost to the District Superintendent, with an “i-Phone or similar “smart phone" type cellular device, together with a complete cellular service plan, including voice, data and broadband intemet services, for business and incidental personal use. The District shall also provide the District Superintendent with other mobile devices, Including, without limitation, an “iPad” or similar-type tablet andior a laptop ‘computer, necessary andior appropriate to allow the District Superintendent to carry out his responsiblities remotely. The costs of and for such mobile devices shall be estimated for budget purposes, and said budget to be approved in advance by the Board. Alternatively, the District Superintendent may elect to use personal mobile devices for business purposes, in which event the District shall reimburse the District Superintendent the reasonable costis) for such device(s), but in no event shall such reimbursed costs exceed the total amount the District ‘would have paid had it supplied the District Superintendent with such device(s) initially (15) _ Other Expenses ‘The District agrees to reimburse the District Superintendent for any and all other reasonable expenses incurred in the performance of his duties upon submission Of receipts in accordance with established school district policy. (18) Other Benofits {a) The District Superintendent shall be entitled to any and all benefits required by the Public School Code to be paid for or provided. Page 8 of 14 (b) The District Superintendent shall be entitled to any and all benefits and incentives provided to any other District employee, including but not limited to all benefits and incentives specified in the District's administrative ‘compensation plan adopted pursuant to Section 1164 of the Public School Code (24 P.S. 11-1164), even though such benefits are not enumerated in this Contract. Any increase or improvement in benefits and incentives extencled to District employees during the Term ofthis Contract will also be ‘extended to the District Superintendent and become part of this Contract. ‘Any decrease or reduction in benefits or incentives to District employees that affect this Contract will not reduce the benefits and incentives provided to the District Superintendent during the term of this Contract but may be discussed lupon any Contract renewal. Nothing contained herein shall preciude the District from providing additional benefits and incentives to the District Superintendent as may be agreed to by the parties. 6. Assessment of Performance, ‘A. The Board shall evaluate, in writing, the performance of District Superintendent ‘once a year during the term ofthis Contract, no later than June 30, 2017 and then (on June 30" of each following year, unless the parties mutually agree in writing on another date for the annual evaluation. The annual performance assessment shall bbe conducted in an executive session limited to members of the Board of School Directors and the District Superintendent. An evaluation instrument and method ‘mutually agreed upon in writing by the Board and the District Superintendent shall be utlized for the annual performance assessment; provided, however, that any evaluation instrument and method selected shall require the Board of School Directors to speak in one voice by voting as an entire Board rather than ‘averaging’ the feedback of each member regarding each aspect ofthe evaluation. In the event the Board consensus determines that the performance of the District Superintendent is unsatisfactory in any material respec, it shall describe in writing, in reasonable detail, the specific instances of unsatisfactory performance. “A copy of the writen ‘evaluation shall be delivered to the District Superintendent, The District Superintendent shall have the right to make a written response to the evaluation. ‘The Board's evaluations and the District Superintendent's response(s) shall be totally private and in no manner become public knowledge either through verbal or \written communication, except as otherwise expressly required by state or federal law. Te District Superintendent's performance shall be deemed eatiefaotory and the District Superintendent shall not be subject to discipline, discharge or termination on the basis of neglect of duty or incompetency in any year when a formal performance assessment is not completed in accordance with this Contract. B. The performance assessment shall be used for the following purposes: 1. To strengthen the working relationship between the Board and the District ‘Superintendent and to clarify forthe District Superintendent and individual Page 9 of 14 members of the Board of School Directors the responsibilities the Board relies on the District Superintendent to fulfil 2. To discuss and establish goals and/or objective performance standards for the ensuing year; and 3, Toestablish the basis for salary adjustments andior merit bonuses, if any, C. Performance Expectations, Including Objective Performance Standards. ‘The performance of the District Superintendent shall be assessed in part against the objective performance standards that have been mutually agreed upon by the Board and the District Superintendent. The Board shall post the mutually agreed upon objective performance standards on the District website and shall also annually post the date of the District Superintendent's annual performance assessment and \whether or not the District Superintendent met the agreed upon objective performance standards. No other information regarding the District Superintendent's performance assessment shall be posted on the District website or in any other manner disclosed by the District unless expressly required to do so by state or federal law, in which event the District shal frst provide the District Superintendent with prompt written notice of any such legal requirement so that the District Superintendent may seek a protective order or other appropriate remedy andor waive compliance with the provisions ofthis Contract. In the event that such protective order or other remedy is not obtained, or that the District Superintendent ‘waives compliance with the provisions of this Section 6(C), the District may disclose information regarding the District Superintendent's performance assessment, but conly that portion of such information which the District is advised by counsel is legally required. The Board and District Superintendent hereby mutually agree to the objective performance standards which ate attached hereto as Appendix B and incorporated herein by reference, and which shall be reviewed and updated as Necessary upon mutual agreement ofthe parties on or before July 1 of each year ofthis Contract unless another date is mutually agreed upon by the Board and District Superintendent.
