Dear Akash,
We are pleased to offer you for the position of “ASM” and would look after territory of
“Etawah-UP” and other areas around this, subject to your passing medical examination
Conducted by our appointed Company doctor. The basic terms and conditions of the
services shall be as follows:

1. Salary

You shall be paid Gross Salary of Indian Rs.25,000 (Rs Twenty Five Thousand Only)
Per month which includes all facilities (Bonus/HRA/Leave ) as fixed salary.

2. Travelling:

The amount is to be paid as per actual for Company’s business but not more than Rs.
5,000 per month.

3. Target:

The targets given are on the minimum achievement basis and one can understand
that you are not in the market and abstaining from the job if, the given minimum
targets are not achieved. In the event of not achieving Targets your salary will be on
hold and you will not be eligible for such uncured amounts

4. Commencement of Employment

You shall commence employment with us from Feb. 13, 2018

You agree upon your acceptance/ execution of this letter that you shall be liable to
pay to us a sum equivalent to one month Salary as liquidated damages for the
breach of the terms and conditions of employment on your part in the event of your

failure, refusal and or neglect to commence employment with us on the above
mentioned date for any reasons whatsoever.

5. Probation
You shall undergo probation for a period of not less than six months during which
either of the parties to this letter may without assigning any reason whatsoever
terminate the employment herein by giving notice in writing of not less than 5
business days or payment of salary in lieu of the said notice.
We may at our absolute discretion extend the said probation for a further period to
be determined by us without any liability to you howsoever.

6. Continuation of Service:

You will be required to communicate daily report on mail giving day to day report
and work done in the previous day and planning for the same day and next day. In
case report is not coming, it would be presumed that you are not present and absent
on the same day. If the reports remain missing for 7 days, it will be considered that
you are not interested in working and are not present on the job. Your
communication and report on daily basis is the concept which shows your presence
or absence on the work. Absence of reports indicates that you are abstaining from
work and not present. Continues missing reports will cause automatic termination of
your service at your risk and for non compliance. Reports should be addressed to

7. Reassignment / Transfer

We shall be at our liberty at any time during the course of employment herein to
assign any project/ task to you as we shall in our absolute discretion deem just & fit.
We may at our absolute discretion at our initiation and or at your request in writing
at any time during the course of employment herein effect an employment herein to
an alternate position / function which shall require you to undertake alternative
assignments.

The terms and conditions of employment shall unless varied continue to be valid and
binding and shall be read together with any varied term and condition of
employment which shall be notified to you in writing or by a common circular.

8. Non disclosure and Confidentiality


You shall at all times during the Course of employment herein and for an indefinite
period of time thereafter comply with the obligations of non disclosure and
confidentiality which should include an obligation not to use duplicate, reproduce
communicate and or otherwise disclose any information (whether oral and or in
writing ) relating to the business operations, financial standing and or trade secrets
which are confidential to us and or any subsidiaries which you shall receive and or

acquire during the course of the employment herein the disclosure of which shall
cause us to incur damage and or loss and or which shall otherwise prejudice and or
affect our interests, rights and or reputation.

You shall use any information received and or acquired during the course of the
employment herein for the purpose of our businesses only and shall thereafter
manage / store the same in a safe and secure manner so as not to prejudice the
above mentioned obligations of non-disclosure and confidentiality.
You shall upon the termination of the employment herein return to us all
documents, materials and other information in writing without any right of the
duplication, reproduction disposal and further use.

9. Notice of Termination

Either of the parties to this letter may at any time upon confirmation of the
employment herein after the probation period without assigning any reason
whatsoever terminate the employment herein by giving notice in writing of not less
than one (1) month or payment of salary in lieu of the said notice.

Notwithstanding any other term and condition of the employment we may at our
absolute discretion and without any liability to you whatsoever terminate the
employment herein without notice and or salary in lieu of the said notice in the
event of a breach of the terms and conditions of employment and or misconduct on
your part.

In the event of leaving the Company, it would be your responsibility to recover all
the funds from the market to which you would have supplied the merchandise and
will settle all accounts.

10. Non –Solicitation


You shall not at any time after the termination of the employment herein solicit and
or otherwise procure the employment of any person whether directly or through an
agent and or otherwise who shall during the course of the employment herein have
been employed by us and or who shall have been our client / customer / partner.

You shall not at any time entice away and or otherwise procure the termination of
employment of any of the employees in any manner howsoever which shall cause us
to incur damage loss and or inconvenience.

11. Non- Competition


You shall not for a continuous period of thirty six (36) months from the date of
termination of the employment herein be employed by and or otherwise engage in
whether directly or through an agent and or otherwise any business which shall be in
direct competition with or otherwise similar to our businesses, products and services

unless our prior consent in writing to the said employment and or engagement shall
have been obtained.

12. Jurisdiction
All matter can be resolved in Delhi Jurisdiction only

All other terms and conditions of the employment herein shall be referred to in the
Company regulations a copy of which is enclosed for your reference and which shall
apply as if the same has been specifically set out herein.

We reserve the right to make any addition and or modification to the terms and
conditions of employment and or said regulations from time to time by notice in
writing or through office circulars.

We shall be obliged if you could affirm your acceptance of the above mentioned
offer of employment on the terms and conditions referred to hereinabove by signing
this form of Acceptance below and returning the duplicate of this letter to us not
later than two (2) weeks from the above stated date.

1. Copies of educational and professional Qualification Certificate


2. Four Colored Passport size photograph
3. Copy of relevant pages of your passport
4. Copy of your driving license/ Pan card as proof of identity
