RE: Professional League Standards

Dear Dan:

Thank You for sending us the proposed league standards and incfuding us in the process. Please
ftrd below the initial comments of the NASL League office. Please note that we must reserve the right to
submit further comments after our NASL cfub owners have had the opportunily to fully review. We
would also like to request a conference call meeting between the NASL and the Professional League
Task Force to better understand the reasoning behind some of the Draft Standards.

Credit: As we have discussed on previous occasions, NASL owners feel that the amount

Subsequent to the issuance of the August 2010 standards, at the insistence and conditioned
recommendation of the USSF Board of Directors, NASL agreed that each letter of credit posted by its
club owners could be applied Jointly and severally. While NASL has never had to make a drawing on any
individual letter of credit, NASL has found that the joint and several structure does complement the
business model of a professional league and thus recommends that a joint and several aspect be incfuded
for all professional leagues. In addition, the NASL wouid like to request that the individual letter of credit
amount for Division II Professional League cfubs be reduced to $500,000 with a maximum aggregate pool
of $i0,000,000.

2. Roster Limitations: Section l.g.iii of the Draft Standards states that 'the League shall impose
limitations on each tearr! set from time-to{ime by the Federatiorg regarding the types of players that may
be listed on the roster. The NASL would like to request that this provision be uniforrnly applied across all
Professional Leagues such that no ProfessionalLeague is advantaged over any other.

3. Reserve Leagues: We would like to have a discussion and clarification of Reserve Leagues' status
wiftrin the Professional League Standards.

4. Promotion/Relegation: NASL would like to discuss the concept of promotion and relegation with the
Professional League Task Force.

Once again, thank you for allowing us to review the standards and to provide some initial feedback. Please
let me know if you have any questions on the above and when we can arrange a meeting with the
Professional League Task Force.
