CONFIDENTIALITY AGREEMENT

THIS AGREEMENT entered into, __th September 2010, by and between:

represented by ______________________ hereinafter referred to as the “Project”

and

2. _____________ with its registered office in ________________________

and represented by ______________________ hereinafter referred to as the
“Consultant”.

FOR AND IN CONSIDERATION of their mutual promises, assertions and covenants

set forth herein, whereas the parties herein mentioned above and below shall be
consulted regarding________________________________________, herein referred to
as the “Subject”, whereby they will be privy to confidential information,
including all forms of communication (oral, written or electronic) between the
parties, such as (but not exclusively) oral communications, written materials,
instant messaging, emails, fax, social networking messaging exchange on the
subject and concept, progress of negotiations and work pertaining to the
Project. Any provision of this Agreement does not give the Consultant any
rights or licences to any patent, trade secret, know-how, expertise or any other
intellectual property of the Client. All confidential information provided by the
Project to the Consultant under this instruction shall belong to the Project and
said parties agree to abide by this along with the following terms and conditions:

1) The parties will not in any matter, solicit, or accept any business from
sources or their affiliates, that are made available by an other party to this
agreement, at any time or in any matter, without the express written permission
of the party who made the source available.

2) The parties will maintain complete confidentiality regarding each others

business sources and/or their identities and will disclose only to named parties
pursuant to the express written permission of the party who made available the
said source.

3) That they will not in anyway whatsoever, circumvent or attempt to

circumvent each of the other parties involved in any of the transactions the
parties are desirous of entering into and to the best of their abilities assure one
another that original transaction established will not be altered or changed.

4) That they will not in anyway use confidential information to promote, sell,
barter or otherwise benefit from, in any fashion whatsoever, unless previously
approved by the other parties.

5) That they will not disclose any names, bank accounts, addresses
telephone, facsimile, telex, E-mail/Internet or any information of any contacts
revealed by either party to third parties and that each recognizes such contacts

to be exclusive and valuable contact of the respective party, and they will not
enter into direct negotiations or transactions with such contacts revealed by the
other party without the written and signed consent of the contact/referral party.

6) In the event of circumvention or dispersal of detrimental information, by

either or any party, directly or indirectly, the damaged party, shall be entitled to
a legal monetary penalty equal to the potential income, which should have
normally been realised from such a transaction(s) and any and all expenses,
including legal, that would invoice the recovery of said funds or profits or gains.

7) This agreement is valid for any and all transaction(s) between the parties
herein, and enforceable in any International Court that has jurisdiction to the
transaction, as the exclusive venue. The duration of this agreement shall
perpetuate for three (5) years from the date hereof, and shall in any case
continue for the life of my transaction(s) and/or rolls, extensions, amendments,
etc. which are entered into during the life of this agreement.

8) This Agreement shall bind the heirs, successors, representatives, and

assignees and shall inure to the benefit to this Agreement.

9) The individual parties hereto signing this Agreement warrant that they are
legally authorized to execute it.

Whereas hereof the parties have executed the Agreement on the date first
mentioned above. Signed facsimile copies of this (2 pages) Agreement will serve
as a legally binding original document. Modifications are not allowed!
