1. Introduction

1.1. The Company

The “HELLENIC DEVELOPMENT BETEILIGUNGS AG” is an anonymous


German shareholding company, with its Headquarters in Düsseldorf, Germany
(Hüttenstrasse 3). It was established in July 2012 with aim, the occupation with the
dynamic sectors of the Greek economy, including the area of agricultural products,
the development and management of properties.

The legislative framework development of the Greek real estate, which was signed
between the Troika and the Greek government (memorandum / 2011 – English loan
agreement), in the case of a price according to international standards based on
actuarial studies per project and overall strategic planning, will benefit the German
and Greek society in total, as guarantor and obligor, respectively.

The achievement of one of our key objectives for the development of the Greek
properties and specifically the implementation of our proposal "Metropolitan -
Residential Park Ellinon Politeia” (www.ellinonpoliteia.org), will be achieved
through partnerships with German companies, financial organizations and credit
institutions.

Through the cooperation of our company with production teams from both
countries, there will be the possibility of promoting quality products from one
consumer to another and to the international market.

The corporate form, that we selected, has been successfully tested and will provide
a maximum economic result: absolute transparency at all levels of activities and
mutual benefits for everyone (Business Philosophy).

The main stages of the company's activities are:

the creation of business proposals,

the formatting through the necessary planning,

the ensuring of the funding,

the development,

the operation and overall utilization.

2013-2014, in an area (province of Ermionida), where annually 3,500 tons of
olive oil are produced.

1.2. Strengths

1. Additional purchase price of 0,60 euros per kilo to the producers who join the
processes, that ensure the quality of the product.

2. Producer label on the finished products available to the consumer.

3. Tariff fixed for the company’s profit by 2,00 euros per liter.

4. Additionally of the 2,00 euros company’s profit, the producer participates


with 25% in profits arising from the sale of the product by the company.

5. Ensuring the consumer through a driven visual image technology of the


production trees.

1.3. Summary Chief Executive Officer

The CEO of the company, born in 1961, has a multifaceted business activity since
1983 and onwards.

Since 1981, as a partnership member, participates by 50% in a construction


company. In the 1980's, namely the period between 1984 and 1988, he served as
president and CEO of a Greek - Canadian limited food and beverage company, with
object of creation the restaurants’ franchise in Greece.

At the same time, from 1983 until now, he is:

a. President in the Anonymous company "E. D. Goutos S.A." related to real


estate, commercial and construction services,

b. Member of “Agricultural Cooperative of Ermionida” and producer-owned


olive trees in the area of the Municipality of Ermionida,

c. Shareholder, as an individual, by 50% in the company «ABS Software


Business Solutions Ltd", related to Web services, providing IT consulting
services, IT solutions development, software etc.

d. Since 2005, 100% owner of the English company “Berto Properties Limited”
investment properties in Greece and

e. Since 2007, holder of a majority stake of an anonymous hotel company titled


“Margaritarenia Akti”, in order to develop touristic properties.

The business strategy is supported by people who will join in the organizational
development, which have been of unlimited help from Greece and particularly in the
proposal "Ellinon Politeia", as in the success of the company’s operation in Germany,
since July 2012, as well as by young associate’s consultants who are already
participating in Germany.

The company's site will be updated on the company's human resources in Germany
and Greece.

1.4. Summary Financial Data

Introduction

a. The financing for all the above company’s activities will come from two bond
loan issuances, totaling up to 28 million euros.

b. The total financing will be ensured through a trustee in Düsseldorf, Germany,


on property which already has been assessed by an international firm in the
amount of 31 million euros.

c. The bond will have, for each investor, the annual interest rate of 4.10% and a
duration of 5 years.

d. The company will provide optional exchange right, to the holders of the
bonds of the issuance “LOGOS HELLENIC 1”, with shares or bonds of the
issuances made by the subsidiary company’s legal entities.

e. Data and valuation report of the property which will be mortgaged, as soon
as the company covers the original amount from investors, totaling 1 million
euros. The expenses, amounting approximately 200,000 euros, will be borne
by the company.

f. Security reports, that the above property is in fully legal order.

the products through the primary production process from the Greek land and will

F H.1.1 – Life Growth: Olive Oil Extract

For agricultural products, the company will operate immediately, with first
product the olive oil (olive extract), starting from the 2013-2014 production in the
Municipality of Ermionida, prefecture of Argolida.

Particularly, the CEO is producer and member of the agricultural cooperative of


Ermioni of the Municipality of Ermionida since 1983.

Company’s executives are, for decades, members of local agricultural cooperatives


and olive oil producers, with the necessary experience and knowledge of the long
tradition of cultivation and production of local varieties, agricultural production, etc.

The company has already come to an agreement with a group of producers to


ensure the original amount of olive oil.

The locality and the quality of agricultural production give a comparative


advantage in dealing with certified products, according to European standards.
[Protected Designation of Origin (PDO) and Protected Geographical Indication
(PGI)].

The company innovates globally in this product, using the appropriate software
and technology, in order to ensure excellent quality and traceability.

software, which has in its possession, to Web CRM, not only for Greece, but also for

Greece (Peloponnese) and in the southern suburbs of Athens (Glyfada).

We have experience in the real estate development since 1976 in the area of the
Municipality of Ermionida. This particular area was developed from 1955 by
purchases made by international celebrities (Peter Smith, Niarchos, Libanos, Liar),
and today has become a place of residence and a reference point for the international
jet set. From the past investors, is the current king of Holland (purchase 2011).

The company will invest specifically in the municipality of Ermionida, where it has
already an infrastructure and experience. It will expand the purchasing public,
taking in advantage of the international market through its headquarters in
Düsseldorf, as it has already in its portfolio of intangible assets, database, properties
for use, infrastructures and the expertise of “E. D. GOUTOS S.A.”

www.goutos.de: This domain name will operate exclusively for properties owned
by HDB AG or for properties which have the exclusive use, for example, for
properties of the associate company “Berto Properties Limited”, shareholder of
which is the CEO of the company by 100%. HDB AG will receive the 50% of the use
of the above properties. The properties, which are in use, will be contributed to the
company, after the assent of our legal advisors, here in Germany.

In the field of development, adaptation and evolution of software, there is the
experience of the company since 1999, holding all copyrights of its affiliated
companies and particularly, since 2006 it operates through the company “Analysis
Business Solutions Ltd.”, which has undertaken the software department.

The human resources of the company has the ability and experience to manage the
development of projects, as it has extensive experience and expertise in developing
innovative software solutions.

Our goal is, investing through contracts with internationally renowned software
companies, to develop applications in order to cover the needs of the company, as
well as the commercial use of web applications that are already operating.

The company, through its Chief Executive Officer, owns all the copyrights of the
proposal “Metropolitan - Residential Park Ellinon Politeia”
(www.ellinonpoliteia.org), a proposal which has been submitted from him, as
president of a Greek anonymous company, to the HRADF and the Greek
government in 2011.

As a company, we will finance the actions for the establishment of a German


company with the distinctive name “Ellinon Politeia”, with a share capital of
250.000,00 euros, under the guidance of our legal and financial advisors in Germany.
Our aim is, through the creation of the above legal entity, the management of the
company may be operated entirely in Germany.

This proposal covers a development project which provides social reciprocal


benefits.

The total budget of the project, covering all costs (costs of financing, studies,
construction, operating costs, etc.) is at 13.2 billion euros. The proposal will be
submitted to the HRADF, with notification to the Financial Stability Fund, European
Central Bank, the German government, the Greek government and it will be in Swiss
francs which will cover the risk of any involved investor. The assets of the project
exceed the 100 billion euros, equivalent in Swiss francs.

Properties Ownership of HRADF

The HRADF is a Greek company by private law and owner of about 80 thousand
properties, formerly owned by the Hellenic Republic. Germany, as a state, has
guaranteed, through the Financial Stability Fund based in Luxembourg, for the debts
of Greece to the Eurozone.

As a company we do believe that, if the International Standards for the


development of those properties will operate, the price will be a multiple of the
already under discussion today in Greece and in line with the German and Greek
public interest. These properties are covered by a specialist legal framework for
financing, for the first time in the history of Greece.

1.9.2. Academic City

The 'Academic City' is the proposal of HDB AG for the development of an area of
approximately 1,000 acres of DEPOS, in the municipality of Ermionida.

The anonymous company DEPOS1 solved and was placed under liquidation. Its
ownership is expected to be received by the HRADF for development, after the
completion of the liquidation tasks of the company, in accordance with Law
3986/2011 (Memorandum I).

For the developing of this property, the Managing Director of the company had
discussions with the Professional Chamber of Moscow, in May 2012.

The general trademark of "Ellinon Politeia” will be registered in classes of


trademarks in the competent commercial department of Germany or Greece.

General Marketing Idea – Utilization

Since both the font, as well as the meaning of itself, create a strong brand name, it
can be used as numbered exclusive range executive products, indicative as follows:

As a trademark, a specific, numbered jewelry series can operate, always as a


whole or using components of it

a. In watches

b. In clothes for example just the font

c. As a company, we can connect the securities of the company “Ellinon


Politeia” with every product, which is an innovation

d. It will operate as a numbered luxury collection and will be registered plain


with writing (font), such as the "Ellinon Politeia". Each product will have a
serial number linked to securities. We will define and approve the product
and the number that will be produced. The participated companies will have
the right to a 20% discount on the purchase and use of the commercial space
in the settlement of “Ellinon Politeia”, if the project succeeds. Hence, the
challenge is that the first company that we will close a deal, for example

Bulgari, for 1.000 gold watches and 3.000 pieces in silver, we will receive an
order instrument from each one, 1.500 euros and 500 euros respectively.

Benefits for the companies with rights of use of the brand label:

a. The companies, which will participate, will have the right to a discount of
20% for the purchase and use of business premises in the settlement of
“Ellinon Politeia”.

b. The company will be displayed as great contributors to the success of the


project “Metropolitan - Residential Park Ellinon Politeia”.

philosophy “One World-One Market”. It is an innovative, Global Real Estate portal
which brings together buyers and sellers from all over the world. It is possible for
each visitor (individual, agent, developer) to list, promote, search and compare
properties from all over the world in 34 countries, 13 languages and 30 currencies.
The idea was born when, after a long and strong experience in the Real Estate field,
the founders of GlobalEstate24.com wanted to overcome the limitations of the Real
Estate portals of that time in order to create a global portal, which could offer its
visitors customized search criteria. The development and improvement of this

The GlobalDeals24.com will come from the existing infrastructure of the


customized application CRM, a database which is in our possession and gives us the
opportunity to take advantage in additional domain, apart from the one of Real
Estate, with minimum invested capital, as any other promotional products have a
minimum volume data as opposed to properties (example, cars or boats). At the
same time, it will also create automatic applications to be developed, according to the
standards of E-agent, per type of promotion (GlobalAutoMoto24.com,
GlobalBoats24.com), the domains of which are already registered.

The company expects, after the investment and development of all of these
applications in the next two years, minimum revenue of 30 million euros from patent
licensing (royalties - operating rate per state) just from one single state, from the total
of 17 where it already has a presence through GlobalEstate24.com.
