MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This MEMORANDUM OF AGREEMENT made and entered into in the City of Manila, Philippines, this
17th day of January 2011, by and between:

The STUDENT AFFAIRS COMMITTEE is the overseer and supervise the COUNCIL of STUDENT
CHAPTERS (CSC) student-arm of the Institute of Integrated Electrical Engineers of the Philippines Inc.
(IIEE), with principal office address at #41 Monte De Piedad St., Quezon City, and represented by its Chairman,
ENGR. ARIEL P. DURAN referred to as “IIEE-SAC”;

AND

ENGR. HERONAFINE C. DE GUZMAN, with principal address at #549 Miguelin Street, Sampaloc,
Manila referred to as “ENGR. DE GUZMAN”;

Each party to this Memorandum of Agreement (MOA) shall individually be referred to as “PARTY”, and
collectively as “PARTIES”.

WITNESSETH THAT:

WHEREAS, IIEE-SAC is one of the standing committees whose actions and operation shall be subject
to the approval of Board of Governors and mandated to supervise the activities and establish guidelines for the
operation of Council of Student Chapters which is composed of electrical engineering students.

WHEREAS, ENGR. DE GUZMAN is a registered electrical engineer with an expertise in organizing and
managing education, technological and scientific activities for electrical engineering and technology students
across the archipelago

NOW, THEREFORE, for and in consideration of the foregoing premises, the parties do hereby mutually
declare and agree as follows:

A. RESPONSIBILITIES OF IIEE-SAC

 Shall assign a schedule of regular meeting and emergency meeting;

 Shall provide pertinent documents and necessary details regarding the education, technological and
scientific activities/events of the IIEE-CSC;
 Shall designate the schedule of education, technological and scientific activities/events of the IIEE-CSC;

B. RESPONSIBILITIES OF ENGR. DE GUZMAN

 Shall serve as a consultant of education, technological and scientific activities/events of the IIEE-CSC
such as:
 National Student Convention
 Technical Seminars
 National Quiz Show
 National Math Wizard
 Skills Olympics
 Annual Leadership Workshop
 Annual Leaders Forum
 Regional Student Conference
 Regional Quiz Show
 Regional Math Wizard
 Electrical Engineering and Technology Students’ Summit
  National Philippine Electrical Code
 Clash of the Intellects in Engineering Sciences and Allied Subjects
 Outreach Program
 Shall oversee the activities/events of the IIEE-CSC;
 Shall revise the Implementing Rules and Regulations;
 Shall attend regular meeting and emergency meeting;

C. DURATION

This AGRREEMENT shall hold for the duration of the January 23, 2012 to January 23, 2013 provided
that IIEE-SAC and ENGR. DE GUZMAN reserve their respective rights to withdraw their participation in the
agreement upon written notice.

D. COMMON UNDERTAKINGS

1. Both parties shall make available and share with each other information and data relevant to the
undertakings;

2. Both parties shall see to it that all issues/conflicts arising from this Agreement or connected therewith
be resolved within and among themselves;

IN WITNESS WHEREOF, the parties have hereunto affixed their signatures at the #41 Monte De Piedad
St., Quezon City and on the date first above-written.
