Sub: MDL’s E-Tendering for establishing Biennial Rate contract for marking & cutting HLES,
Non-HLES, Al & SS plates on Plasma-cutting & Oxy-cutting CNC Machine at Contractor’s
workshop to produce plate parts for Submarine Project-P75, as per the CNC programme,
Nesting plan and raw material of MDL.
MAZAGON DOCK LIMITED (MDL) INVITES COMPETITIVE BIDS ON LINE from reputed bidders
in TWO-BID System {Part-I (Techno-commercial Bid) & Part-II (Price Bid)} on
MDL’s E-procurement portal (https://mdl.nprocure.com) for the subject work as per
the detailed scope of work of the tender.
2. SALIENT FEATURES OF THE SCOPE OF WORK:
[

2.1 The detailed scope of work of the Tender is at Annexure-1.The work shall be carried out as per the
detailed scope of work.
2.2 The quantities specified for the works in the tender are tentative quantity only. The work will be
released to the contractor as per mutually agreed schedule during the contract execution.
2.3 Bidders shall submit their offer online only in the prescribed format as appearing in the e-Tender on
the E-Procurement Portal and the prices are to be quoted in the online price bid sheet only. Refer
Illustrative Price Bid sheet at Annexure-4.
2.4 Bidder’s quoted price must be inclusive for the entire tendered work except taxes /duties. Taxes
are to be quoted separately in the online Price bid sheet.
2.5 A sample Quality Assurance Plan (QAP) is placed at Annexure-2 for bidder’s reference. Based on
this Successful bidder shall prepare draft QAP for the stages of inspection as per the documents
specified in the scope of work and get it approved from MDL (QA-EY) & SOT (MB) within one
week from date of Order. Contractor shall comply with the Stages of inspections as defined in the
approved QAP throughout the execution of the contract.
2.6 Bidder should have plasma cutting and Oxy-cutting CNC machine with marking facility and capable
of producing cut parts within the tolerance of +/-2 degree on verticality of cut and within +/-2mm on
linear dimensions.

The Tender Enquiry document can be downloaded from MDL’s e-procurement portal:

Service Contracts→ →Tenders. Interested bidder may also collect signed copy of the Tender Enquiry
document in person from the purchase officer by submitting a written request on bidder’s company
letter head. Alternatively, bidders desirous of obtaining the tender Enquiry by post shall be required to
send a request letter (that should indicate complete address, name of the contact persons, telephone
numbers, fax numbers, e-mail IDs) so as to reach the Purchase Executive at least 10 days in advance
of the tender closing date, along with Rs 100 towards postage etc by crossed DD / Pay order in favour
of Mazagon Dock Limited, payable at Mumbai.

2.7 MDL’s Scope: As per Annexure-1.
2.8 Contractor’s Scope: As per Annexure-1.Any material, facility required directly or indirectly for
carrying out the job, if not mentioned in MDL's scope, has to be arranged by the contractor without
any extra cost to MDL.
2.9 Quality of work is paramount. Best prevailing production practices should be followed throughout
the execution of the contract.
3. INSPECTION:
3.1 Inspection will be carried out by MDL (QA-EY) and Submarine Overseeing Team (Mumbai) {SOT
(Mb)}. Contractor should have all type of calibrated measuring instrument that are required while
inspection.
3.2 Quality requirements & stages of inspection shall be as specified in the Tender Document/Scope
of Work, relevant Drawings and approved QAP.
3.3 While inspection will be carried out by Inspection Authority for the stages defined in QAP, MDL
has the right to carry out random inspection by any designated, independently to ensure that the
subcontractor is adhering to laid down conditions in terms of quality of work, qualification of the
personnel. The contractor shall provide free access to the work being done for such inspection.
4. COMPLETION PERIOD
Tentative overall period of work and contract period:
The Rate Contract Order (s) to be placed through this tendering shall be valid / operative for
duration of two (2) years. Also, the rates mentioned in the Order (s) shall be firm and fixed up to
the last day of the Contract.
The Contract shall be operated tentatively from: 01-11-2013 or within 15 days from the Order date
whichever is coming earlier.
i. Refer Annexure-3 for quantity of nested plates, quantity for cutting length, marking length, hard
punching & No of Transportation trips.
ii. The work as per the proposed Rate contarct Order shall be commenced on the start date
indicated above. Work will be released on Lot- wise. One lot normally consist 16-17 Tons of steel
material. Work schedule and priorities of plate cutting shall be issued by EY-Planning Dept. Any
delay attributed to the contractor without valid reason will attract L.D.
iii. Indicated quantity for the various works is approximate quantity only. Contractor’s payment shall
be on the basis of actual quantity of job completed by them. The Unite Rate finalized in the
order shall be firm and fixed throughout the contract period.
iv. Log Books covering Instruction Register & Hindrance Register shall be maintained by MDL.
Instructions given to the contractor will be recorded in the Instruction Register. In case of any
hindrance to work, contractor is required to report such hindrances to the concerned Executive
in charge of MDL, and shall be recorded in the register.
5. MOBILIZATION: Not applicable.
6. EARNEST MONEY DEPOSIT (EMD) & TENDER FEE:
6.1 Tender Fee is not applicable.
6.2 MODE AND FORM OF EARNEST MONEY DEPOSIT:
Bidders shall furnish EMD of Rs.210000/- (Rupees Two Lakh Ten Thousand only) in the form of
crossed DD / Pay Order or drawn in favour of MAZAGON DOCK LIMITED Or Bank Guarantee as
per OTS format (available on MDL website). Either of these instruments should be drawn on
Nationalised / Scheduled Banks excluding co-operative banks, payable at Mumbai. EMD should
be valid up to 120 days from tender closing date.
6.3 ONLINE SUBMISSION OF EMD: A scanned image of the EMD DD/Pay order/Bank Guarantee
shall be uploaded by the bidder online along with their Part-I bid. Also the details of the EMD shall
be furnished by entering fields in the online form on the e-procurement portal. If no details of EMD
and scanned image are found with their online bid (where exemption of EMD is not applicable),
bid would be considered invalid & accordingly rejected as per the bid rejection criteria of the
Part-A to MDL’s E-Tender.no.8000000374 dated 10-07-2013 for
establishing Biennial Rate contract for marking & cutting HLES, Non-
HLES, Al & SS plates on Plasma - cutting & Oxy - cutting CNC Machine at Page 3 of 33
Contractor’s workshop to produce plate parts for Submarine Project-P75,
as per the CNC programme, Nesting plan and raw material of MDL.
e-Tender. Bidder must submit original EMD BG/DD/Pay order to General Manager (OTS),
Outsourcing Dept, Sixth Floor, Service Block, Dockyard Road, Mazagon Dock Ltd, Mumbai
400010, without fail within seven days after tender closing date, in a sealed cover super
scribing the Tender. No., Tender date & closing date, Purchase Executive’s name. If the Original
EMD is not received to the purchase Executive within this duration, the bid would be considered
as invalid and accordingly rejected.
6.4 EMD of disqualified/techno-commercially rejected bidder would be returned(BG)/refunded(DD)
within 15 days from the date of finalising the price bid opening of techno-commercially qualified
bidders. EMD of other unsuccessful bidders would be returned/ refunded after finalisation of the
Order. EMD of successful bidder would be returned / refunded after submission of SD. The
returned/refunded EMD would be interest free.
6.5 Exemption from Submission of EMD:
Following bidders shall be exempted from submission of EMD.
a) State & Central Government/ Government of India departments, Public Sector Undertakings.
b) Firms registered with Mazagon Dock Limited (MDL). To qualify for exemption, firms should
necessarily furnish VALID copy of the vendor registration certificate issued by MDL along with
their Part-I bid. Firms in the process of obtaining MDL Vendor registration certificate will not be
considered for exemption.
c) Firms registered with NSIC are exempted from submitting EMD. Exemption will apply only to
items/services for which the bidders are registered with NSIC. To qualify for exemption, firms
should necessarily submit VALID copy of the registration certificate issued by NSIC in Part-I bid.
Firms in the process of obtaining NSIC registration will not be considered for exemption.
7. BID REJECTION CRITERIA:
7.1 Following bids shall be categorically rejected:
i. Bids received after tender closing date and time.
ii. Bids received without EMD (other than those who are exempt from payment of EMD), as
specified in the tender.
7.2 Following bid rejection criteria may render the bids liable for Rejection.
i. Bidder’s failure to submit sufficient or complete details for evaluation of the bids within two
weeks.
ii. Incomplete / misleading / ambiguous bids in the considered opinion of Technical Negotiation
Committee (TNC).
iii. Bids with technical requirements and or terms not acceptable to MDL/customers/External
agency nominated as applicable.
iv. Bids received without qualification documents, where required as per the Tender.
v. Bids not meeting the qualification parameters stipulated in the qualification criteria and also in
the Scope of Work.
vi. Validity period indicated by the bidders is shorter than that specified in the Tender enquiry.
vii. Bid not agreeing for furnishing of the required security deposit (SD as per the tender terms or
not agreeing for extending the validity of the submitted SD in case of there is requirement for
extension of validity of order/of order completion period.
viii. Bid not agreeing for furnishing of the required Bank Guarantee for Free Issue Material and
Indemnity Bond along with Insurance policy.
8. QUALIFICATION CRITERIA
The bidder is required to submit copies of the necessary documents pertaining to the following
qualification criteria to enable MDL to ascertain their qualifying status. MDL reserves the right to
verify the authenticity of the documents submitted/claims made by the bidders, whenever felt
necessary.
8.1 The bidder must have a valid Shop & Establishment Registration Certificate.
8.2 The bidder must have own workshop with plasma cutting & Oxy cutting CNC machine, hard
punching machine, material handling facilities, calibrated measuring instruments & weighing
scale as required for executing this particular job as per the scope of work. Bidder shall submit
list of all these facilities as specified in the scope of work clearly stating the technical details with
Part-A to MDL’s E-Tender.no.8000000374 dated 10-07-2013 for
establishing Biennial Rate contract for marking & cutting HLES, Non-
HLES, Al & SS plates on Plasma - cutting & Oxy - cutting CNC Machine at Page 4 of 33
Contractor’s workshop to produce plate parts for Submarine Project-P75,
as per the CNC programme, Nesting plan and raw material of MDL.
model/year of manufacture, working condition and achievable tolerance, in part-I bid of their
offer along with list of qualified operatives and supervisor.
8.3 Bidder’s average Audited Annual Financial turnover during the last three Years ending on 31st
March 2012 (2009-10, 2010 -11 & 2011-12) should be at least Rs.26.5 Lakh.
8.4 Bidders experience of having successfully completed similar work during last 7 years ending
31st March 2013 should be either of the following:
a. Three similar completed works each costing not less than Rs.42 Lakh..
OR
b. Two similar completed works each costing not less than Rs.52.5 Lakh.
OR
c. One similar completed work costing not less than Rs.84 Lakh.
OR
d. A bidder should have completed within a continuous span of 12 months, jobs of similar nature
totalling to Rs.26.5 Lakh.
The bidder is required to submit information in the form of the table below for the Orders, which
qualify them as per the above criteria.

As a proof of the same, the bidders are required to be submitted the Work Order Copies
with Work Completion certificates for the same.MDL has the right to verify/cause verification of
authenticity of the said documents whenever felt necessary. Bidder shall promptly provide access
/convene to do such verification without any delay or loss time. Work executed by the bidder for
their in house or capital use will not be considered for bidders’ experience.
9. VALIDITY PERIOD: Offers shall have the validity period of 120 Days from the tender closing date.
10. PRE-BID CONFERENCE: Not Applicable. Pre bid conference will not be conducted.
11. SUBMISSION & OPENING OF BID ONLINE IN TWO BID SYSTEM AGIANST E-TENDER:
Bid must be submitted online in two parts, Part-I bid (Techno-commercial bid) & Part-II bid
(Price bid) as appearing on line against the e-Tender on MDL’s e-procurement portal
(https://mdl.nprocure.com) and shall contain documents & details as explained below:
11.1.1 Acceptance of Tender terms, Standard Terms & Conditions (STACS) & General Terms
& Conditions (GT&C):
Against the relevant Para no./Clause no. of TEF/STACS/GT&C (as applicable), the bidder is
required to compulsorily select “ACCEPTED” or “DEVIATION” from the drop-down field choices
available. In case “DEVIATION” is selected against a particular Para no./Clause no., it would be
mandatory to explain the deviation proposed by the bidder in the adjoining text field. Any
deviation (s) mentioned elsewhere in the Offer/Bid, other than in the said forms, will not be
considered.Bidder shall fill up the online Acceptance form as appearing in the e-procurement
portal:

c).General Terms and Conditions (GT&C) Acceptance Form
Normally deviations to the tender terms are discouraged. However, if the bidder has any
deviations, the same should be filled in the respective online Acceptance form by selecting the
Acceptance/deviation from the drop down menu against the clause no., failing which it will be
construed that all clauses of Tender enquiry, STACS & General Terms & Conditions appearing
against the tender are understood by you and are fully acceptable to you. Bids with deviation are
liable for rejection/price loading at MDL’s discretion. In such cases, advance intimation shall be
given to the bidder.
11.1.2 Bidder shall fill up the Blank Price Bid Sheet form on line by selecting the fields quoted/not
quoted against each service as quoted in the online price bid.
11.1.3 Copies of work orders, work completion certificates (WCC) and Inspection reports for the job
executed to meet the qualification criteria as mentioned at Para-8.4 [

11.1.4 Bidder’s Company Profile and Shop & Establishment Certificate.


11.1.5. The bidder must have own workshop with plasma cutting & Oxy cutting CNC machine, hard
punching machine, material handling facilities, calibrated measuring instruments & weighing
scale as required for executing this particular job as per the scope of work. Bidder shall submit
list of all these facilities as specified in the scope of work clearly stating the technical details with
model/year of manufacture, working condition and achievable tolerance, in part-I bid of their offer
along with list of qualified operatives and supervisor.
11.1.6 Following confirmations to be made on the firm's letterhead:
a. Validity of offer as per the tender terms (Para 9)
b. Willingness for furnishing Security deposit (Para 14)
c. Willingness for furnishing Bank Guarantee for Free Issue Material and Indemnity Bond
along with insurance policy with MDL as beneficiary (Para 30)
11.1.7 Copy of Service Tax registration Certificate issued by the authority.
11.1.8 Scanned image of PAN Card.
11.2 In addition to the documents at 11.1, following documents shall be submitted by:
11.2.1 Bidders registered with MDL
I. To meet the qualification requirement at Para 8.3, Statement on letterhead of the company
indicating their annual turnover for the three financial Years (2009-10, 2010-11 & 2011-12), if
the firm has submitted audited balance sheets in last one year against some other tender
(reference of earlier tender to be given.) In case, the firm has not submitted the same
previously, audited balance sheets with auditor report’s of last 3 financial years are to be
submitted along with the Part-I of the offer.
II. Copy of valid Registration Certificate issued by MDL or NSIC Registration certificate as
applicable as per Para 6.5 to avail EMD waiver (Please note that bidder has to upload the copy
of the Registration certificate in their part-I bid).
11.2.2 Bidders not registered with MDL
I.Audited Balance sheets along with auditor report of the company for the three financial Years
(2009-10, 2010-11 & 2011-12) indicating average annual Turnover to meet the qualification
requirement mentioned at Para-8.3.

11.3 Part- II bid : Price bid must be submitted on line only in the required format as appearing
on line. A Blank sheet (by blanking the prices) of the price bid shall be uploaded on line in
the Techno-commercial (Part-I) bid as per illustrative Price Bid sheet at Annexure-4, duly
stamped & signed. Note: - In case of error in the aggregate values, the individual service-
wise quoted rates will be considered.

Bidder, those who are not exempted from EMD, must submit the original of the EMD DD/Pay
order/Bank Guarantee in a sealed Envelope securely closed, Super scribed with Tender No, Due
Date, Time, and firm’s name addressed to General Manager (OTS), Outsourcing Department,
Sixth Floor, Service Block, Dockyard Road, Mazagon Dock Ltd, Mumbai 400010, within 7
days after the tender closing date.
MDL reserve the right to ask the bidders to submit hard copy of the Techno-commercial (Part-I)
bid of their online offer. In such cases bidder shall promptly submit the necessary documents on
the desired date without any delay. No reasons / excuses in this regard will be entertained.
11.4 Opening of Part-I Bid (Techno-Commercial Bid):
Technical bid (Part-I) of the techno-commercially accepted offers will be opened on line on the
tender closing date at the declared time or next working day if closing date happens to be
holiday declared by MDL. Bidder(s) who wish to remain present during the tender(Part-I)
opening, should nominate on their company’s letterhead the name and designation of one
person authorised to remain present at the time of opening the online bid and send this letter so
as to reach the undersigned at least one working day prior to closing date of the tender.
Alternatively, bidder can witness the opening of their bid online from their location by logging on
to the portal with their Class-IIIB digital signature certificate.
11.5 Opening of Part-II Bid (Price Bid):
After completion of Technical scrutiny, intimation for price bid opening will be communicated
only to technically accepted bidders. Bidder (s) to note that such intimation may be given at a
short notice by Fax, e-mail or even by telephone only to technically accepted bidder(s). If any
such technically accepted bidder wishes to remain present at the time of opening the online
price bid, he may depute one representative with proper authorisation letter. Bidder’s no
response to such intimation or any request to reschedule price bid opening not acceptable to
MDL, will be construed as bidder’s inability to attend the price bid opening. Bidder’s any
representation in this regard will not be entertained. Alternatively, bidder can witness the
opening of their bid online from their location by logging on to the portal with their Class-IIIB
digital signature certificate. The lowest bidder (L-1) shall be arrived at based on the amount at
(W) for the entire tendered work as indicated in the illustrative Price Bid sheet at Annexure-4.
12. PRICING:
a) The quote/Order prices will remain firm and fixed throughout the currency of the Order/contract
execution.
b) Bidder shall quote for all the services tendered & listed in the Price Bid Sheet. In the event the
firm has not quoted for some of the services, prices for such services will be loaded with the
prices of the highest bidder and overall lowest bidder will be decided for further processing. If
any bidder becomes overall lowest bidder after being done so as mentioned above, the bidder
will be given option to accept lowest prices quoted by other bidders for such services for further
processing. If the bidder does not wish to accept the option, their bid is liable for rejection.
c) The determination of the lowest bidder (L-1) shall be arrived at based on the amount (W) for the
entire tendered work as given in the illustrative Price Bid Sheet. Refer illustrative Price Bid sheet
for the entire tendered work at Annexure-4.
d) GROWTH CLAUSE: MDL shall be at liberty to place additional work to the extent of 15% of
contract value at the same Rate, terms and condition of this contract within contractual delivery
period and bidder shall have to honour it.
e) MDL shall not be bound by any printed conditions or provisions in the Contractor’s Bid Forms or
acknowledgement of CONTRACT, invoices, packing list and other documents which purport to
impose any conditions at variance with or supplemental to CONTRACT.
13. TERMS OF PAYMENT:
100% payment for satisfactorily completed work will be made through RTGS/NEFT between 25-30
days from the date of submission of invoice with all requisite documents as given below:
i) Set of Original + 3 Copies of signed Tax Invoice to be submitted to Outsourcing Dept, MDL

also showing cumulative value of work done under the contract under individual heading of rate
sheet. The bills should be preferably submitted within four weeks of getting Work Completion
Certificate (WCC) to Outsourcing Dept, MDL.
ii) Work Completion Certificate (WCC) duly certified by nominated Executive of MDL (QA-EY), not
below the rank of Chief Manager.
iii) Duly certified Inspection report issued by the inspection authority {QA & SOT (Mb)} on delivery
of completed job along with balance material at MDL.
iv) Material despatch note and delivery note for the material issued and completed job delivered at
MDL.
v) Material reconciliation statement for each delivered job, duly certified by the concerned
Executive of (EY-Works) and (EY-Plg) Dept of MDL.
vi) Lorry Challan for each trip of transportation carried out for the allotted job.
vii) In case of delays, the duration has to be specified in the WCC to invoke LD Clause and effect
recoveries from Contractors’ invoice. (Refer clause No 4(II) above.)
WORK COMPLETION CERTIFICATE:
a) On Completion of allotted work, duly inspected & certified by the inspection authority {MDL (QA-
EY) as per the written schedule issued to the contractor, contractor shall prepare and submit
Work Completion Certificate for certification of QA-EY. The SAP service entry sheet against the
line item of the rate sheet shall be indicated in the WCC. Duly acknowledged copy of the WCC
shall be forwarded to Outsourcing Dept.
b) In case of deficient work or substandard quality, the certifying Executive of the Dept shall return
the WCC within 2 working days to the contractor, specifying the nature of deficiency or sub-
standard quality observed in the work.
c) After making good the deficiencies or defects, the WCC found in order will be certified by the
concerned Executive of MDL (QA-EY) within 7 days from the date of receipt.
d) On receipt of duly certified WCC, outsourcing Dept will hand over the WCC to the contractor for
raising the invoice.
14. SECURITY DEPOSIT:
The successful bidder (Contractor) shall submit Security Deposit in the form of Bank Guarantee
(as per the prescribed Format available on MDL website) or Demand Draft in favour of Mazagon
Dock Ltd (payable at Mumbai) @ 5 % of Order Value (excluding taxes) valid till end of the
contractual completion period. Security Deposit will be returned without interest on successful
execution of contract. The Bank Guarantee shall be from Nationalized/Scheduled or Banks of
international repute excluding co-operative Banks.
(i) Bidder shall submit Security Deposit in the prescribed format within 15 days from the date of
intimation of Order. Any delay in submission of security deposit shall result into charging of
interest by MDL on the security deposit amount @ prevailing PLR of SBI+ 2% on the security
deposit amount for the delayed period.
(ii) In case of failure to submit security deposit even after 25 days from the date of communication
of order, MDL take necessary action like Forfeiture of EMD, invoke risk purchase and
cancellation of Order/Contract etc.
(iii) In the case of PSU Company, alternatively indemnity bond will be acceptable towards the
security Deposit.
(iv) In case delivery/completion of work is likely to delay, contractor shall liable to extend the validity
of Security Deposit till such period.
15. GUARANTEE: Not Applicable.
16. PERFORMANCE BANK GUARANTEE: Not applicable.
17. STATUTORY REQUIREMENT, OFFICIAL SECRET ACT, SAFETY AND SECURITY RULES:
The bidder shall also abide to all statutory requirements, Official Secrets Act 1923, Security and
Safety Rules as per references, which are part of this tender.

18. TAXES:
The service-wise rates quoted in the online Price Bid sheet should exclude Taxes. Bidder should
quote service Taxes separately in the Price Bid sheet. Octroi and Excise duty exemption
certificate issued by IN/SOT (Mbi) will be provided to the contractor. Hence excise duty and Octroi
charges are Nil against this tender. Bidder shall submit a copy of the service tax Registration
certificate issued by the authority.
19. PURCHASE & PRICE PREFERENCE:
Purchase preference as per extant Government Guidelines. No Price Preference shall be given to
any bidder irrespective of his status.
20. MODIFICATIONS TO THE BID:
Bidders desirous to do modification or revising their bid are allowed to do so, on the portal, prior to
the closing date & time.
21. TERMINATION & RISK PURCHASE:
If the service or any portion thereof be not delivered / performed by the scheduled delivery date /
period, any stoppage or discontinuation of awarded contract without written consent by MDL or not
meeting the required quality standards, MDL shall be at liberty, without prejudice to the right of the
Purchaser to recover Liquidated Damages / penalty as provided for in these conditions or to any
other remedy for breach of contract, to terminate the contract either wholly or to the extent of such
default. Amounts advanced or part thereof corresponding to the undelivered services shall be
recoverable from the Contractor at the prevailing bank rate of interest.
MDL shall also be at liberty to purchase or utilise the services, as it deems fit from other
contractors, of the same or similar description to make good such default and or in the event of the
contract being terminated, the balance of the services to be delivered there under. Any excess
over the purchase price, over the contract price shall be recoverable from the Contractor.
22. LIQUIDATED DAMAGES:
Time is the essence of a contract. Therefore the job should be completed within the specified
delivery period as per the scheduled work that will be issued from time to time after placement of
Order. In case of any delay, not attributable to MDL, beyond the specified work schedule , the
Contractor shall pay liquidated damages, a sum representing 0.5% (Half per cent) per week or part
thereof, subject to maximum of 5% of value of the scheduled work in each case.(Refer 4.ii)
23. MDL will not be responsible for an error in downloading of tender documents from website/e-
procurement portal by the bidders. The Version appearing on MDL’s e-procurement portal will be
considered final and authentic.

24. SPLIT / PARALLEL ORDER:


MDL reserve the right to
a) -to accept / reject any or all offers in part / full without assigning any reasons whatsoever. In case
of any dispute, our decision in this matter shall be final and legally binding on you.
b) -to consider placement of Order in part or in full against the tendered quantity.
c) -to place two parallel Rate Contract Orders. In such a case, MDL reserves the right to award
minimum 60 % share of value of Tendered work to the lowest bidder (L-1), subject to their capacity
as assessed by MDL, and balance 40 % share to the other bidder (willing to match the finalized
price by MDL for placement of Order), at the discretion of MDL, from amongst L-2, L-3, L-4, and
so on, in that order of preference, subject to their capacity as assessed by MDL.The parallel
contractors required to be engaged is limited to maximum two only. In case one of the parallel
contractors is not able to meet the services requirement, part/full of their share (as decided by
MDL) will be given to the other parallel contractor found suitable by MDL.
25. The contract will be governed by STACS and GT&C of MDL which are integral part of this Tender.
(available on MDL website) while executing work. In case of discrepancy, clauses mentioned in
Tender, Scope of work and Price bid sheet will override the clauses mentioned in other enclosures
including STACS & GT&C. Clauses No.A100, A120, A150 & A160 of GT&C will not be applicable to
present tender.

26. Contractors shall not engage employees of other contractors presently working in MDL & recorded
at Security Dept. The contractor can engage such employee if other contractor gives No Objection
Certificate for such engagement & cancel the name of such desirous employee from his roll &
accordingly convey to Security. The contractor engaging such employee without permission of MDL
is liable for penalty including termination of contract & forfeiture of Security Deposit. Such penalty
can also be imposed if it is observed that supervisors/Workers deployed by contractor are not on
their roll as per statement submitted by him at Security.
27. Procedure for Entry Passes for the Contractor’s Employees: - A Detailed procedure is
displayed on the website www.mazagondock.gov.in under Tenders → Shipbuilding → Outsourcing.
28. In the event of placement of order on unregistered bidders, the firm shall apply for vendor
registration through Outsourcing Dept of MDL.
29. In case bidder needs any clarification regarding tender and online submission of bid, they
may contact the Purchase Executive. On the home page of the e-procurement portal
https://mdl.nprocure.com user guide is available. Bidders may also contact on the Toll free
number 1-800-233-1010 (Extn: 501,512,516,517 & 525) helpline of e-procurement portal. For
participating in the e-Tendering, Bidders must possess a Class-IIIB Digital Signature Certificate
(DSC), which can be procured from any Certifying Authority (CA) authorized by Controller of
Certifying Authorities of Govt. of India.
30. BANK GUARANTEE AND INDEMNITY BOND FOR FREE ISSUE MATERIAL:
MDL will issue 80HLES, Non-HLES, Aluminium and stainless steel plates as per MDL scope to
successful bidder(contractor) as free issue material (FIM) for executing the job at contractor’s
workshop. Prior to issuing these free issue materials to the contractor, contractor shall furnish Bank
guarantee (format attached herewith as Annexure-9) for FIM of Rs.10 Lakh (Rupees Ten Lakh
only) and Indemnity Bond (as per the format available on MDL website) with Insurance policy of
Rs.20 Lakh (Rupees Twenty Four Lakh only) with MDL as beneficiary. Bank Guarantee for Free
issue Material, Indemnity Bond & Insurance policy shall be valid till the execution of contract and
delivery of material/balance material/scrap, inspected / accepted and received at MDL.
On completion / execution of the Order / Contract as per approved drawings and nesting plan, the
finished & inspected product should be returned along with the balance material and scrap. A
certified statement of reconciliation of MDL’s property showing following details should also be
submitted along with invoices for release of payment:
a. Quantity of material issued.
b. Quantity of materials consumed.
c. Quantity of material returned to respective stores / held in stock by Contractor at his end.
d. Quantity of balance material and scrap returned.
e. Actual quantity wasted.

ANNEXURE-1
SCOPE OF WORK
A) MDL’s Scope:
1. Plates (80 HLES, Non HLES, Stainless Steel (SS), Aluminum) of thickness ranges
from 3mm to 80mm.
2. Crane facility at MDL premises for loading/unloading of plates/flat bars.
3. Drawings/ other cutting documents/ nesting plans will be provided by EY-Design
department.
4. The work schedule & priorities for plate cutting operations with delivery period will be
provided by Planning-EY, MDL, prior to commencement of the work.
5. Canvas bags and wooden cartons for packing of cut parts will be issued by MDL.

B) Contractor’s Scope:
1.1 Infrastructure requirement and the scope of work is given hereunder:
a) The firm should have suitable CNC plasma & Oxy cutting machines compatible to the
ASCII format (If the programme available at MDL end is not compatible at vendor side,
the firm should arrange/ purchase a software patch from M/s ALMA to suit ACT CUT
software) CNC programme and nesting plans will be issued by MDL. The cutting
documents at present are prepared in DXF nested plan and the output files are in the
ANSI code. Hence the firms should have machines which can use these files or they
shall have suitable converter to convert this ANSI code to other code which is
compatible directly on their plasma/oxy cutting machine. The standard sizes of plates
which are to be cut will be 8 meter long 2.5 meter wide and thickness may vary.(In some
plates length & width may be vary however will not exceed 9m x3m)
b) The firm should have skilled workmen, skilled operator who is familiar with
software/cutting documents being supplied by MDL.
c) The firm should arrange all type of required machines, tools & tackles and inspection
instruments.
d) Firm must achieve the dimensional tolerance on linear dimensions within +/- 2 mm
and the verticality within +/- 2º on Plasma Cutting as well as Oxy cutting machines.
e) The firm should have arrangement for hard punching and punching to be done on
each and every part which is cut on plasma/oxy machine. It is preferable to carry out
this with hard punching facility like Bradma or equivalent machine.
f) The firm must have sufficient space for the purpose of keeping raw materials as well as
the cut material. In addition to this the firm should have space for inspection of the

material which is cut. In order to carry out above mentioned plasma cutting work, the
firm should have sufficient workshop space approx 400 sq m.
g) Transportation required for collecting raw material and delivery of cut parts is under
Contractors Scope.
h) The firm should have crane facility for lifting the weight up to 12 tones.
i) Apart from plasma cutting, the machine should have facility of marking the various
references etc. given in the relevant programme. There may be also marking of
various openings for manholes, doors etc.
j) All cut parts less than 300mm (length or breadth or height) to be segregated boat wise
and COS-wise and packed in canvas bags & then canvas bags in wooden cartons.
Note: For handling HLES plates, the use of magnets/magnetic clamps are not permitted
.Any type of welding (tack/Arc striking) on these plates is forbidden/not permitted.
QUALIFICATION OF BIDDER
Bidder should have all the facilities as mentioned for infrastructure requirements in the
Contractor’s Scope of Work.
Pre-qualification of the firm: For pre-qualification the firm has to cut two
numbers (two samples each for IS 2062, S.S. & Aluminium) of sample pieces
with plasma cutting & oxy cutting on free cost basis in the presence of MDL
representatives. The CNC programme for two numbers samples & the size
required for cutting such samples for purpose of pre-qualification will be given
by MDL (Material to be arranged by firm for sample cutting). The sample piece
cutting is part of technical evaluation.
This sample inspection and the final results are to be approved by QA, if required will
take concurrence of SOT/AOT.
The firms have to arrange suitable plates of such as IS 2062, Stainless Steel &
Aluminium. The approx size of the final cut plates will be 2 pieces each of 500 x 300
mm and thickness of plate is 12 mm. The approx distance between two samples
should be approx 10 meters in order to check the level of the cutting bed. Firm must
achieve the dimensional tolerance on linear within dimensions as +/- 2 mm and the
verticality within +/- 2º as per IS-9013 Range 2. (Enclosure-1)
1.2 Other terms & conditions:
a) The contractor has to refer the documents and the various steps of inspection, etc.
b) All the parts which are cut on plasma/oxy cutting machine are required to have
material identification as per part list given in nesting plan drawing (Plate
Record Number, Part Number, COS number and plate code Number (i.e.NON-
HLES/ 80HLES plate) and the same to be hard punched). Also the parts to be
identified by writing with letter painting. For BRTS plates - batch number, plate
code number will be hard punched and writing with letter painting.
c) Each and every part needs to be cleared from burrs prior to offering for final
inspection.
d) The subcontractor has to ensure dimensional accuracy. It is therefore necessary that
subcontractor keeps quality requirement in mind and ensure that work is done to best
of accuracy.
e) The firm should strictly follow QA plan (quality assurance plan) duly approved by MDL.

f) The firms should arrange transportation for collecting the materials and delivering the
finished goods to MDL workshop Anik stores/EY/SY/Alcock Yard) after completion.
Contractor is responsible for the safe transportation. If any damage occurs during
transportation, the contractor has to rectify as per the procedure at his own cost. The
final acceptance will be in MDL premises. Any such damages/nonconformities may be

repaired only when prior approval is taken from quality assurance dept and relevant
documents are prepared. The repair orders are to be approved by the concerned
authorities through QA dept. Receipt Inspection will be carried out at MDL Premises.
g) The cost of Plates will be recovered in case of rejection.
h) The firm has to keep the record of all materials issued and delivered at MDL on
completion of each scheduled work. Material reconciliation statement duly certified by
concerned MDL officer after inspection clearance from QA/SOT. Balance material as
per cutting plan to be returned. Reconciliation of material is to be done on Lot wise as
per nesting plan. Balance material (BRTS) is required to be punched as per nesting.
i) While dispatching cut parts, scrap, and BRTS plates to MDL after inspection clearance
from QA-EY, Firm should ensure that weighing is done on calibrated weighing scale at
contractor’s workshop and weighing will be done at MDL on receipt of material.
j) The firm may contact East Yard Design dept., QA dept and planning dept to
understand the cutting documents, the software and the nesting plan.
k) The material is required to be cut within tolerance +/- 2 mm on linear dimension and
the verticality of edges within +/- 2 degree with vertical.
l) For very small parts, where it is not possible to hard punch plate record number, COS
number, Part number/Sr.No etc, the relevant Sr No given in part list of nesting plan
drawing required to be written with letter painting for easy visibility.
m) Segregating of all cut parts on Boat wise and COS wise basis, packing them in
suitable canvas bags, and pack few such bags in wooden cartons (boxes) with
Packing list to be enclosed in each canvas bags and COS number to be put properly
on each bag for easy identification and consolidated packing list to be attached to the
wooden carton in suitable pouch kept outside the carton for verification. Further, Lot
No. should be put on each carton with bold letters. Prior to dispatch of material firm
should e-mail complete packing list to Planning & Production Dept.
n) Similarly bigger items, flat bars etc. are to be stacked and strapped properly for Boat
wise and COS Wise segregation.
Please note:
l) The contractor has to arrange calibrated measuring tools/instruments required for
inspection.
2) The contractor has to nominate a co-coordinator to ensure the following:
i) To interact and coordinate with MDL officers from Planning, QA & EY-Stores and
should be accountable for timely delivery of the material as per the order. The
coordinator will be responsible for obtaining the material reconciliation statement duly
certified by the MDL user department.
ii) To indicate any shortfalls in the lot if any, inform in writing to concerned nominated
officer of MDL.
3) The firm should have capacity of cutting & delivering at least 25 plates per month to
MDL.
4) The contractor has to also deploy a material handling person who will be responsible
and should be capable of carrying out following activities. The contractor has to give
undertaking for deploying a coordinator. He has to arrange for collecting raw material
as per the nesting plan. The person appointed by the subcontractor should knowledge
for receipt of such raw material.
5) The firm has to return the balance materials (BRTS) as per cutting document/drawings
to nominated stores duly inspected by MDL.
6. The priority for plasma cutting / Oxy cutting operations will be provided by MDL prior to
commencement of work. In case of any query, firm can contact Planning-East Yard.
7. Inspection Agency: MDL QA-EY and SOT Mumbai

8. Work completion certificate (WCC): Work Completion Certificate (WCC) shall be
issued on satisfactory completion of respective work with inspection and acceptance
reports. The agency responsible to issue WCC shall be MDL QA-EY. WCC shall
clearly indicate Order No. Drawing No., Description and Cutting Length together with
cumulative cutting length certified so far. The cutting length of the material be
calculated as per the length mentioned in the cutting document prepared by Design
dept.
9. All drawings and relevant documents (standard DCN documents) along with cutting
documents will be provided by MDL.
1.3 COMPLETION PERIOD
Tentative overall period of work:
Tentative Date of Starting the Job: 01-11-2013 or within 15 days from the date Of Order
whichever is coming earlier.
Date of Completion of the Job: 31-10-2015
The work schedule & priorities for plate cutting operations with delivery period will be
provided by Planning EY, MDL, prior to commencement of the work. The delivery
schedule provided need to be strictly adhered to, for execution by the Contractor.
Contractor shall arrange transportation for collection of plates from MDL premises(Alcock
yard/Workshop A,B,C,D) / nominated place (EY-Anik Stores) and deliver the finished and
or balance material as per delivery schedule at MDL.
1.4 Performance Bank Guarantee – Not Applicable.
1.5 FREE ISSUE MATERIAL (FIM):
Material viz., steel plates (80 HLES, NON HLES, Stainless steel, Aluminum Plates) will
be issued by MDL on free of charge for carrying out the job. Also wooden Boxes and
Bags will be issued by MDL for packing on returnable basis. The job will be undertaken
by the successful bidder (contractor) at their premises. Therefore the contractor, prior to
taking these free issue materials, shall furnish Bank Guarantee for Free Issue Material
equivalent to the value of materials supplied by MDL. Contractor shall be required furnish
Bank Guarantee of Rs. 10.00 Lakh & indemnity bond with insurance policy of Rs.
20.00 Lakh approximately, for the material to be issued at a time. Such Bank Guarantee
shall be valid till completion of contract. / accepted leftover /balance / scrap and receipt
at MDL. A certified statement of reconciliation of material is to be submitted.

1.7 Recovery cost in case of rejection of material:
a) Non HLES – Rs 220/ - per Kg.
b) 80 HLES – Rs 220/- per Kg.
c) Stainless steel- Rs 220/- per Kg.
d) Aluminum - Rs.300/- per kg.

G) Total no of Transportation trips (‘To & Fro’) should not exceed 60 Nos. One trip of transportation include ‘To & Fro’ transportation
required for collecting raw material from MDL and for delivery of cut parts along with balance material at MDL. Normally one Lot of

THIS Agreement no. EY/P75/NDA__________/2013 dated________ (hereinafter referred to as
the "AGREEMENT") is made at Mumbai, India on this _______ day of ______2012 by and

M/s. Mazagon Dock Limited, a Company registered under Indian Companies Act 1956 and having
its registered office at Dockyard Road, Mumbai-400010 (hereinafter referred to as "MDL") which
expression shall, unless excluded by or in contradiction to the context or meaning thereof, be
deemed to include his successor or successors and permitted assignees, on the first part

M/s. _________________ a Company registered under Indian Companies Act 1956 (OR a Firm
registered under Indian Factories Act and having its registration no.______ dated___________)
and having its registered/principal office at _______________________________ (hereinafter
referred to as the "RECEIVING PARTY") which expression shall, unless excluded by or in
contradiction to the context or meaning thereof, be deemed to include his successor or
successors and permitted assignees, on the second part.
MDL and the RECEIVING PARTY being hereinafter together collectively referred to as "Parties".
The persons representing MDL and the RECEIVING PARTY are respectively authorized by them
to represent them for the purpose of this AGREEMENT.
WITNESSSETH
WHEREAS the Government of India has awarded a contract to MDL for construction of
"Scorpene" class Submarines of French design for the Indian Navy, with transfer of
technology from the French Company Armaris France (hereinafter called the "Collaborator")
under the program called Project 75.
WHEREAS the proprietary/classified information received by MDL for the Project 75 from the
Collaborator and/or from any other source is not to be disclosed to a third party, with the
exception of sharing relevant part such proprietary/classified information with a third party on
need to know basis, as may be necessary for the fulfillment of the respective activities
subcontracted to such third party by MDL, subject to such third party accepting appropriate
restrictions regarding use and protection of such relevant proprietary/classified information to
any other party or person and regarding national security regulations for classified
information.
WHEREAS MDL at its sole discretion intends to offload from time to time
manufacture/subcontract of certain specific items/work/activities related to the Project 75.
WHEREAS the RECEIVING PARTY intends to participate in the process of undertaking
manufacture/subcontract of such items/work/activities related to the Project 75 in the areas of
their capabilities as considered preliminary feasible by MDL.
WHEREAS for such offloading of manufacture/subcontract of certain specific
items/work/activities related to the Project 75 from time to time MDL shall have to disclose to
the RECEIVING PARTY, certain related technical or any other information of a
proprietary/confidential/classified nature (hereinafter all together and as defined in paragraph
2 and 5 referred to as "PROPRIETARY INFORMATION") in pursuance of the discussions
regarding preliminary feasibility and/or tender enquiry/enquiries and/or purchase/subcontract

order (s)/contracts from time to time for the respective items/work/activities related to Project
75 during the validity of this AGREEMENT and of the ensuing contract.
WHEREAS THE receiving party agrees to execute, implement and abide by this AGREEMENT
related to non disclosure of the said PROPRIETARY INFORMATION received from MDL from
time to time together with appropriate restrictions regarding use of such relevant
proprietary/classified information together with applicable corresponding national security
regulations safeguarding MDL its rights, interests and commitment on the said PROPRIETARY
INFORMATION.
NOW THEREFORE THE PARTIES AGREE AS FOLLOWS: -
1. This AGREEMENT shall be applicable for all relevant PROPRIETARY INFORMATION, as defined in
paragraph 2, including classified information provided by MDL to the RECEIVING PARTY from time
to time related to items/work/activities of Project 75.
2. The term PROPRIETARY INFORMATION as used in this AGREEMENT, shall mean any and all
information and data, including confidential/classified information and data designated as
proprietary following paragraph 6, disclosed by MDL pursuant to this AGREEMENT to the
RECEIVING PARTY either in writing or orally, subject to the conditions set forth hereafter and
including without limitation technical, financial, commercial information, samples, models, written
and/or printed documents, data, drawings, specifications, norms, parts-lists/bill of material, plans,
production schedules, and/or their soft copy versions or any other means of disclosing such
PROPRIETARY INFORMATION to the RECEIVING PARTY that MDL may select to use, during the
validity of this AGREEMENT.
3. Nothing in this AGREEMENT may be construed as compelling MDL to disclose any PROPRIETARY
INFORMATION to the RECEIVING PARTY and/or to enter into any further negotiations or
contractual relationships with the RECEIVING PARTY.
4. The scope and extent of the PROPRIETARY INFORMATION to be provided in accordance with this
AGREEMENT to the RECEIVING PARTY shall be at the sole discretion of MDL as deemed
appropriate to fulfill the objectives of the respective manufacture/subcontract of
items/work/activities under consideration from time to time.
5. Any information or data in whatever form disclosed by MDL to the RECEIVING PARTY and which
is designated and/or declared as the PROPRIETARY INFORMATION by MDL, by any one
appropriate means such as stamp, legend, written communication (as part of the tender/order
conditions or otherwise), and/or any other notice in writing shall be subject to the terms and
conditions of this AGREEMENT.
6. Any information or data in whatever form disclosed by MDL to the RECEIVING PARTY and
declared orally as the PROPRIETARY INFORMATION at the time of such disclosure/dilacerations,
shall be subject to the relevant terms and conditions of this AGREEMENT provided within thirty
(30) days from such oral declaration at the latest, has been confirmed in writing as PROPRIETARY
INFORMATION of MDL.
7. The RECEIVING PARTY hereby covenants that, for a period of 5 years from the entry into force of
this AGREEMENT, any and all the PROPRIETARY INFORMATION received by the RECEIVING
PARTY from time to time pursuant to this AGREEMENT
(a) -shall remain the property of MDL and shall be returned by the RECEIVING PARTY immediately
upon receipt of written request from MDL or on completion of the respective work whichever is
earlier.
(b) -shall not be used, in whole or in part, for any purpose other than the intended purpose for
which the respective PROPRIETARY INFORMATION is issued by MDL.
(c) -shall be only disclosed to and used by those concerned employees in the RECEIVING Parity's
organization who have a need to know and solely for the purpose for which it is issued.
(d) -shall ensure that each of such concerned persons using the respective PROPRIETARY
INFORMATION shall comply with all the obligations of the RECEIVING PARTY under this
AGREEMENT.

(e) -shall neither be disclosed nor caused to be disclosed whether directly or indirectly to any third
party or persons for any reasons, other than those concerned employees in the RECEIVING
PARTY's organization mentioned in the clause 7 (c) of this AGREEMENT.
(f) -shall neither be copied, nor otherwise reproduced nor duplicated in whole or in part, in any
form; unless such copying, reproduction or duplication have been specifically authorized in
writing by MDL.
(g) -shall be safely protected and strictly kept in confidence by the RECEIVING PARTY which must
use maximum care and safeguards for the respective PROPRIETARY INFORMATION as it uses
to protect its own proprietary information of like importance, but in no case any less than
reasonable care.
(h) -shall treat the relevant confidential/classified information identified by MDL at the time of
disclosure, in accordance with the applicable national security regulations and provisions of
Official Secrets Act 1923 in addition to the provisions of this AGREEMENT.
8. Except as aforementioned, the RECEIVING PARTY, shall have no obligations or restrictions with
respect to any PROPRIETARY INFORMATION which the RECEIVING PARTY can prove that
(a) - is not properly designated or confirmed as proprietary
(b) - has come into the public domain through no wrongful act or breach of this AGREEMENT by
the RECEIVING PARTY, or
(c) - is already known completely to the RECEIVING PARTY, as evidenced by written
documentation in the files of the RECEIVING PARTY, or
(d) - has been lawfully received from a third party without restrictions or breach of this
AGREEMENT, or
(e) - has been or is published without violation of this AGREEMENT, or
(f) -was already known completely to the RECEIVING PARTY or was independently or totally
developed by the RECEIVING PARTY without access to any of the PROPRIETARY
INFORMATION, or
(g) - is approved for release or use by written authorization of MDL to the RECEIVING PARTY, or
(h) - is disclosed in the court under governmental court order and/or to prosecute or defend any
claim arising hereunder, with prior written consent of MDL, however disclosure must take place
only for the purpose of obeying such governmental court order.
9. With respect to any exchange of PROPRIETARY INFORMATION which may occur under this
AGREEMENT, it is expressly understood and agreed that the below listed employees shall, on
behalf of the respective Parties, be the exclusive individuals authorized to receive and/or
transmit PROPRIETARY INFORMATION under this AGREEMENT:

10. As regards the individuals identified in Paragraph 9 above, each Party (ies) shall have the right
and power to re-designate such persons within their organizations as are authorized to receive
and/or transmit PROPRIETARY INFORMATION exchanged under this AGREEMENT. Any such re-
designations, which are made by one Party, shall be affected by rendering prior written notice of
such change to the other party (ies).
Notwithstanding the foregoing, the RECEIVING PARTY shall not be relieved of any obligations under
this AGREEMENT with respect to the Information, which is received or transmitted by any other
individual of the RECEIVING PARTY.
Any PROPRIETARY INFORMATION disclosed by the Parties under this AGREEMENT which is
Classified Information shall be identified by MDL as Classified Information at the time of
disclosure and the disclosure, protection, use and handling of such information shall be in
accordance with the security procedures prescribed by Government, MDL and/or RECEIVING
PARTY or the entity to which the PROPRIETARY INFORMATION belongs (DCNS, ARMARIS).
11. It is expressly understood and agreed by the Parties hereto that the disclosure and provision of
PROPRIETARY INFORMATION under this AGREEMENT by MDL to the RECEIVING PARTY shall

not be construed as granting to the RECEIVING PARTY any rights whether expressed or implied
by license or otherwise on the matters, inventions or discoveries to which such PROPRIETARY
INFORMATION pertains or any copyright, trademark or trade secret rights.
The ownership in all information and/or data disclosed by MDL to the RECEIVING PARTY pursuant
to this AGREEMENT shall, subject to any right of any other owner, rests with MDL.
Any and all PROPRIETARY INFORMATION disclosed under this AGREEMENT is disclosed "as is",
and MDL shall in no way be liable for the RECEIVING PARTY's reliance on or use of such
PROPRIETARY INFORMATION.
12. The execution, existence and performance of this AGREEMENT shall be kept confidential by the
Parties hereto and shall not be disclosed by either Party without the prior written consent of the
other.
13. This AGREEMENT including all rights and obligations of the Parties hereto except the obligations
specified in Paragraph 7 may be terminated by operation o law and without demand by either
Party at any time on thirty (30) day prior written notice to the other.
14. Unless earlier terminated as aforesaid in Paragraph 13 hereof, this AGREEMENT shall
expire............Years from its effective date.
15. The end or termination of this AGREEMENT shall not relieve the RECEIVING PARTY of
complying with the obligations imposed by Paragraph 5 thereof with respect to the use and
protection of the PROPRIETARY INFORMATION received prior to the date of the termination or
end of this AGREEMENT. Such obligation shall continue for the period applicable as set forth in
said Paragraph.
16. This AGREEMENT shall be governed by and shall be interpreted in accordance with the Laws of
India.
17. All disputes between the Parties in connection with or arising out of the existence, validity,
construction, performance and termination of this AGREEMENT (or any terms thereof), which the
Parties are unable to resolve between themselves within thirty (30) days from the notification of
the dispute by the claimant to the other Party, shall be finally settled by Indian Arbitration &
Reconciliation Act 1996 amendment thereof under Competent Jurisdiction in Mumbai.
18. The foregoing constitutes the entire agreement between the Parties with respect to the subject
matter hereof and supersedes and cancels all prior representations, negotiations, commitments,
undertakings, communications whether oral or written, acceptances, understandings and
agreements between the Parties with respect to or in connection with any of the matters or
things to which such agreement applies or refers.
19. The effective date of this AGREEMENT shall be the date of last signature by all the Parties
hereto.
IN WITNESS THEREOF, each of the Parties hereto has caused this AGREEMENT to be executed
by its duly authorized officers or representatives.
