FINAL CONSENT ORDER AND JUDGMENT

On October 30, 2015, Plaintiff LandAmerica Holdings & Investment, LLC

("LandAmerica") filed suit against Defendant Satilla Capital Partners, LLC, erroneously styled

as Satilla Capital Group, LLC ("Satilla"), in the Magistrate Court of Fulton County (the

"Complaint"), alleging a claim for breach of a non-binding term sheet (the "Term Sheet") for a

contemplated real estate development loan (the "Contemplated Loan")

Satilla answered the Complaint and filed a counterclaim against LandAmerica (the

"Counterclaim") for defamation arising from the following two! internet posts that were made at

the following URLs (the "Internet Posts"):

I A third internet post (http://www.complaintsboard.comlcomplaints/satilla-capital-group-we-

waited-a-month-but-they-havenrsquot-provided-funds-to-our-account-c783347.html ) was also

the subject of Satilla's counterclaim. However, that post is not subject to this consent order and
Satilla's claim arising from that third post is hereby dismissed with prejudice.
These Internet Posts accused Satilla and a related entity, Tower Lending, LLC ("Tower"), of,

among other things, "loan fraud" and "unethical" and "illegal" dealings. Upon consent of the

parties this matter was transferred from Magistrate Court to this Court.

LandAmerica admits that, although it believed them to be true, the Internet Posts were

false and defamatory. Accordingly,

IT IS HEREDY ORDERED AND ADJUDGED that:

1) The Internet Posts are false, defamatory, and unlawful.

2) Satilla is entitled to judgment on its Counterclaim for defamation.

3) Judgment is hereby entered in favor of Satilla and against LandAmerica in the

amount of$1.00.

4) LandAmerica shall not make any further statements about Satilla having engaged in

"loan fraud" or "unethical" or "illegal" dealings.

5) The claims in LandAmerica's Complaint are hereby voluntarily dismissed with

prejudice. ~
