SUBSCRIPTION AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Subscription Agreement (“Agreement”) made and entered into this

A CORP, a Philippine Corporation, with office address at

______________________________________. (hereinafter
referred to as the “Issuer”);

______________, Filipino, of legal age, with address at

____________________________________ (hereinafter
referred to as the “Subscriber”).

WITNESSETH: That –

WHEREAS, the Issuer has increased its authorized capital stock to ________ divided
into _________ shares with a par value of ________ per share.

WHEREAS, the Subscriber wishes to subscribe to _______ shares (the “Subscribed

Shares”) from the increased number of shares of the Issuer, and the Issuer has agreed to
issue such shares.

NOW, THEREFORE, for and in consideration of ______________ (the "Subscription

Price''), of which amount ___________________ has been paid up, the Issuer hereby issues
to the Subscriber the Subscribed Shares.

The parties agree to execute or cause to be executed all such other documents,
contracts, or instruments as may be necessary or required in order to carry out the intent
and purposes of this Agreement.

All taxes and other fees and expenses arising from this Agreement and the issuance
of the Subscribed Shares shall be for the account of the Subscriber.

IN WITNESS WHEREOF, the parties executed this Agreement on the date and in the
place first hereinabove written.
