CONTRACT OF LOAN WITH PROMISSORY NOTE AND


CO-MAKER’S STATEMENT

KNO ALL MEN BY THESE PRESENTS:

I, MARYSON T. FONTANILLA, of legal age, married, Filipino, with


residence and postal address at Barangay Buenavista, Sablayan, Province of
Occidental Mindoro, hereinafter referred to as the LENDER;

-AND-

ROSEMARIE Y. BAOAN, of legal age, married, Filipino, with residence


and postal address at Barangay Ibud, Sablayan, Province of Occidental
Mindoro, hereinafter referred to as the BORROWER;

WITNESSETH that:

FOR VALUE RECEIVED, the undersigned, ROSEMARIE Y.


BAOAN (the BORROWER), hereby promises to pay to the order of MARYSON
T. FONTANILLA, (the LENDER), the principal sum of EIGHT HUNDRED
THOUSAND (800,000) PHIILIPPINE CURRENCY together with interest on the
principal balance, and in accordance with the terms set forth below:

TERMS AND CONDITIONS

1. Payment. The principal amount of this Loan together with accrued and
unpaid interest and all other charges, costs and expenses shall be paid at the
end of MAY, 2018. All payments under this Agreement are applied first to
accrued interest and then to the balance of the outstanding principal.

2. Prepayment. The Borrower has the right to prepay all or any part of the
principal amount of this Loan, together with accrued and unpaid interest
thereon, at any time without prepayment penalty or premium of any kind.

3. Costs and Fees. In the event of default, the Borrower shall pay to the
Lender all costs of collection including reasonable attorney's fees.

4. Waiver. The Borrower and all sureties, guarantors and endorsers hereof,
waive presentment, protest and demand, notice of protest, demand and
dishonor and nonpayment of this Loan.
5. Successors and Assigns. This Loan will inure to the benefit of and be
binding on the respective successors and permitted assigns of the Borrower.
The Borrower may not assign its rights or delegate its duties under
this Loan without the Lender’s prior written consent.

6. Joint and Several Liability. If there is more than one Borrower of


this Loan, the obligation of each Borrower shall be joint and several under
this Loan.

7. Amendment. This Loan may be amended or modified only by a written


agreement signed by the Borrower and Lender.

8. Severability. In the event that any of the provisions of this Loan are held to
be invalid or unenforceable in whole or in part, the remaining provisions shall
not be affected and shall continue to be valid and enforceable as though the
invalid or unenforceable parts had not been included in this Loan.

9. Notifications. Any notice or communication under this Loan must be in


writing and sent via one of the following options:

10. Governing Law. This Loan shall be governed by and construed in


accordance with the laws of the PHILIPPINES.

PROMISSORY NOTE/CO-MAKERS’ STATEMENT

FOR VALUE RECEIVED, I/WE, ROSEMARIE Y. BAOAN AND


RICHELLE Y. CASTILLO (the BORROWER), jointly and severally promise to
pay MARYSON T. FONTANILLA (the LENDER) the sum of EIGHT HUNDRED
THOUSAND (800,000) PHIILIPPINE CURRENCY.

I/WE hereby agree and authorize MARYSON T. FONTANILLA (the


LENDER) to encumber, assign or sell to any person or entity any right which
may have under this Note and/or any assignment, mortgage lien, pledge or
other encumbrances constituted in MARYSON T. FONTANILLA (the LENDER).
pursuant to the provisions of the loan agreement and this Note, if any the
consent herein granted is recognized and acknowledged by me/us as a waiver,
to all intents and purposes of whatever right I/we may have to notice of actual
encumbrances or assignment.

Should a delay be made in the payment of an instalment of at least


THIRTY (30) days, the whole sum remaining unpaid under this Note shall
forthwith become due and demandable without need of further demand. In
such case, I/WE jointly and severally agree to pay an additional amount
equivalent to FIVE (5) PESOS per day due and demandable as penalty and
collection charges in the form of liquidated damages until fully paid and ten
percent (10%) thereof or P1,000.00 whichever is higher for attorney’s fees
whether actually incurred or not, exclusive of cost and judicial/extrajudicial
expenses.
Further, I/WE jointly and severally empower and authorize the
MARYSON T. FONTANILLA (the LENDER) the option, and without notice, to
set off or apply to the payment of this Note any and all funds which may be in
their hands on deposit or otherwise belonging to me or one or anyone of us
which may be in their possession or control by virtue of any other contract.

That I, the borrower, fully understand all the features the term and
conditions set forth in granting this loan.

DEMAND AND DISHONOR WAIVED. Holder may accept partial payment


reserving his/her rights or recourse against each and all endorsers.

I/WE agree that any action arising in connection or by reason of this


Note shall be filed solely and exclusively, to the exclusion of all other courts, in
the courts of the PROVINCE OF OCCIDENTAL MINDORO.

IN WITNESS WHEREOF, we have hereunto affixed our signatures this
