PUB EXPRESS RESTO, a company duly organized and existing under the laws of the Republic of the Philippines

with registered address at JFK Apartment, Soriano Subdivision, 148 MH Del Pilar, Molo Iloilo City , duly represented
herein by its owner MS. MARIE DOMONIQUE G. PERFECTO, hereinafter referred to as “PUB EXPRESS MAIN”;

MS. MIKKA ELLA B. PERLAS, Filipino, of legal age with residence address at Phase 1 Subdivision ,Alta Tierra
Village Jaro, Iloilo City Philippines 5000 hereinafter referred to as the “PUB EXPRESS JARO”;

WHEREAS, PUB EXPRESS RESTO is the author, creator, originator, marketer, distributor and owner of “PUB
EXPRESS”, a distinctive type of fast food restaurant created for giving delicious, affordable and fast service food to
every customer.

WHEREAS, PUB EXPRESS MAIN has developed, acquired, adopted for its own use and the use of its PUB
EXPRESS JARO a skill and experience in the development and operation of PUB EXPRESS OUTLETS involving the
preparation, marketing and selling of products, advertising signs, product management, program standards,
specifications, special personnel recruitment and training program, specially designed equipment, layout plans, food
presentation and formulae, proprietary recipes, business techniques, system and procedures and operational
techniques, all of which are referred to in this Agreement as the “PUB EXPRESS SYSTEM”;

WHEREAS in addition to valuable goodwill, PUB EXPRESS RESTO owns the valuable trademark, service
mark and trade name “PUB EXPRESS”, as well as various trademarks, service marks, trade names, slogans,
designs, insignias, emblems, symbols, color schemes, package features, logo and other propriety-identifying
characteristic used in relation and in connection with the Products and the System;

GOODS AND SERVICES PROVIDED BY PUB EXPRESS MAIN

1. PUB EXPRESS MAIN shall make available to the PUB EXPRESS JARO all products, goods, ingredients, supplies,
commodities and merchandise at such prices deemed reasonable according to agreed price. The PUB EXPRESS
JARO undertakes to pay the aforementioned products and goods strictly on a cash/check basis unless PUB
EXPRESS MAIN shall prescribe, in writing, another mode of payment.

2. Orders must be placed every upon communication by the PUB EXPRESS JARO to the PUB EXPRESS MAIN.
PUB EXPRESS MAIN will prepare outlet orders accordingly for delivery to PUB EXPRESS JARO

3. In case of failure or delay on the part of the PUB EXPRESS JARO to place the orders on or before the cut off time
on the assigned dates, the PUB EXPRESS MAIN shall not be liable for the absence of supplies allotted for the Jaro
Outlet.

4. PUB EXPRESS MAIN does provide delivery service for supplies, it is the sole responsibility of the PUB EXPRESS
MAIN to deliver inventory supplies from the place assigned by the PUB EXPRESS JARO.

5.PUB EXPRESS MAIN shall develop a continuous training program for the PUB EXPRESS JARO and its crew.

While the development of the program is for the account of the PUB EXPRESS MAIN, a P500.00 fee per head shall

be charged to the PUB EXPRESS JARO for the compulsory follow-up training.
 Section 4.1 The PUB EXPRESS JARO is, strictly prohibited to divulge or expose Outlet Operations
Manual to anyone including his/her nearest relative not involved in the business.

Section 5. PUB EXPRESS MAIN shall provide assistance to the PUB EXPRESS JARO in the development of local
advertising and marketing, when and if applicable, for Pub Branches, which will be termed as Local Store Marketing.
Advertising and promotional activities and materials thereof, prepared by the PUB EXPRESS JARO for Local Store
Marketing purposes shall first be approved by the PUB EXPRESS MAIN before being implemented.

Section 5.1 The limit on the local advertising, or Local Store Marketing, shall be agreed upon by the PUB
EXPRESS JARO and PUB EXPRESS MAIN.

Section 6. PUB EXPRESS MAIN shall likewise provide management assistance to the PUB EXPRESS JARO in the
form of periodic visits at least once every month.
