the sales contract Or MOU Comod ity Of Iron Steel Building Cuntruction is
made and entered on June 24, 2017 by and between:

CV AMAZONE BAHTERA ANUGERAH a company exiting and duly incorporated under the laws of
Indonesia, having its principal place of business at Sidoarjo, Jawa Timur, Indonesia, duly represented
by Mr.Rafly, here in after called “Sellerr”.

And,
PT.CELLINDO SIGMAPERKASA a company exiting and duly incorporated under the laws of Indonesia,
, having its principal place of business, duly represented by Mr. Yong Antonius Anggono , here in after
called “Buyer”.

WHEREAS, each of the person executing this agreement on behalf of the seller and the buyer
respectively, do each represent tha he has the full authority from the respective company to execute
this agreement, and that the seller company and buyer company here to each agree to be bound by
the term and conditions stated here in;

ARTICLE 1 – COMMODITY

Destination : Sidoarjo, East Java - Indonesia

ARTICLE 2 – QUANTITY AND SHIPMENT / TRUCKING

is U.S Dollar , Quantity per Pcs , Frangco Storage at Sidoarjo , East Java - Indonesia.

ARTICLE 5 – PRICE ADJUSTMENT

he total value of the contract is USD 11,403,67 .(U.S Dollars elevent Thousend and Four Hundred
Three and Sixty Sevent) within a tolerance of plus/minus ten percent (-+ 3 %).

ARTICLE 6 – PAYMENT

ARTICLE 8 – DESTINATION OF GOOD

The seller arranges to load the cargo as soon as the vessel /Trucking arrive the
loading Bonded. Iron Steel for Building Cuntruction will be loaded onto the ship with provisions of
20 MT per day with a record of good weather conditions.
Quality iron sand will be determind by the quality inspector companies in Indonesian are PT
Surveyor.

ARTICLE 10 – FORCE MAJEURE

Force Majeure is understood as acts, events, or omissions, which is caused by circumstance

reasonably beyond the control of the contol affected party. For the purphose of example stroms,
floods, earth quakes, fires, explosions, radioactive contamination, riots and civil commotion, military
operations or war, bans, sanctions, orders or embargoes of any government or the facto government
or similar autoity that could have jurisdiction over the said event.
Any unexpected and new regulayion from custom or government in addition and in after the date of
this contract is also understood as force majeure circumstances.
It is hereby mutually agreed by and between the buyer and the seller that is case of any ofsuch event
of force majeure, the affected party must inform the other party within 7 days and the parties shall
immediately enter into good faith negotiations yo assess the effects of such event or circumstances
with view to finding a reasonable and equitable solution for both parties.

ARTICLE 11 – SETTLEMENT OF DISPUTE

In Case of disputes, at first it shall be settled by friendly negotiations and if no settlement can be
reached, the case of disputes shall be only submitted to an Sidoarjo, east java, Indonesian court.

ARTICLE 12 – AMENDMENT

Should there be amendments to this contract, such amendments shall be mad in written upon
mutual agreement between the buyer and seller.
