I.

SUBJECT

1. Sales of San Beda Centralized Bar Operations bar material/s (hereinafter referred to as “Material”
or “Materials”) are governed by the following General Terms and Conditions for Online Sales
(hereinafter referred to as “Terms and Conditions”);

2. The materials displayed online are offered on sale exclusively to consumers (hereinafter the
"Purchaser"), defined as the physical person above the age of consent and a resident of the
Philippines;

II. ORDER PROCESS AND PAYMENT

1. The online order process is comprised of the following:

a. Fill up the prescribed form through the selection of the desired bar material/s;
b. Send a copy of one (1) valid ID of the purchaser;
c. Confirmation of the online order by the CBO;
d. Payment of the total amount of the materials to be shipped through any valid banking institution;
e. Send a scanned copy or a photo of the deposit slip via facebook messenger; and
f. Confirmation by the CBO of the online order, payment and its corresponding receipt.

2. The purchase agreement is concluded upon through verification of correct data, availability of the
selected bar material/s, and payment of the due amount by bank transfer; and

3. In any case it is understood that the order placed by the Purchaser shall be binding only if the
entire process is correctly completed, without any error on the part of the CBO.

III. SHIPPING AND DELIVERY

1. The purchase materials shall be delivered to the address provided by the Purchaser;

2. The CBO, after confirmation of the order and payment, will proceed with the shipment of the bar
material/s;

3. The tracking number of the online order will be sent to the Purchaser; and

4. The material/s must be checked at the moment of delivery to make sure they correspond to the
items ordered;

IV. FORCE MAJEURE

1. The performance of all obligations under the contract will be delayed or suspended in case of
occurrence of a fortuitous event or force majeure.

2. The following are considered fortuitous events or force majeure: Natural calamities, war, riots,
insurrections, strikes and supply problems attributable to a third party suppliers; and

3. In case of fortuitous event or force majeure, the CBO will notify the Purchaser online through its
duly authorized representative/s.
V. GUARANTEE OF AUTHENTICITY AND INTELLECTUAL PROPERTY RIGHTS

1. The CBO guarantees the authenticity of all the bar materials offered online for sale. The bar
materials are of merchantable quality and are duly based on established and existing laws and
jurisprudence;

2. The Purchaser shall acknowledge that the bar materials are the intellectual property of the San
Beda University – College of Law Centralized Bar Operations; and the latter does not convey to the
Purchaser any right to appropriate the same;

3. That the Purchaser understands that the right to distribute said materials is exclusively vested
upon the CBO;

4. THAT THE PURCHASER AGREES NOT TO DIVULGE, TRANSMIT, DISTRIBUTE

AND/OR CAUSE THE UNLAWFUL REPRODUCTION, WHETHER IN SOFT OR HARD
COPY, OF ANY SUCH MATERIALS TO THIRD PERSONS;

5. That any unauthorized reproduction, use, sale, or purchase hereof is a violation of Intellectual
Property Rights of the CBO;

6. That the Purchaser hereby recognizes the right of the CBO to refuse the sale and/or release of bar
materials to those found guilty of violating any of the provisions of this Terms and Conditions; and

7. That the Purchaser recognizes the right of the CBO to forfeit any and all materials purchased and
all payments made to those found of UNAUTHORIZED REPRODUCTION OR USE OF SAN
BEDA MATERIALS MATERIALS

VI. LEGAL ACTION

1. Any unauthorized distribution of said materials by the Purchaser will entitle the CBO a cause of
action for damages, without prejudice to any criminal prosecution for violation of Intellectual
Property Rights that may be filed against the former.
