LEASE DEED

THIS INDENTURE OF LEASE made at on _____________

BETWEEN

MR. Ranjit Singh, son of ____________, R/o _____________________, P.O.-


_______, P.S.- _________, District- Dhanbad (Jharkhand) in the capacity of
KARTA of Ranjit Singh and HUF hereinafter referred to as the LESSOR
which expression shall unless it is repugnant to the context to meaning
thereof, be deemed to mean and include his heirs, legal representatives,
successors and assigns) of the ONE PART.

_______, P.S.- _________, District- Dhanbad (Jharkhand) hereinafter referred
to as the LESSEE which expression shall unless it is repugnant to the
context to meaning thereof, be deemed to mean and include his successors
and permitted assigns) of the OTHER PART.

WHEREAS the Lessor is absolutely seized and possessed of the


vacant land measuring 1000 (One thousand) Sq. ft. facing ______________ or
otherwise well and sufficiently entitled to the property more particularly
described in the Schedule herein underwritten.
AND WHEREAS the Lessee has paid a sum of Rs.2,00,000/- (Rupees Two
Lacs) only as interest free security deposit through cheque no. _____________
dated ____________ to the Lessor.

AND WHEREAS as the LESSOR has agreed to let out the Shop to the
LESSEE for the purpose of using the same for operating a Restaurant only
in the name and style of ______________________ situated at
__________________________ by him and his family at the rate and upon the
terms and conditions hereinafter set out.

AND WHEREAS Lessor is executing a Lease Deed which will commence


from ____________- 2016 to _______________, 2024 for period of 8 years
subject to an increase of 5% in the rent every eleven months and it will be
renewed by the mutual consent of the Lessor for another period as agreed
upon at the rate and upon the terms and conditions hereinafter set on.

NOW THIS INDENTURE WITNESSETH AS FOLLOWS :

1. The Lessor doth hereby demise unto the Lessee aforementioned


property, more particularly described in the Schedule herein under
written (hereinafter referred to as the “Demised premises”) for a term of 8
(Eight) years commencing from ___________, 2016 to ____________, 2024
paying therefore to the LESSOR a monthly rent of Rs.35,000/- (Rupees
Thirty Five Thousand) payable before 5th of every calendar month
through an account payee cheque in the name of Ranjit Singh HUF after
deducting the TDS and Lessor has agreed to construct the aforesaid shop
on the vacant land after the date of signing of this agreement with all
facilities such as electricity, sanitary etc.

2. That there shall be a lock in period of 5 (five) years during which the
lessor will not have a right to terminate the agreement, provided the
lessee is fulfilling all the terms and conditions as enumerated in this
agreement, however even during the lock in period, the lessee, if
desirous, can vacate the premises by terminating the agreement giving 3
(three) months’ notice in advance alongwith the rent for the said notice
period of 3 (three) months.
3. That in case of default in payment of the monthly rent by the Lessee, an
interest of 12% shall be charged on the amount from the date it has
become payable till the date it is paid and in case of the default
continuing for 2 (Two) months, the Lessor shall have the right to take due
recourse of law to evict the Lessee from the premises.

4. That in addition to the above rental payment payable by the Lessee a


refundable interest free security deposit of Rs.2,00,000/- (Rupees Two
Lacs) only has been given by the Lessee which will have to be refunded to
the lessee within a period of one month without any further hindrance
and if the LESSEE is desirous of vacating the premises before expiry of
the period of lease, i.e. 8 (Eight) years, then the LESSOR will have to
refund the security deposit within a period of one month.

5. That in the event of change of ownership and title of the demised


premises, it shall be deemed that the Lessee has entered in the Lease
agreement with the same terms and conditions with the changed owner
and this lease agreement shall automatically deem to be between the
lessee and the new owner.

6. That the LESSEE covenants which the LESSOR as follows :

a. To pay the LESSOR the monthly rent hereby reserved at the time and
in the manner hereinafter provided.

b. To use the said demised premises for running of a Restaurant in the


name and style of ____________________ situated at
__________________________________ (Jharkhand) mentioned in last
recital hereinabove.

c. To pay the appropriate authority all the charges as levied for running
the restaurant alongwith all electricity bills as well as the water bill , if
applicable, in respect of the shop as per consumption and provide the
lessor with a copy of the same at regular intervals.

d. To comply with all the applicable statutory, governmental, municipal


and other rules pertaining for the purpose of running a Restaurant as
lessee and shall indemnify and keep indemnified the LESSOR against
any claim made or loss suffered by the LESSOR by reason of any
breach of any rules, regulation and laws by the Lessee in respect of
the said use of the business.

e. To take a commercial electrical connection and water connection and


regularly make the payments of the bills raised by appropriate
authority in time.

f. To provide the lessor with the receipt of paid bills regularly for safe
keeping and for maintain the record.

g. To permit the LESSOR and his agents at all reasonable time to enter
upon the said business premises for all reasonable purpose.

h. To not cause any disturbance in the locality or any security breach or


indulge into any illegal activity prohibited by law in and around the
demised premises.

7. The LESSOR does hereby covenant with the Lessee that:-

a. The LESSOR shall permit the Lessee peaceful and uninterrupted use
of the Business in the ___________________________ (Jharkhand), i.e.
approx. 1000 sq. ft. during the entire tenure of lease hereby granted.

b. To indemnify and keep indemnified the lessee of all actions, claims,


litigation, damages etc. from the third parties for all reasons
attributable to any non- performance on the part of the LESSOR with
respect to his obligations as the owner of the Business premises.

c. There shall be an annual increase of 5% in the rental during the term


of this Lease Agreement.

8. Provided always and it is hereby agreed and declared as follows:-

a. The Lessor shall not have any right of termination of this lease before
the expiry of 8 (Eight) years from the day of commencement of lease
save and except in the event of any breech of the terms and
conditions of the lease by the LESSEE.
b. The lessee shall be entitle to add, stall or a fix all necessary and
make modification and/or change interior and not structural and
defecations in the demised premises and shall have the rights to take
away all such item or modification and/or charges as also items
adds, install or affixed in the demised premises upon the expiry of
the lease period.

c. The lessee shall take a commercial electrical connection as well as a


water connection, if required, in the name of the business and at the
time of vacating the premises shall get the connections removed/
disconnected at its own cost thereby restoring the demised premises
to its original condition.

d. The lessee shall not make any permanent construction on the demised
premises and shall remove all the temporary structures erected by it
at the time of vacating the premises on its own cost.

e. The lessee shall not be entitled to keep the demised premises as a


security for obtaining any loan from Government/ Private bank/
Individual.

f. The demised premises shall be restored to the condition in which the


same is kept by the Lessor.

g. Upon expiry of the lease period granted herein the lessee shall have
the right to approach the lessor for the fresh lease of another period
which shall be mutually agreed upon the terms between the parties.

9. It is expressly understood and undertaken by the Lessor that control


and possession of the demised premises shall always be by the lessee
during the entire term of lease hereby granted and that the business
premises shall not be sub-let by the lessee nor will the lessee enter into
partnership with any other individual for running the business of
restaurant without the prior written permission and approval of the
lessor.
10. That the lessee shall not use or permit to be used the demised premise or
any part thereof for any other trade or business other than running a
restaurant.

11. Each party hereby unconditionally undertake to indemnify and keep


indemnified the other party against all losses, claims, demands, actions,
penalties, prosecutions, proceedings, damages, costs, liabilities, expenses
of payments of any nature whatsoever arising in any way as a
consequence of any breach by either party of any term, conditions of
covenants of the lease granted herein.
