MEMORANDUM OF ASSOCIATION

1. NAME OF THE SOCIETY: _____________EDUCATION AND WELFARE SOCIETY

3. OBJECTIVES OF SOCIETY:

a. To establish and run Anganwadis, Balwadis, Sanskar kendras, Primary schools,


High schools, Residential / Non Residential Schools, Asharam Schools, all types of collages and all
Technical, Vocational, Professional Training Centers, Libraries, Hostels, etc in rural as well as
urban areas, for imparting eduction to all.

b. To open Medical collages in different branches for example Nursing Allopathic, Ayurvedic,
Homeopathic, Unani. So as to promote medical education and to implement the Government
schemes promulgated from time to time with respect to the medical field. To hold meetings
seminars, conferences, survey, etc. in India and or abroad with a view to creating awareness
among the people.

c. To provide facilities for imparting formal, non-formal and moral education to the children.

d. To start educational institutions and training centres to implement all concerned social
welfare schemes for the development of women, Physically Handicapped, Deaf, Dumb, Orphan,
Blind, and Mentally retarded persons.

e. To provide facilities to physically handicapped persons, children and women by organizing


various social welfare programmes and also establish child care centres, Old Age Homes,
Rehabilitation, centres for women and children.

f. To establish self employment centers, technical trainings centres and also organize
workshops, lectures, conventions, for the financially backward minority peoples so as to promote
entrepreneurship and self employment through various informative programmes.

g. To establish refrence libraries, organize books exhibition, arrange literary lectures, so as to


develop the literary aspect of the community and also encourage the aspiring artists and writers of
the community.

h. To organize book exhibition and start mobile reading rooms to provide library facilities in
rural as well as in urban regions in order to create interest for reading among the people.

i. To provide educational facilities and hotel facilities to s.c, s.t community , O.B.C and other
backward classes by establishing residential schools, etc.

j. To promote national and international sports and games, to organizing sports competitions
so as to encourage sports activities and imbibe sportsmanship among the youth.
k. To provide coaching facilities for all types of scholarships and competitive examinations
and award incentive prizes to the students.

l. To establish and run charitable Hospitals in order to provide medical treatment facilities,
Health Education for the poor and economically backward people.

m. To inform the minority society about the various government welfare schemes and also
provides them legal advice.

n. To organize community marriages and other religious functions so as to unite various


sections of the community.

o. To provide encouragement to noted personalities of the society for their exceptional work
by organizing felicitations of the people.

p. To act as an agency for implementation of the various welfare schemes promoted by the
state and Central Government.

q. To organize national programme such as Reforestation, social forestry so as to avoid social


erosion, Environment projects, Health programmes, cultivation of the Barren Lands, Water shed
Management projects, Rural development projects, Urban development projects, Bio farming, De-
addiction centres, AIDS awareness programmes and also organize workshops, Camps, Seminars,
Lectures so as to imbibe national spirit among the people.

r. To, work for artisan welfare, to help handicraft artisan by promoting their work through
organizing exhibitions, events, melas, bazaars etc. To establish and run emporium, Metro Haats
etc.

s. To establish and run agriculture colleges and food processing unit.

4. Following is the information showing the names, Full Address, Age, Designations,
Occupation, and nationality of the members of the first executive committee to which the duty of
the managing the trust is entrusted as per the rules and regulations of _________________
Education and Welfare Society.

RULES AND REGULATIONS

1. INTERPRETATION OF CERTAIN TERMS:

a. “SOCIETY” _________ EDUCATIONAL AND WELFARE SOCIETY-_________________

b. “FOUNDER MEMBER” means one who pay Rs. 1000/- in lumpsum as per the provisions of
rele No. 5 (a) of these rules and regulation and who subscribes their signature on Memorandum of
Association.

c. “PATRON MEMBER” means one who pays Rs. 5000/- in lumpsum as per the provisions of
rule No. 5 (b) of these rules and regulation.

d. “LIFE MEMBER” means one who pays Rs. 5000/- in lumpsum as per the provisions of the
Rule No. 5 (c) of these rules and regulations.

e. “GENERAL MEMBER” means one who pays annual subscription of Rs.120/- as per the
provisions of rule No. 5 (d) of these rules and regulation.
f. “GENERAL MEETING” means the meeting of all the members of the society organized as
per the provision of the Rule No. 7 & 8 of these rules and regulation.

g. “SPECIAL GENERAL MEETING” means meeting called as per Rule No. 9 of these rules and
regulation.

h. “ELECTION OF MANAGING COMMITTEE” as election conducted as per provisions of the rule


No. 11 of these rules and regulation.

2. AREA OF OPERATION:

The area of operation of this trust shall be all over India.

3. ACCOUNTING YEAR:

The accounting year of the institution will be 1st April to 31st March.

4. MEMBERSHIP AND THE METHOD OF ITS REGISTRATION:

Any person who wants to become the member of the society should have completed 18 years of
age and he/she should be resident of India and shall apply to the president / Secretary of the
society in a prescribed form. If a person’s application for membership has been accepted by the
managing committee of the trust and if he / she has paid the prescribed subscription he / she will
be treated as member of the society. The managing committee has right to reject the application
for membership and the managing committee is fully empowered not to give any reason for
rejection of the application for membership.

5. TYPES OF MEMBERS:

There shall be only four types of members in the society, namely,

a. FOUNDER MEMBER: Founder member means a person subscribing his

Signatures on Memorandum of Association and who

Pays Rs.5000/- in lumpsum to this trust.

b. PATRON MEMBER: A person of eminent personality, who has


rendered distinguished services in the fields of education,
cultural and social reforms and who has paid Rs. 1000/-
in lumpsum to this trust, and to whom there will be no
right of voting.

c. LIFE MEMBER: Life member means a person who has paid


subscription of Rs. 10,000/- in lumpsum to this
trust.

d. ORDINARY MEMBER: Ordinary member means a person who has paid


an annual subscription of Rs. 120/- to this trust.

6. CANCELLATION OF MEMBERSHIP:

a. If a member’s written resignation is accepted by the majority of the


members.

b. If the member dies.

c. If he / she is punished, penalized or imprisoned by the law for any crime.


d. If the member become mad or insane.

e. If a member remains absent without permission for three consecutive meetings.

f. If a member action hurts the interest or aim and causes loss to the society.

g. If a member directly or indirectly misuses cash and property of the society as well as the
power of the post held by him / her.

h. If the ordinary member does not pay the annual subscription but due to none payment of
subscription, the cancelled membership can be continued if he makes full payment of the arrears
and subscription for current and the executive committee gives consent.

7. GENERAL BODY MEETING, ITS POWERS AND FUNCTIONS:

a. General body of the society is a sovereign body and the decision taken in the meeting of
the general body will be final.

b. To sanction Annual Accounts and Annual Budget put up by the managing


committee.

c. In the general body meeting all types of members can take a active part and they have a
power to control over the working of the managing committee.

d. To accept or reject any point coming forth with the permission of the President.

e. With 3/5 majority of members, general body meeting shall change the name of the society
, objects of the society, and makes changes in rules and regulations.

f. To elect managing committee for every five years.

g. To elect members of the managing committee and to give decisions on the resolutions
coming forth time to time.

h. General body meeting will be held immediately after the end of the financial year in the
month of April.

8. NOTICE AND QUORUM OF THE GENERAL BODY MEETING:

Written notice must be served to all members for informing them of the general
body meeting 15 days in advance with date, time, place and subject, etc. In the notice it must be
mentioned that if the meeting is postponed due to incomplete quorum then it could be
reconducted after one hour from the scheduled time in which case there will be no binding of any
quorum. 3/5 majority of the members is essential for the quorum of the general body meeting.

9. SPECIAL GENERAL BODY MEETING AND ITS FUNCTION:

a. Special general body meeting will be called as and when required by the managing
committee. The notice of the special general body meeting will have to be served 4 days in
advance in which date, time, place and subject, etc. shall be mentioned. The rules of general body
meeting for quorum will be applicable to this meeting.

b. Out of the total members, if 3/5 members submit a written demand to president for
special general body meeting, the president will call a special general body meeting within a
month. All the rules of general body meeting will be applicable to this meeting.

c. Inspite of general body meeting, functions of this special general body meeting will be for
essential subjects and for issues of emergency.

10. MANAGING COMMITTEE AND OFFICE BEARERS OF THE SOCIETY:

Managing committee of the society will consists of 09 members only.


a. President 1

b. Vice president 1

c. Secretary 1

d. Treasurer 1

e. Members 3

Members of the managing committee will be elected from the founder and life member only in
general body meeting. The members of managing committee so elected in general body meeting
will elect their office bearers.

11. TERMS OF THE MANAGING COMMITTEE AND ELECTION SYSTEM:

The terms of the managing committee will be of 5 years. After very five years the members of the
managing committee will be elected from founder and life members by secret ballot from the
members of general meeting.

12. OFFICE BEARERS OF THE MANAGING COMMITTEE AND THEIR DUTIES:

Managing committee consists of president, Vice-president, Secretary, Treasurer, and minimum 05


members. Their powers and duties are as fallows.

A. PRESIDENT :

a. To preside over all the meetings of the managing committee and general meeting
of the society.

b. To supervise and control over all the branches of the society and their functions.

c. To call the general body meeting and the meetings of the managing committee
and to cast the decisive vote in the case of decisive time.

d. To implement resolutions resolved by managing committee or general body


meeting.

B. VICE-PRESIDENT :

a. To work as president in absence of president.

b. To help and assist the president and acting president in the working of
the society.

C. SECRETARY :

a. To make correspondence of the society and to overcome complaints


/ grievances if any.

b. To supervise over the staff of the society.

c. To carry out work which is beneficial to the society.

d. To prepare final accounts and budget and present it in the annual general body
meeting and get them sanctioned.

e. To call general body meeting or special general body meeting as per rule.
f. To prepare minutes of all the meetings.

D. TREASURER :

a. To check the financial position of the society.

b. To prepare annual statements of accounts from the financial statements written


from time to time.

c. To transact the amounts of the society and keep at hand maximum Rs. 500/-for
the work of the society.

d. To comply with short comings in the financial statements.

E. MEMBERS OF THE MANAGING COMMITTEE :

a. To attend meetings of the managing committee and


general body meeting.

b. To cast vote during elections and to help / assist in the work of


the society.

13. MEETINGS OF MANAGING COMMITTEE AND MEETING ON DEMAND:

a. Meeting of the managing committee will held once in three months.

b. On written demand of members of the managing committee, the president shall call the
meeting within eight days.

c. The notice of such meetings will have to be served 4 days in advance in which date, time,
place and subjects, etc. Shall be mentioned. The resolutions passed in such meetings must be
accepted by all.

14. THE NOTICE AND QUORUM OF THE MANAGING COMMITTEE:

Notice of the meeting of managing committee shall be served to the members so


as to get 7 days in advance, in which date, time, place and subjects, etc. should be mentioned.
Signatures of the office bearers or members should be obtained in the notice book or should be
sent by registered post. Quorum of 3/5 members will be essential in the meeting of the managing
committee. The meeting postponed due to incomplete quorum, no quorum will be essential for the
meeting. In an emergency, notice of meeting of the managing committee will be given 24 hours in
advance.

15. THE RULES OF THE ELECTION OF THE MANAGING COMMITTEE:

a. A member defaulter with any type of arrears of the society shall not be eligible for
contesting election and casting vote.

b. There will be a right to vote for a ordinary member if he remains a member for the
complete year.

c. Only life member and founder member can contest for the post of the managing
committee.

d. Election will be held by secret ballot.

e. Election of the managing committee will be held in general body meeting only after every
5 years.

16. FILLING UP THE VACANT POST OF THE MANAGING COMMITTEE:

a. In the case of death, resignation or conviction of executive member, of the body then
such members name may be deleted from executive committee and new members may be elected
by the majority of the managing committee member from life member only.

b. The managing committee will be dissolved on resignation of more than half members of
the managing committee, in such situation new managing committee will be elected. This newly
elected managing committee will complete the tenure of the first managing committee.

17. RIGHTS AND DUTIES OF THE MANAGING COMMITTEE :

a. To look after the business of the society.

b. To implement rules framed and resolution taken in general body meeting.

18. BANK ACCOUNT :

The account in the name of the society shall be opened in any bank. Any
two members among the secretary and treasurer shall jointly operate the account.

19. PROVISION OF MODIFICATION IN THE RULE AND REGULATIONS :

There can be a modification in the rules and regulations of the society by taking
resolution ion general body meeting by 3/5 majority. The procedure will be adopted as per clause
12 of societies Registration Act, 1860.

20. PROVISION REGARDING CHANGE IN THE NAMES AND OBJECTIVES OF THE SOCIETY :

If any change in the name and objectives or merges of 2 societies in to 1 society


is to be made, the approval of 3/5 majority in general body meeting is necessary for that societies
Registration Act, 1860 under clause 12 or 12-A is to be followed.

22. DISOLUTION OF THE SOCIETY :

If the society’s business has to be closed, sanction in the general meeting by 3/5
of the majority of the members should be obtained and all types of transactions of the society
about payments should be completed. The balance property of the society would be given as
donation to other society having similar aims and objectives. Procedure of dissolution of the
society as per the clause 13 and 14 of the societies Registration Act, 1860 will be followed.
