OFFICIAL RULES

1. LEGAL TERMS: By submitting an Entry (as defined herein) to the Recycling in Space Challenge
(the "Competition"), you are agreeing to be bound by the following legal terms and conditions
("Official Rules") which constitute a binding agreement between you, (“you” or “Contestant”), and
the Challenge Sponsor and the Challenge Administrator (defined below). The Official Rules also
incorporate by reference the additional terms specified at

"Competition Website"). THESE OFFICIAL RULES SUPERSEDE ANY OTHER RULES AND
TERMS & CONDITIONS ON THE WEBSITE OF THE SPONSORS. THIS COMPETITION IS VOID
WHERE PROHIBITED BY LAW AND NO FEE OR PURCHASE IS REQUIRED TO PARTICIPATE.
THE COMPETITION IS NOT OPEN TO ANY RESIDENT OR CITIZEN OF ANY U.S.
EMBARGOED COUNTRIES OR TO ANYONE ON THE U.S. TREASURY DEPARTMENT’S LIST
OF SPECIALLY DESIGNATED NATIONALS OR THE U.S. DEPARTMENT OF COMMERCE’S
DENIED PERSONS LIST OR ENTITY LIST.

2. SPONSOR; ADMINISTRATOR: The Competition is administered by NineSigma North America Inc.


(“NineSigma” or "Administrator"), 4700 Rockside Road, Suite 535, Independence, Ohio 44131 on
behalf of National Aeronautics and Space Administration with a principal place of business located
at NASA/Johnson Space Center 2101 NASA Parkway, Houston, TX 77058 (“NASA” or “Sponsor”).

3. COMPETITION DATES: The Competition commences October 10, 2018 and ends on the date
specified on the Competition Website.

4. GENERAL INFORMATION: Participation is subject to all federal, state and local laws and
regulations in the applicable Contestant’s country of residence, geographic location, or jurisdiction of
charter or incorporation. Multiple Entries are permitted. Each Entry (as defined herein) will be
reviewed independently. Multiple individuals or entities may collaborate to submit a single Entry, but
a single individual must be authorized by each Entrant (as defined below) and designated as an
official representative for each Entry in the Response Form. You are responsible for (i) checking
applicable laws and regulations in your jurisdiction before participating in the Competition to make
sure that your participation is permitted under the law, (ii) for abiding by your employer's policies
regarding participation in the Competition, (iii) for all local, state and federal taxes on the Award
including sales or use taxes, as well as any expenses related to participation in the Competition or
acceptance of an Award, and all reporting responsibility related to any Award you may receive as
part of the Competition, and (iv) for complying with all third party patent, trademark, copyright, trade
secret, or other intellectual property or proprietary rights for the materials submitted. The United
States Internal Revenue Service (IRS) requires Form 1099-MISC to be issued and filed for each
Award Winner who receives an Award if the amount of the award is $600 or more. Administrator will
send each Award Winner a W9 form, which must be completed and returned to Administrator, for the
Award Winner to receive the Award. A copy of the Form 1099-MISC filed by Administrator, will be
sent to Award Winner. The Form 1099-MISC will be issued for the fair market value of the Award.
Any Award Winner who fails to provide information sufficient to complete Form 1099-MISC (including,
without limitation, Award Winner’s Social Security number) shall forfeit any and all rights to the
applicable Award. Sponsors expressly disclaim, each Entrant (jointly and severally where an Entry
is submitted by more than one person and/or entity) agrees to defend, indemnify and hold harmless
the Sponsor and/or the Administrator against all loss, damages and costs (including, without
limitation, attorneys’ fees and costs) incurred by the Sponsor and/or the Administrator arising from,
any and all liability or responsibility for disputes arising between you and your employer related to
this Competition, any violation of law due to your participation, and any tax liability related to your

award. Sponsors reserve the right to limit or exclude any person from participation in the Competition
who fails to comply with the terms contained herein. All registration information is deemed to be
provided and collected in the United States of America.

5. ELIGIBILITY: The Competition is open to all individuals over the age of 18 at the time of entry or the
age of majority in said individual's geographic location at the time of entry and to all validly formed
legal entities in good standing which are permitted to participate by its charter or bylaws.

NASA employees are prohibited by Federal statutes and regulations from receiving an award under
this Competition. NASA Employees are still encouraged to submit a solution. If you are a NASA
Employee and wish to submit a solution, please contact the Challenge Sponsor who will connect
you with the NASA Challenge owner. If your solution meets the requirements of the Challenge, any
attributable information will be removed from your submission and your solution will be evaluated
with other solutions found to meet the Challenge criteria. Based on your solution, you may be
eligible for an award under the NASA Awards and Recognition Program or other Government
Award and Recognition Program if you meet the criteria of both this Challenge and the applicable
Awards and Recognition Program. If you are an Employee of another Federal Agency, contact your
Agency’s Office of General Counsel regarding your ability to participate in this Competition.

If you are a Government contractor or are employed by one, your participation in this Competition
may also be restricted. If you are or your employer is receiving Government funding for similar
projects, you or your employer are not eligible for award under this Competition. Additionally, the
U.S. Government may have Intellectual Property Rights in your solution if your solution was made
under a Government Contract, Grant or Cooperative Agreement. Under such conditions, you may
not be eligible for award.

If you work for a Government Contractor and this solution was made either under a Government
Contract, Grant or Cooperative Agreement or while performing work for the employer, you should
seek legal advice from your employer’s General Counsel on your conditions of employment which
may affect your ability to submit a solution to this Challenge and/or to accept award.

Employees and family members of NineSigma and any of their respective affiliates and subsidiaries
are not eligible to enter this Competition.

Responses from companies (small to large), academic researchers, other research institutes,
consultants, venture capitalists, entrepreneurs or inventors are welcome.

You are solely responsible for all hardware, software, and internet service connections and any
service fees associated with such access necessary to submit your Entry as well as all costs incurred
by you or on your behalf to participate in the Competition.

6. HOW TO ENTER: To enter, you must first create an account on www.ninesights.com (unless you
already have such an account, in which case you need not create another account). All of the
registration information that you provide is collectively referred to as your "Account." At the
Competition Website you will find further instructions and the required information necessary for your
Entry (“Response Form”). You must submit your completed proposal (hereinafter your "Entry" and
referenced interchangeably as your "proposal," "submission" and/or "response" on the Competition
Website and in Response Form) using the Response Form and follow the instructions provided on
the Response Form. By submitting your Entry, you formally accept these Official Rules for this
Competition.

Each individual or entity, whether submitting an Entry as an individual or as a collaborative group, is


referred to as an "Entrant" (or “you” our “your”) in these Official Rules and as "Entrant” or
"Respondent" on the Competition Website. All Entries must be in English and attachments may be
submitted in .pdf, .xls, .xlsx, .doc, docx, ppt, or .pptx formats. Links to publicly available online videos
(e.g., YouTube) or other sites can be included in your Entry. There is a maximum limit of 10 MB for

your complete Entry, including attachments.

By submitting an Entry, you agree that all required fields have been completed and all information in
your Account is correct and accurate. Your registration may be rejected or terminated and all Entries
submitted by you may be disqualified if any of the information in your Account is (or the Sponsor
and/or the Administrator have reasonable grounds to believe it is) incomplete, incorrect or inaccurate.
You are solely responsible for your Account, and any actions taken on your Account.

The Sponsor and/or the Administrator are not responsible for (a) late, lost, stolen, damaged, garbled,
incomplete, incorrect or misdirected Entries or other communication; (b) errors, omissions,
interruptions, deletions, defects, or delays in the transmission of information, in each case whether
arising by way of technical or other failures or malfunctions of hardware, software, communications
devices, or transmission systems; or (c) data corruption, theft, destruction, unauthorized access to or
alteration of Entry materials. The Sponsor and/or the Administrator are not responsible for electronic
communications received on social media or for emails which are undeliverable as a result of any
form of active or passive filtering or insufficient space in any account to receive the electronic
communication.

The Sponsor and/or the Administrator reserve the right to modify, remove or add data to the
Competition Website. The Sponsor and/or the Administrator reserve the right, in their sole discretion,
to extend or modify the dates of the Competition and/or Entry submission dates, and to change the
terms of the Official Rules governing any portion thereof taking place after the effective date of any
such change. Entrants are urged to consult the Competition Website regularly during the Competition.

The Sponsor and/or the Administrator shall have the right, in their sole discretion, to remove from the
Competition Website any blog comment or social media posting related to the Competition, at any
time and for any reason.

BY REGISTERING FOR THE COMPETITION, YOU ARE ACCEPTING THE CONDITIONS STATED
IN THESE OFFICIAL RULES, AGREEING TO BE BOUND BY THE DECISIONS OF THE SPONSOR
AND/OR THE ADMINISTRATOR, AND WARRANTING THAT YOU ARE ELIGIBLE TO
PARTICIPATE IN THE COMPETITION. IF YOU CAN NOT ACCEPT ALL OF THESE OFFICIAL
RULES, PLEASE DO NOT SUBMIT AN ENTRY TO THE COMPETITION. WE RECOMMEND THAT
YOU PRINT A COPY OF THESE OFFICIAL RULES FOR YOUR FUTURE REFERENCE.

7. COMPETITION OBJECTIVE: The objective of the Competition is to identify novel concepts in


advancing the processing of waste products in a microgravity environment.

8. ENTRY CRITERIA GUIDELINES: Entrants will submit Entries per the instructions on the Competition
Website and Response Form. Entries will serve as an introduction to Entrant's proposed technical
approaches, or uses and their background and expertise in the area. Entries MUST NOT INCLUDE
CONFIDENTIAL INFORMATION.

Entries will be evaluated using Entry Evaluation Criteria (defined on the Competition Website).

9. INTELLECTUAL PROPERTY RIGHTS: By submitting an Entry and participating in this Competition,


you are granting the Sponsor and/or the Administrator certain limited rights under any patents or
pending patent applications, copyright, trademark, trade secret and other intellectual property and
proprietary rights related to the ideas, uses, approaches, technology, designs and drawings
described in your Entry as set forth in these Official Rules. Further, your Entry may be considered a
public disclosure limiting your ability to subsequently file for patent protection. You are advised to
seek legal counsel on this point as may be necessary.

By accepting an Award, you agree and thereby grant to the Sponsor, a world-wide, royalty free, non-
exclusive, irrevocable, transferable, sub-licensable, fully paid-up, perpetual (or for the longest period

permitted by law) license to use, reproduce, distribute, create derivative works from, publically
perform, publically display, digitally perform, make, have made, sell, offer for sale, and import any
information, ideas, concepts, inventions, approaches, technology, designs or drawings arising from
or in your Entry materials, in any media now known or hereafter developed for any purpose
whatsoever, commercial or otherwise, without further obligation or approval by Entrant, whether or
not protected by patent, copyright, trademark, trade secret or other intellectual property or proprietary
rights (“License”). You agree to promptly execute, prior to receiving any Award, any required
document required by Sponsor to effectuate the License, Entrant hereby represents and warrants
that it has the unrestricted right to grant the License, and that no further action by Entrant or any other
person or entity is required.

Your submission of an Entry and participation in this Competition, grants the Sponsor and/or the
Administrator certain rights. By submitting an Entry, each Entrant consents to the use, by the Sponsor
and/or the Administrator and their affiliates, agents and representatives, of your respective name,
likeness, image, biographical information, Award and Award information (if an Award Winner), your
company or institution name (if your Entry is from a company or institution), and the contents in your
Entry (including any created works), in connection with the Competition, in any media or format, in
any and all locations worldwide, and without any payment to you or further approval from you. You
agree that this consent is perpetual and cannot be revoked. For uses beyond the consent that you
grant herein, you agree that the Sponsor and/or the Administrator use of your personal data will be
governed by the Privacy Statement incorporated in Section 11 below.

You agree that nothing in the Official Rules grants you the right or license to use of any patent,
copyright, or other intellectual property of the Sponsor and/or the Administrator, including without
limitation the Sponsor’s and/or the Administrator’s’ trademarks or service marks. Your submission
grants, without limitation, to the Sponsor and/or the Administrator the right to include your company
name (if your Entry is from a company) as an Entrant on the Competition Website and in materials
related to Sponsors’ promotion of the Competition.

10. BUSINESS RELATIONSHIP: The intent of the Competition is to encourage people to suggest their
ideas, uses and approaches to the Sponsor and/or the Administrator for use by the Sponsor and/or
the Administrator without compensation. Participation in this Competition and acceptance of the
Award does not create an obligation on the Sponsor’s and/or the Administrator’s part to enter into
any business relationship or to sign any commercial agreement in the future. Prior to acceptance of
the Award, you are free to discuss your Entry with other parties and you are free to contract with any
third party provided you do not sign any agreement or undertake any obligations that conflict with any
agreement that you have entered into or subsequently enter into with the Sponsor regarding your
Entry.

11. PRIVACY: By entering this Competition, you acknowledge and agree that the Sponsor and/or the
Administrator will have access to and use of any personal data provided in connection with your Entry
for purposes as described in these Official Rules and as governed by the NASA Privacy Statement
posted on the NASA Website http://www.nasa.gov/about/highlights/HP_Privacy.html. You further
agree that the Sponsor and/or the Administrator may share this data in connection with your Entry
with designated third parties for purposes as described in these Official Rules.

12. NO CONFIDENTIALITY: Since the Sponsor and/or the Administrator do not wish to receive or hold
any submitted materials “in confidence," it is agreed that, with respect to your Entry, no confidential
relationship or obligation of secrecy is established between the Sponsor and/or the Administrator and
you, the company you represent or represented when submitting your Entry, or the owner of any part
of your Entry or the subject matter thereof. Your Entry will not be considered confidential or have any
restrictions on its use.

13. WARRANTIES: By submitting an Entry, you represent and warrant that all information in your Entry
and all information that you submit via the Competition Website is true and complete, that the official

representative has the right and authority to submit the Entry and disclose the information therein on
his/her own behalf or on behalf of the persons and entities that are specified within the Entry, and
that the Entry (both the information and materials submitted in the Entry and the underlying ideas,
information, technology and all materials contained in or described in the Entry):

(a) Is the original work of the Entrant(s) and representative of Entrant(s) capability, or is submitted
by permission with full and proper credit given within the Entry;

(b) Does not contain confidential information or trade secrets (yours or anyone else's);

(c) Does not violate or infringe upon the patent rights, industrial design rights, copyrights, trademarks,
trade secrets, rights of privacy, publicity, or other intellectual property or proprietary rights of any
person or entity;

(d) Does not contain malicious code, such as viruses, malware, timebombs, cancelbots, worms,
Trojan horses or other potentially harmful programs;

(e) Does not and will not violate any applicable law, statute, ordinance, rule, or regulation or any
agreement with a third party;

(f) Does not trigger any obligation to any third party; and

(g) Does not contain any information (i) that Entrant(s) have, or, to Entrant’s(s’) knowledge, has
otherwise been, provided by to any resident or citizen of any U.S. embargoed countries or to anyone
on the U.S. Treasury Department’s list of Specially Designated Nationals or the U.S. Department of
Commerce’s Denied Persons List or Entity List; and (ii) will not directly or indirectly violate any
applicable U.S. import or export laws, including, without limitation, the International Traffic In Arms
Regulations (ITAR) under 22 CFR §§ 120-130, or the Export Administration Regulations (EAR) under
15 CFR §§ 730-774.

A breach of any warranty set out above will result in the corresponding Entry being invalidated. In
addition, each Entrant (jointly and severally where an Entry is submitted by more than one person
and/or entity) agrees to defend, indemnify and hold harmless the Sponsor and/or the Administrator
against all loss, damages and costs (including, without limitation, attorneys’ fees and costs) incurred
by the Sponsor and/or the Administrator arising from breach of any such warranty.

14. EVALUATION: Entries will be evaluated based on compliance with Entry Criteria Guidelines (as
specified in Section 8).

ALL DECISIONS OF THE SPONSOR AND/OR THE ADMINISTRATOR WILL BE FINAL AND
BINDING ON ALL MATTERS RELATING TO THIS COMPETITION.

15. AWARDS: The Sponsor and/or the Administrator will announce the winners and their respective
cash award (“Award”) via the Competition Website. Sponsor will select up to 3 winners; the top
winner will receive a US$10,000 cash award, and the two additional winners will receive a US$2,500
cash award. Finalists are also referred herein as “Winners” or “Award Winners”. The selection of
finalists will be at Sponsor’s sole discretion.

All finalists will be notified by the e-mail address provided in the Entry. Return of any notification as
"undeliverable" will result in disqualification. All Award Winners are subject to verification of eligibility
and compliance with these Official Rules and the Sponsor and/or the Administrator reserve the right
to examine Entries for compliance with the Competition Rules. Award Winners will be subject to all
applicable laws and regulations and may be disqualified if found to be ineligible under any applicable
law or regulation.

After verification of eligibility and receipt of the requisite documents, Awards will be distributed to the

official representative specified in the winning Entry. Such official representative will have sole
responsibility for further distribution of any Award among participants in a group Entry or within a
company or institution that has submitted an Entry. No substitution or transfer of Awards is permitted
and the Sponsor and/or the Administrator will only award the individual designated as the official
representative for each Entry.

This is a voluntary contest of skill and innovation and no fee is required to enter. Whether or not your
Entry is determined as a Winner depends on how your Entry compares to the other Entries submitted
in the Competition when evaluated based on the Evaluation Criteria within the sole judgment of the
Sponsors. All Awards are final and this is a one-time offer. There is no offer of a paid license, royalty,
or other financial compensation implied beyond the chance for an Award subject to these Official
Rules. Odds of receiving an award depend on the number of valid Entries received. No costs or
expenses of an Entrant will be paid. Each Award Winner is responsible for all tax reporting obligations
and all tax payments as applicable.

16. INDEMNIFICATION; LIMITATION OF LIABILITY: By participating in the Competition, you agree


to release, indemnify and hold harmless, the Sponsor and/or the Administrator and their respective
affiliates, subsidiaries, advertising and promotions agencies, and each of their respective agents,
representatives, officers, directors, shareholders, and employees (collectively, "Sponsor Entities"
and/or “Administrator Entities”) from and against any injuries, losses, damages, claims, actions and
any liability of any kind (including attorneys' fees) resulting from or arising out of your participation in,
association with, or submission to the Competition (including any claims alleging that your Entry
infringes, misappropriates, or violates any third party's patent, copyright, trade secret, trademark or
other intellectual property or proprietary rights). The Sponsor and/or the Administrator are not
responsible for any technical failures related to communication or submission failures, such as
unavailable networks or server connections; other failures related to hardware, software, viruses, or
incomplete, late or misdirected Entries. Any compromise to the fair, proper and legal conduct of this
Competition may result in the disqualification of an Entry, the termination of the Competition, or other
remedial or legal action at the sole discretion of the Sponsor and/or the Administrator. The Sponsor
and/or the Administrator reserve the right to cancel, terminate, modify or suspend the Competition in
the event that the Competition is not capable of running as planned and the Sponsor and/or the
Administrator may choose to judge only valid Entries received prior to cancelation or termination or
to cancel the Competition in its entirety. By entering the Competition, Entrants agree that the Sponsor
and/or the Administrator, their promotion partners, related companies, agencies, advertisers and their
respective employees or officers (collectively, “Releases”) shall not be liable for any claims, injuries,
costs or losses of any kind resulting, in whole or in part, directly or indirectly, from the awarding,
delivery, acceptance, use, misuse, possession, loss or misdirection of any Award or participation in
this Competition or in any activity or travel related thereto. The Sponsor and/or the Administrator, in
their sole discretion, reserve the right to disqualify any person tampering with the Entry process or
the operation of the Competition Website or otherwise violating these Official Rules. In the event of
a dispute regarding the identity of the person submitting an Entry, the Entry will be deemed to be
submitted by the person in whose name the applicable e-mail account is registered. By entering, you
agree to be bound by these Official Rules and acknowledge that all decisions of the Sponsor and/or
the Administrator, and their respective agents and representatives are final and binding in all
respects.

17. NO OBLIGATION: You acknowledge that multiple participants may submit Entries that contain ideas,
designs, concepts, approaches, or technologies similar to your Entry and that the Sponsor, and/or its
respective subsidiaries and business partners may already be investigating or developing technical
solutions or have business activities that are related to or similar to those disclosed in your Entry.
You acknowledge and agree that Sponsor's actions with respect to another Entry or one of its own
solutions, investigations, or business activities, even if similar to your Entry, shall not create any
liability, of any kind, by Sponsor to you or others. Further, Sponsor is not or shall not be restricted in
any way from pursuing, developing, or commercializing, in any way that they see fit, independent of
you and at its sole discretion, any activity or technology that is created independent of your Entry.
For the avoidance of doubt, you acknowledge that Sponsor is not obligated to take any action

whatsoever with regard to your Entry.

18. SEVERABILITY: The invalidity or unenforceability of any provision of these Official Rules shall not
affect the validity or enforceability of any other provision. In the event that any provision is determined
to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect
and be construed in accordance with their terms as if the invalid or illegal provision was not contained
herein.

19. WAIVER: All claims arising from or related to these Official Rules and the Competition shall be
resolved individually, without resort to any form of class action and all claims, judgments and awards
shall be limited to actual out-of-pocket costs incurred, and, except as expressly provided in these
Official Rules, in no event include attorneys' fees, and under no circumstances will any Entrant be
permitted to obtain awards for, and Entrant waives all rights to claim, any punitive, incidental, special,
consequential damages and any other damages, other than for actual out-of-pocket expenses and
each Entrant waives all rights to have damages multiplied or otherwise increased. ENTRANTS, BY
ENTERING, SPECIFICALLY AND KNOWINGLY WAIVE ANY RIGHT TO A TRIAL BY JURY AND
A TRIAL BY JURY IS HEREBY WAIVED BY BOTH THE SPONSOR AND/OR THE
ADMINISTRATOR AND ENTRANTS. ENTRANTS UNDERSTAND THAT EACH ENTRANT IS
WAIVING RIGHTS WITH RESPECT TO CLAIMS THAT ARE AT THIS TIME UNKNOWN OR
UNSUSPECTED, AND IN ACCORDANCE WITH SUCH WAIVER, ENTRANT ACKNOWLEDGES
THAT ENTRANT HAS READ AND UNDERSTANDS, AND HEREBY EXPRESSLY WAIVES, THE
BENEFITS OF SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA, AND ANY SIMILAR LAW
OF ANY STATE, COUNTRY OR TERRITORY, WHICH PROVIDES AS FOLLOWS: “A GENERAL
RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR
SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE,
WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER
SETTLEMENT WITH THE DEBTOR.”

20. APPLICABLE LAW: You agree that these terms and the relationship between you and the Sponsor
and/or the Administrator shall be governed and construed under United States Federal Laws. You
acknowledge and agree that all aspects and content of your Entry, including all information,
developments, inventions, and works of authorship, shall be treated as if made in the United States
of America and U.S. laws relating to patents, copyrights, trademarks, trade secrets, inventions,
assignments, and innovation compensation shall supersede the relevant laws of any country in which
the Entry may have been conceived, developed, or reduced to practice.

For Entrants living outside the United States of America, you expressly acknowledge that this
competition is free and voluntary. By entering this Competition you accept United States Federal Law
as governing law, the specific terms, conditions and policies outlined in the Official Rules, and consent
to having your Entry data, including all provided personal information, transferred to, processed in,
and stored in the United States of America pursuant to the NASA Privacy Statement.

21. WINNERS LIST REQUEST: For the name of the winner(s), send a self-addressed, stamped
