Ways to solve the company problem

Option A
1. Koni pays part of loan
Sherly receives confirmation that Rp 507.455.012 from our loan (Total Rp 687.762.500
incl. interest)
Is paid back and therefore my BCA account is cleared and not considered a company
account anymore.
Sherly will receive confirmation that the loan left to pay is now only Rp 180.307.488.

2. Sherly pay part of loan

Sherly transfers Rp 180.307.488 from the Rp 222.800.000 she took to my BCA account
Sherly will receive confirmation that the loan is now paid back in full.

3. Pay back rest

Sherly transfers the rest (Rp 42.492.512) of the Rp 222.800.000 she took to our shared
BCA account.

4. Solve BNI account

Sherly transfers half the money (Rp 63.937.970) from the company BNI account (Saldo:
127.875.940) to my BCA account as a dividend.
She can keep the other half as her dividend and close the account.

5. Police
Sherly sends confirmation of cancellation of her police report against me and my father in
exchange I will withdraw my police report as well.

6. Rent
Sherly sends confirmation (screenshot) from Pak Zainal about the rent after 31 Oct 2018.
That contains rent till when to what price.

7. Changes to bank account

Modify our BCA account so that it needs both parties to authorize transactions.

8. Reopening
We reopen the restaurant.
Sherly will not take any cash out of the resto. I will again do this and deposit it at our
shared BCA account.

9. Dissolve company
Latest 2 days after point 4:
Sherly replies my offer to buy her shares and/or sends me her offer of how to dissolve to
company.
Option B

1. Pay back loan

The Loan left to pay till today including interest is Rp 687.762.500
(Info: We have Rp 127.875.940 on our BNI account and I have Rp 507.455.012 company
money on my BCA.)
Sherly transfers Rp 126.307.488 from our BNI account to my BCA account. And another
Rp 54.000.000 from the Rp 222.800.000 she took.
I pay back the loan from my BCA account and therefore this account is cleared and not
anymore considered a company bank account.
Then Sherly will immediately receive confirmation that the loan is paid back in full.

2. Pay dividend
Sherly transfers Rp 80.000.000 from the money she took to my private BNI account as a
dividend from the company.
Sherly keeps Rp 80.000.000 from the money she took as her dividend.

3. Rest of money back

Sherly transfers the rest (Rp 8.800.000) from the Rp 222.800.000 she took to our shared
BCA account.

4. Rent
Sherly sends confirmation (screenshot) from Pak Zainal about the rent after 31 Oct 2018.
That contains rent till when to what price.

5. Police
Sherly sends confirmation of cancellation of her police report against me and my father.
Then I will withdraw my police report as well.

6. Reopening
We reopen the restaurant as soon as possible.
Sherly will not take any cash out of the resto. I will again do this and deposit it at our
shared BCA account.
