INSTALLMENT SALES LAW

(Recto Law)

What is the Installment Sales Law?


Comm only kno wn as the Re cto Law. It is em bodied in Art. 1484 of the NCC which provi des for the rem edies of a seller in the
contracts of sale of personal prop erty b y installm ents.

Note: Art. 1484 of the NCC i ncorpo rates the p rovisions of Act No. 4122 passed by the Philippine Legislat ure on Dec. 9, 1939,
known as the "Installment Sales Law" or the "Recto Law ," which then amended Art. 1454 of the Civil Code of 18 89.

To what does the Recto Law apply?


This law covers contracts of sale of personal pro pert y by installm ents (Act No. 4122). It is also applied to contracts purpor ting
to be le ases of pe rsonal pro perty with option t o bu y, when the l essor has deprived t he lessee of the possession or enjoym ent

What are the alternative remedies in case of sale of


personal property in installments?
1. Specific Perform ance: Exact fulfillm ent should the buyer fail to pay

Gene ral Ru le: If availe d of, the unp aid selle r cannot anym ore choose other rem edies;

Exce ption: if after choosin g, it has becom e im possible, rescission m ay be pursued

2. Rescission: Cancel the sale if buye r fails to pay 2 or m ore installm ents Deem ed chosen when:

a. Notice of rescission is sent

b. Takes possession of subject m atter of sale

c. Files action for rescission

3. Foreclosure: Foreclose o n chattel m ortgage if buyer f ails to pay 2 or m ore installm ents

What is the Realty Installment Buyer Act?


Comm only kno wn as the “Maceda La w .” It is em bodied in R.A. 6552 which provides for certain protection to part icular buyers
of rea l estate p ayable on installm ents. The la w d eclares as "public polic y to protect buyers of real estate on i nstallm ent pa ym ents
against on ero us and op pressive con ditions.

Note: The pu rp ose of the la w is to protect buyers in installment against oppressive conditions.

What are the transactions/sale covered by the


Maceda Law?
The la w in vol ves the sale of imm ovables on installm ent (Maceda Law, R.A. 6552).

1. Covera ge: Resid ential Re al Estate (Villanue va, p. 431)


2. Exclude:

a. Industrial lots

b. Comm ercial buildings (and com m ercial lots by im plication)

c. Sale to tenants under agra ria n la ws

What are the rights granted to buyers?


1. Buyer p aid at le ast 2 years installm ent

a. Pay without interest the balance within g race peri od of 1 m onth for every year of installm ent paym ent. Grace period to be
e xe rcised once e very 5 yea rs.

b. W hen no paym ent – cancelled; bu yer entitle d to 50% of what he has paid + 5% for every year but not exceeding 90% of
paym ents m ade

Note: Cancell ation to b e effe cted 30 days from n otice & upon pay ment of cash surrender value.

2. Buyer p aid less than 2 ye ars installm ent

a. Grace period is not le ss than 60 days from due dat e

b. Cancellation if failure to pay w/in 60 da ys grace

c. 30 days notice before final cancellation

Note: buyer can still pay w/in the 30 days period with interest.

What are implied warranties?
