SERVICE AGREEMENT

This Carpet Cleaning Services Agreement is made and entered into by [Insert Client Company
Name] and [Service Contractor Name] on this ____ day of ____ , [year]. In this Agreement, the
party who is contracting shall be referred to as “Contractor” while the party who receives such
carpet cleaning services shall be referred to as the “Recipient”.

RECITALS

Whereas, the Recipient sees that the Contractor can effectively provide the carpet cleaning
services needed and thus obtains Contractor’s services;

Whereas, the Contractor is willing and agreeable to provide the said carpet cleaning services
the Recipient needs;

NOW THEREFORE, in consideration of the mutual agreement reached into by the Recipient and
the Contractor, they shall now hereby acknowledge the terms and conditions set forth in this
Agreement which are as follows:

SERVICES PROVIDED
Beginning [insert date of engagement of services], the Recipient agrees to engage Contractor of
carpet cleaning services, which shall include and are limited to:

❏ Vacuuming of Carpets;
❏ Removal of debris and other dirty particles;
❏ Removal of any stains;
❏ Removal of any unpleasant smell the carpets may have;
❏ Shampooing of the carpets, if necessary;
❏ Drying;
❏ Steam cleaning;

The Contractor therefore agrees to perform the enumerated services in the most efficient,
powerful and professional carpet cleaning as agreed in this Agreement.
PREMISES INCLUDED

Upon the performance of the carpet cleaning services by the Contractor, these certain locations
of Recipient’s premises shall be included and be cleaned thoroughly but not limited to the
following:

★ Lounge
★ Lobby
★ Foyer
★ Reception Area
★ All Rooms
○ (Guest Room, Deluxe Room, Single Room, Double Room, Suite Room, Penthouse)
★ Cafe Room

DURATION OF AGREEMENT

The Carpet Cleaning services shall commence on the ____ day of ______, 20____ which is the
date of the signing of this Agreement and shall continue until the next twelve months or until
this Agreement is mutually terminated.

The term of this Agreement may be extended subject to the mutual consent and agreement of
the Contractor and Recipient.

EQUIPMENT

The Contractor is a professional who shall use his own professional methods and shall freely
use any equipment needed in order to carry out the desired tasks expected by the Recipient in
accordance to this Agreement.

Except as to the following, the Recipient shall provide the Contractor of the necessary
equipment to carry out the carpet cleaning services:
★ Carpet vacuum
★ Carpet extractors
★ Others as may be agreed by the Recipient and the Contractor and as may be deemed
necessary
PAYMENT OF SERVICES

The Recipient shall compensate the Contractor for the services rendered in the amount of
[insert estimate amount]. This compensation shall be payable upon completion of services on a
monthly basis up until the end of the term of this Agreement.

Any additional services rendered by the Contractor shall also be compensated in accordance to
the extent of said additional services.

In the event that the Contractor is terminated before the completion of the term as provided in
the Agreement, the Contractor shall be paid by the Recipient in accordance to the extent of the
service and as agreed mutually by the Recipient and Contractor.

RELATIONSHIP OF PARTIES

In providing the services as laid down in this Agreement, the Contractor is acting as an
independent contractor and shall not be an employee of the Recipient. The Recipient shall not
provide any fringe benefits that are not laid down in this Agreement. It shall be provided that
the business relationship between the Contractor and the Recipient shall be a non-exclusive
one and that the Recipient can contract with other clients and/or organizations. The Recipient
shall have no right as to inquire into the relationship entered by the Contractor with other
clients and/or organizations.

It shall also be provided that as an independent Contractor, the Contractor shall be solely
responsible of paying his taxes applied by the Government into the compensation.

TERMINATION

The Recipient may terminate the Agreement at any time under the following conditions:
1. When the Contractor commits any material breach on the Agreement and the
Contractor fails to explain and remedy the Agreement in two days;
2. When the Contractor commits any repeated and persistent acts which consist to be
failing compliance in the provisions of the Agreement.

Outside these conditions, the Recipient cannot terminate unilaterally without due notice to the
Contractor for at least three months prior to the said termination;
GOVERNING LAW

This Agreement shall be governed and construed in accordance to the laws of the [insert State
where the business of Recipient is located]. This Agreement shall also abide faithfully the laws
of the United States of America.

DISPUTE RESOLUTION

All disputes that may be had under this Agreement shall be settled by arbitration under the
federal laws of [insert State where the business of Recipient is located] and pursuant to its
commercial laws. Arbitration may be commenced upon serving of notice to the other party
(may it be the Recipient or the Contractor) and that such dispute that may be had under this
Agreement is referred for arbitration.

Once an arbitration has been lodged in a court of competent jurisdiction, its decision shall then
be final and binding upon the Recipient and the Contractor.

SEVERABILITY

Any provisions that may be had under this Agreement that may be construed by the federal
laws of America to be unconstitutional or in violation of its labor laws and be held as illegal,
invalid or unenforceable in whole or in part, all other remaining parts which are valid shall
continue to subsist and shall not be affected by the illegality, invalidity or unenforceability of
the provision held to be illegal, invalid or unenforceable.

Such provisions that are not invalidated shall remain valid, binding and enforceable between
the Recipient and the Contractor.
