TERMS AND CONDITIONS

1. Scope & Prices:

Scope of supply shall be as per our BOQ.

2. Delivery:

2 -3 week on receipt of technically and commercially acceptable order.

The period of delivery shall be reckoned from the date of receipt of agreed advance payment,
and/or Letter of Credit and /or drawings whichever shall be later.

3. Taxes & Duties

Vat @ 8%

Service Tax @ 4.12%

Any statutory variation in the taxes & duties / new levies during the tenure of the contract
shall to your account.

4. Terms of Payment:

60% Advance of the Total Value,

20% against Delivery of the Materials &

20% against Testing and Commissioning.

All the payments shall be released within 15 days of submission of the bill. Any delay in
payment shall be levied interest of 24% per annum.

5. Variation & Scope of Work:

If there are any additions or changes to the scope of work outlined in our proposal and its
annexure, the value of the contract will enhanced accordingly and payment will be made in
accordance with the terms of payment of our offer. All measurements will be carried out as
per BIS Regulations.

6. Site Facilities

The Customer will provide at his cost, adequate, acceptable, independent lockable storage
facilities to us to storage of equipment, materials, tools and tackles etc. brought to the site
from time to time during the execution of the contract. Facilities including water and power
required for erection, testing and commissioning will be provided by you in time free of cost.

7. Lien & Transfer of Property:

Property in all equipment/materials/supplies etc. brought to the site in execution of the


contract by us shall at all times lie with Kelvolt (India) Pvt. Ltd. (Notwithstanding the fact that
the progress bill have been paid for). The right to transfer of property in the job executed by
us shall get transferred to you only upon full payment of all the dues to Kelvolt (India) Pvt. Ltd
and upon formally being handed over to the customer.

8. Completion of Work:

The entire work will be completed within 1Week from the date of signing of the acceptance of
the order, opening of L/C, on receipt of down payment and also receipt of all technical
information/data from you/your Architects/ your Consultants, necessary to enable us to
proceed with the job and handling over of clear site to us on drawing approval.

However, the execution of the work and also completion date are subject to delays, if any, or
your part in providing us with any material or services not included in the Contract, any
default by sub-contractors or reasons beyond the control of ourselves including strike, lock-
out fire, accident at work site or during transit of materials to site, war and war-like
operations, hostilities, civil commotion, capture, seizure, detention, blockage, labour
disturbances, go slow tactics, work-to-rule, lay-off or otherwise and the consequences thereof
and also any reason amounting to Force Majeure. In any event, a consequential damage for
non-completion or delay in completion of work is excluded.

9. Suspension/Cancellation of Work:

We shall be entitled to suspend/cancel the work on account of:-

a. Customer’s instruction/lack of instructions

b. Non Payment of our bills

If the work or part of the work is cancelled after customer’s acceptance, cancellation charges
as levied by our suppliers/manufactures shall be borne by the customer. In addition the
customer shall pay us compensation for cost and expenses incurred by us upto the date of
cancellation plus ten percent. In the event of re-starting the work we shall charge extra for
any increase in costs).

10. Material & Workmanship Warranty

Subject to the terms of payment being punctually complied with and the equipment being
operated properly, the equipment covered by the contract work is warranty by us against
faulty materials and workmanship for a period of 12 months from the date of installation or
for a period of 15 months from the date of delivery of machinery involved in the execution of
the contract work whichever ends earlier, should the product prove to be defective due to
faulty workmanship or otherwise, we will remedy the defect or replace the faulty parts or the
whole product at our discretion, as soon as possible, free of cost.

This Warranty:

a. Is null and void If repairs and modifications are carried out without our approval in
writing or Inefficient maintenance.

b. does not cover supply of consumable items like refrigerant, oil, fuses, belts etc.

c. does not cover deterioration or rusting due to atmospheric conditions.

d. Does not extend to consequential damages or losses:

11. Arbitration:

Any dispute or difference whatsoever arising between the parties out of or relating to the
construction, meaning or operation or effect of this agreement shall, unless resolved amicably,
be settled by Arbitrators’ one to be appointed by each party and the third Arbitrator (who
shall act as the presiding Arbitrator) to be appointed by the two Arbitrators. All proceedings
under such Arbitration shall be held in Mumbai and would be in accordance with the
provisions of the Arbitration and Conciliation Act, 1996 and any statutory modifications or re-
enactment thereof. It is agreed and understood that the Court having Jurisdiction over
Mumbai alone shall be competent to entertain any Application or Petition pertaining to the
Arbitration Agreement and/ or arbitral proceedings pursuant to this clause.

Annexure I

Items Not Included

All other ancillary work explained in brief hereunder will have to be arranged for by you:

• We have not included any masonry work such as foundation for the equipments, cutting
away and making good of walls/slabs, scaffolding etc.

• Protected lockable storage space at site and license/ permission from concerned authority
if required.

• We have strictly quoted as per the Bill of Quantities; any variation in the variable quantities
shall be adjusted as per unit rate.

• Provision of power and water for erection, testing and commissioning of the plant.

• Any other item not specifically mentioned in ‘Bill of Material’.
